pricesprices includeinclude 17 17 VAT VAT 三 三 保管约定保管约定 Commitment Commitment 1 甲方将如上的模具寄存于乙方 所有寄存模具的所有权归甲方所有 非经甲方书面同意 乙方不 得为自己或他人复制或仿制该模具 Party A puts the above moulds in Party B The ownership of the storage moulds belongs to Party A Party B cannot copy or imitate the moulds for itself or for others without the written permission of Party A 2 乙方承诺不去掉寄存模具上的名称和标记 并将这些寄存模具与其它企业的物品分开存放 使这 些寄存模具能够很容易地被辨别出来 Party B promises not to remove the name and marks on the storage moulds and keep them separately with other items in order that they can be identified easily 精品文档 2欢迎下载 3 任何寄存于乙方的本约模具只能由受过专门培训的员工使用和操作 除正常磨损外 乙方承诺对 这些寄存模具进行维护以使其保持良好的状态 且保管期间发生的一切费用由乙方承担 在保管或使用这 些寄存模具时 乙方要为这些模具投保 保险金额应等同于这些寄存模具的替换成本 若有丢失或损坏 则以同等价格赔付给甲方 Only specially trained staff can use and operate the moulds In addition to normal wear and tear Party B promises to maintain the storage moulds in order to keep them in good condition and undertake all the costs that occurred during the keeping time Party B should buy insurance for the storage moulds when keeping or using them The insurance amount should be equal to the replacement cost of the storage moulds If lost or damaged Party B should compensate Party A with the mould price listed on the agreement 4 乙方应当对用寄存模具生产出的样件进行检验 以确定这些模具是否符合甲方的工程图纸和规范 要求 乙方必须在收到甲方的书面确认样件合格后正式批量生产产品 Party B should inspect the sample which is produced by the storage mould to determine whether the moulds fit with the engineering drawings and specifications from Party A Party B will start mass production after receiving the written confirmation and acceptance from Party A 5 乙方每月向甲方提交一份有关各模具的维护报告 报告内容应包括 上一个月对模具进行维护的 情况以及该模具的当前状况 Party B should submit a monthly maintenance report about the moulds to Party A The report should include the mould s maintenance conditions of last month and its current situation 6 未经甲方书面同意 乙方如利用或提供本约之模具为甲方以外之人加工 生产或将其生产之产品 销售给甲方以外之任何人时 乙方须给付甲方其生产 转售总值之十倍违约金 If Party B uses the storage mould to process produce or manufacture the products to sell to any person other than Party A without the written permission of Party A Party B shall pay Party A of its production and resale value of ten times the penalty 7 甲方可随时取回该模具 乙方不得以任何理由扣留 否则自甲方要求取回该模具之日起 每逾期 一日 按该模具总价之 25 进行罚款 由甲方支付给乙方之货款中自行扣除 如货款不敷抵扣时 由乙方 另行赔偿 Party A can take back the storage moulds at any time Party B should not detain them for any reason or from the date that Party A required to take back the moulds each overdue day Party B shall pay the penalty of 25 of total moulds cost to Party A and the penalties will be deducted from the moulds keeping cost paid to Party B If payment is insufficient to offset Party B should pay for the compensation separately 四 四 保密责任保密责任 Confidentiality Confidentiality 未经甲方允许 乙方不得将甲方所提供的图纸及技术资料以口头 书面 出示和借用的方式转泄露给第三 方 如有发生信息泄露 甲方有权追究其法律责任 Without the permission of Party A Party B should not disclose the drawings and technical information which are provided by Party A in 精品文档 3欢迎下载 oral written showing and lending way to the third Party If Party B revealed such information Party A has the right to pursue Party B s legal responsibility 五 五 其他约定其他约定 Others Others 1 本协议受中华人民共和国的法律法规管辖 并应依照中华人民共和国的法律法规解释 The agreement shall be governed by and interpreted in accordance with the laws and regulations of the People s Republic of China 2 除非双方采用书面形式 否则对本协议的任何修正均属无效 Any amendments to this agreement shall not be valid unless made by the Parties in writing 3 本协议一式两份 每份皆具有同等法律效力 This agreement is made in two original copies both of which are equally valid 4 本协议在双方签订本协议之日立即生效 This agreement shall take effect immediately upon the date of execution by the Parties 5 凡涉及本协议或因本协议而发生的所有争执 都应通过友好协商解决 如果在书面要求协商的通 知发出后的三十 30 天内不能解决 则该争执应提交乙方所在地有管辖权的法院进行裁决 All the disputes and controversies of every kind and nature between the Parties arising out of or in connection with the agreement or the execution hereof shall be settled by friendly negotiation between the Parties If no settlement can be reached within thirty 30 days after delivery of the written notice requesting the said negotiation such dispute or controversy shall be submitted a competent court located in the business place of Party A for judgment 6 当本协议中文文本与英文文本发生歧义时 应以中文文本为准 The Chinese version of this agreement will prevail i
