除本合同上下文中另有规定外 下列各词语定义如下 1 1 合同设备 是指卖方提供的设备 备件 材料或其中任何一部分 包括为确保合同设备 达到设计能力而应包含在合同设备中的任何部件 被许可使用的专有技术和 或专利 设计和技术文件组成的装置 详见附件1和附件3 1 2 买方银行 是指经卖方认可的一家中国的银行 即 1 3 卖方银行 是指 1 4 合同货币 是指本合同项下的支付中所使用的货币 即 元 1 5 合同价格 是指在卖方完全和适当地履行其合同义务后 买方根据合同规定应支付给卖 方的价款 1 6 合同产品 是指合同设备生产的达到附件3规定的技术规格和保证指标 1 7 卸货港 是指中国 港 1 8 装运港 是指 港口 1 9 检验当局 是指位于卸货港的中国国家进出口商品检验检疫局的地方分支机构 1 10 技术资料 是指与合同设备的设计 检验 安装 试运行 投料生产 性能考核 操作 以及维修有关的技术指标 规格 图纸和文件 技术资料清单详见附件 2 3 7 8 1 11 技术服务 是指在合同工厂的安装 试运行 投料试生产 性能考核 操作 维修以及 其他工作等方面 卖方在本合同条款下给予买方的技术指导 培训 协助以及监督等 详见附件4 1 12 工作现场 是指合同设备座落的地方 即 1 13 代表 是指合同双方各自任命的一名代表 负责与履行各自合同义务有关的所有事项 1 14 安装 是指由 方安排的合同设备有关设备 部件和材料的安装工作 包括按照设计 图将零部件放置在适当的位置并连接起来 1 15 试运行 是指为验明合同设备的机械性能 在安装完毕后对单台设备和一系列设备及 原丝和碳纤生产线分别进行的试运转 1 16 投料试生产 是指为进行合同设备的性能考核 在公共设施已经接通并已将原材料投 入合同设备后进行的初步生产 详见附件9 1 17 性能考核 是指在合同设备上进行的 用以确定合同设备和合同产品是否达到附件3 所规定的技术规格和保证指标的考核 1 18 验收 是指合同设备通过性能考核证实达到附件3和9规定的技术性能和保证指标后 买方接受合同设备 1 19 合同生效日 是指本合同自双方以书面形式签署 如果需要出口许可证则在获得所需 的出口许可证之日起生效 或在买方收到卖方开出的无条件的预付款保函 或同时 第 4 页 共 18 页 卖方收到买方预付款之日 1 20 保证期 是指在一定的期间内 卖方保证合同设备的合同设备正常稳定运行 并负责 消除合同设备存在的任何缺陷 Article 2Subject 条款条款 2标的标的 2 1 The Buyer agrees to purchase from the Seller and the Seller agrees to sale to the Buyer per x Proposal and Technical Agreement to be used for the of carbon fiber production hereinafter referred to as the Contract Equipment The scope of the Contract Equipment sold by the Seller and the detailed specifications are in the Technical agreement The Contract Equipment is used to perform the 买方同意从卖方购买 卖方同意向买方销售 依据 报价书和技术协议文件 用于买方碳纤维生产中的 以下简称 合同设备 卖方提供的合同设备的供货 范围和具体规格见技术协议文件 合同设备用于 2 2 The Seller shall be obligated to supply the Buyer with certain technical documentation including necessary drawings for assembly installation commissioning normal operation and maintenance of the Contract Equipment The scope of technical documents and their delivery schedule will be detailed to the Buyer upon signing of this contract 卖方有责任向买方提供必要的技术文件 包括合同设备必要的装配 调试 正常操作 及维护的图纸 技术文件的范围及提交时间表在签订合同时向买方提供 2 3The Seller shall undertake the overall technical responsibility for the Contact Equipment in terms of design technical reliability correctness and completeness to ensure that the Contract Equipment can meet the requirements specified in Technical agreement to the Contract 卖方应按照技术协议规定的技术规格和文件 对合同设备的设计 技术可靠性 正确 性 完整性 承担全面技术责任 2 4The Seller shall dispatch healthy skillful and experienced personnel to the Buyer s site in order to render technical services and supervision of installation start up and commissioning and acceptance test of the Contract Equipment as well as for training of the Buyer s personnel at site Services and the treatment conditions are referred to in Technical agreement Technical services and training will have the Buyer s personnel operate the Contract Equipment during the start up commissioning phase so the Buyer s personal are able to operate the Contract Equipment properly 卖方应派遣健康的 有技术的 有经验的人员到达买方现场实施技术服务 指导设备 安装 试车 维护及现场培训买方人员并对合同设备进行验收测试 技术服务和培训 第 5 页 共 18 页 应能使买方人员具有在试车 维护阶段恰当操作合同设备的能力 2 5 The Seller shall guarantee that all the Contract Equipment shall be made of first class materials and with excellent workmanship The Contract Equipment should be brand new and in conformity in all respects with the quality specification and performance as stipulated in the Contract 卖方应该保证合同设备制造采用一流的材质和最好的工艺 合同设备应全新 质量 规格 性能符合合同规定 2 6 For x years after the final acceptance of the Contract Equipment the Seller has the obligation to provide the Buyer with spare parts at favorable terms and price if the Buyer does request Both parties shall sign a separate agreement at the time for such supply and service 设备验收后x年内 如买方需要 卖方有责任以优惠的条款 价格向买方提供配件 双方应就此项供应 服务签订单独的协议 2 7 All the appendices and memorandum to be the Contract are integral parts of this Contract having identical legal effect to the Contract 本合同所有附件及备忘录是合同完整部分 与合同具有同等的法律效力 2 8 The technical appendixes in English The L C is subject to International Chamber of Commerce Publication No 600 合同总金额的 在合同签订后x年x月x日前由买方开具的不可撤销信用证支付 卖方 依据以下条款议付 信用证依据国际商会发布的600号文件 If there is any delay in issuance of the L C all work in process and production schedule will be stopped and will not be resumed until the L in 1 original and 4 copies 制造厂家原产地证明书 正本一份 副本 4 份 If packaging is wood 1 original beneficiary s declaration for wood packaging stating that all wood is stamped with the IPPC mark and is compliant with Seller unless otherwise agreed by the parties 除非买卖双方另有协议 买方将承担在中国境内发生的银行费用 中国以外发生的 银行费用由卖方承担 4 3 Document 文件 The Seller shall within 10 working days after shipment send Photo copies of all the LC documents referenced in 3 1 2 above to the Buyer by electronic transfer in PDF format or by registered express airmail Should the Seller fail to do so the Seller shall bear all the expenses and the penalty incurred from delay in the customs declaration due to the reason the aforesaid documents are not available at the time the Contract Equipment has arrived at Shanghai China 卖方将在发货后10个工作日内 以PDF Equipment 提单上的日期应当被认为是合同设备的实际发运日期 5 3 The risk of the Contract Equipment shall be transferred from the Seller to the Buyer according to CIF INCONTERMS 2000 本合同设备的风险转移以 2000 国际贸易术语解释通则 CIF 条款为准 5 4 Within months after effectiveness of the Contract the Seller shall provide the Buyer with General arrangement drawings consisting of mechanical assembly drawing in plan elevation and end views and foundation dead loading plan view of a two zone oxidation stack In addition the Seller will advise the Buyer in writing of any special shipping transportation and handling requirements 合同生效后 个月内 name of shipping commodity estimated number of packages crates containers or large break bulk pieces estimated each gross weight and dimension of packages At the same time the Seller shall send the Buyer description of any special precautions to be taken for the Contract Equipment with special requirement for temperature shock etc during the transportation and storage 卖方应在装运前 mail and fax of the Contract number the date and No of the bill of lading name of the carrying vessel as well as name total price total number of containers or large break bulk items total weight and total volume of the equipment and shipping forwarder s name and contacting telephone number at the destination 装运完成后 个工作日内 卖方应通知买方合同号 提单号 提单日期 货船名称 总价 货柜或大物件总数量 5 7 Should any replacement and or supplement part s be necessary to be made to the Contract Equipment due to Seller s responsibility in accordance with relevant provisions of the Contract the Seller shall make such replacement and or upplement to the Buyer s site and bear all the expenses and risks involved including the import customs duties incurred 按照合同有关规定 如果由于卖方的责任有必要对合同设备中的部件进行更换和 或补 充 卖方应承担赴买方场地进行如此更换和 或补充的全部费用和风险 包括由此产生 的海关进口关税 Article 6 Packing and shipping Mark 条款条款 6包装及唛头包装及唛头 6 1The Seller shall pack the Contract Equipment in crates and or put into containers or on shipping skids and or flat racks as may be necessary for large break bulk pieces not suited for crates or containerization Packaging should be suitable for long distance ocean and inland transportation numerous loading and unloading The Seller shall take protective measures to prevent the Contract Equipment from damage moisture rain rust 卖方将采用板条箱和 或装柜或船舶和 或对不适合板条箱或货柜运输的大部件进行必 要的板架包装和运输 包装将适于长途好运和内陆运输多次装卸 卖方应采取保护措 施以防止合同设备损毁 受潮 防雨淋 防锈 6 2 The Seller shall mark the following on the four adjacent sides of each crate ontainer or break bulk piece of the Contract Equipment with fadeless paint in conspicuous English printed word and in technical documentation all shall be English All the technical documentation furnished by the Seller shall be packed suitable for long distance air transportation numerous handling and Contract Equipment and or the technical documentation be damaged or lost due to the Seller s improper packing and or inadequate protective measures the Seller shall be responsible at his own cost and risk for making replacement completion according to the stipulation of the Contract 由于卖方的不良包装和 或保护措施不够导致合同设备和 或技术文件损坏或丢失 卖 方有责任按照合同的规定承担风险和费用 进行更换 补全 Article 7Installation Supervision Commissioning Support and Final Acceptance 条款条款 7 安装监督 试车支持和验收安装监督 试车支持和验收 7 1 Installation Supervision includes five weeks of a factory trained service person to supervise the installation of the contract equipment ovens Expenses are included for these weeks This is supervision only no skilled labor is included The Installation Support Engineer would work closely with the Buyer s personnel to complete the installation of the contract equipment Work includes assembly connection placing and fixing of the equipment to the position on the Buyer s site according to the assembly drawings the Seller have trained service person to assist with the start up commissioning training for the contract equipment Expenses are included for these weeks A factory trained person will be on site to assist with the results of the acceptance test show that the specifications and performance of the Contract Equipment as specified in the Technical Attachment three have been reached and both parties shall sign the Final Acceptance Certificate in four original buyer and seller will have two originals each party 如果合同设备验收测试的规格性能表现达到技术附件3的要求 双方应该签署最终的 验 收证书 4份正本 双方各持2份 7 4 Installation shall start soon after unpacking inspection of the Contract Equipment is 第 13 页 共 18 页 complete The Seller will provide the Buyer with working days for technical services on site for installation support start up commissioning and property evaluate and Final Acceptance The cost of the Seller s such technical services for working days on site including international air fare is included within the Contract price Buyer to provide at buyer s cost for local transportation for seller s technical personnel and If delay in completing the work above mentioned occurs due to the Seller s failure or reason the Seller s technical personnel shall automatically extend their technical services on site accordingly and the costs will be born by the Seller If such delay occurs due to the Buyer s failure or reason Seller s technical personnel and or erroneous technical documentation the Seller has delivered to the Buyer the Seller shall be responsible for repair and or replacement and all the expenses incurred there from shall be born by the Seller and the converse would also apply for damages due to the Buyer 如果因为卖方技术人员的指导错误或文件错误造成的设备损坏 卖方有责任进行维修 更换 由此产生的一切费用由卖方承担 反之由买方承担 7 6 property evaluate test shall be carried out in accordance with the SAT tests as noted in the Technical Appendix three for the Contract Equipment during the period of commissioning in order to test the equipment specifications as specified in the Technical Appendix three If the performance of the Contract Equipment and the property evaluate test results are fulfilled the Final Acceptance Certificate of the Contract Equipment shall be signed by on site representatives from both parties in 4 four originals two for each party The Contract Equipment is considered accepted by the Buyer upon the date of such signature
