Ltd.(hereinafter referred to as the company), is the companys legitimate shareholder;2、甲方同意将其拥有的公司1的股权给乙方；2.Party A agrees to donate its own 1% company shares to Party B; 3、乙方同意接受上述赠与。3.Party B agrees to accept the above donation.第二条 赠与程序Clause 2 Donation procedure1、甲方应当按照本协议提请公司向登记机关办理股权变更登记，并将股权变动情况登载于公司的股东名册，同时向乙方出具证明书；1.Party A shall, in accordance with this agreement, submit the company to the registration authority for registration of stock right change, and change the stock right on the list of shareholders of the company, and issue a certificate to Party B.2、 如此项赠与需征得公司其他股东同意的，甲方应负责取得该项同意。2.If such donation should be approved by the other shareholders of the company, Party A shall be responsible for obtaining the agreement.第三条 赠与的撤销1、如果乙方有严重损害公司利益或给公司造成损失的情况，甲方可以撤销赠与。1.In case of Party B has seriously damaged the interests of the company or caused losses to the company, Party A may revoke the donation.2、赠与撤销后，本协议终止履行。2.After the revocation of the donation, this agreement terminates its performance.第四条 承诺和保证Clause 4 Promises and Guarantees1、 甲方保证对依据本协议赠与给乙方的股权拥有完全的处分权；上述股权未设置任何抵押权或其他担保权; 1.Party A has the right to dispose of the shares that should donate to Party B according to this agreement, and no mortgage or other security right has been set up in the aforesaid shares.2、乙方承认原公司章程和股东之间的合同，保证按原章程和合同的规定承担股东权利、义务和责任。2.Party B acknowledges the articles of association of the original company and contracts between the shareholders,and undertakes the rights, obligations and responsibilities of the shareholders in accordance with the original Constitution and the contract.第五条 股权赠与的法律后果Clause 5 Legal Consequences of shares donation1、股权赠与完成后，乙方即成为公司股东，按其股权比例分享公司的利润和分担风险及亏损；1.After the donation of shares is completed, Party B becomes the shareholder of the company, and shares the companys profits, risks and losses in proportion to its share right.2、公司已经发生的债权债务不受股东变更的影响；2.The creditors rights and liabilities of the company have not been affected by the change of shareholders。第六条 费用的负担Clause 6 Expense undertaking本赠予协议实施所需支付的有关税费双方各负担二分之一。The parties shall bear 1/2 of the burden of taxes and fees for the donation agreement. 第7条 违约责任Clause 7 Liability for breach contract如果本协议任何一方未按本协议的规定，适当地、全面地履行其义务，应该承担违约责任。守约一方由此产生的任何责任和损害，应由违约一方赔偿。If any party to this agreement is not in accordance with the provisions of this agreement in place, fully fulfill their obligations, should bear the liability for breach of contract. Any liability and damages resulting from the non defaulting party, the defaulting party should responsible for compensation.第8条 法律适用和争议解决Clause 8 The application of law and The settlement of disputes1、本协议受中国法律管辖并按其解释；1.This agreement is governed by and construed in accordance with the laws of China.2、凡因本协议引起的任何争议，双方应协商解决；协商不成，任何一方均可向公司所在地法院提起诉讼。2.Any disputes arising under this agreement by the two sides should be resolved through consultation; consultation fails, any party may file a lawsuit with the court where the company is located.第九条 其他Clause 9 Others1、 本协议由双方或其委托代理人签字或盖章后生效；1.this Agreement shall be signed or sealed by the parties or their agents2、本协议正本一式五份，甲乙双方各执一份，公司执一份，其余由有关政府部门留存。2.The original agreement is in five copies, both parties hold one, the company holds one, and the rest is retained by the relevant government departments.甲
