8、ceives the shipme nt and the proforma in voice provided by the Seller.10. 单据Docume nt:卖方应提供下列单据：1) 手签的商业发票正本一式叁份，注明合同号、产品序列号、唛头。2) 注明装运箱数、尺寸、重量和相应货物的发票号码、日期及包装箱子包装材质的装箱单正本一式贰份；3) 卖方出具非木质包装声明一份4) 制造商出具的出厂质量合格证书正本一式贰份；The seller shall prese nt the follow ing docume nts:1) Signed Commercial In voice in

14、uarantee of Quality:卖方应保证所供货系由新的最上等材料，头等工艺制成、全新未曾用过，以及符合本合同规定的质量、性 能、规格和技术要求。保修期是发货日起36个月。详见合同技术附件。卖方应在保修期内对货物进行免费维修。The seller guara ntees that the commodity hereof is made of the best materials with the first class workma nship, brand new and unused, and complies in all respects with the quality,

15、performance and specifications stipulated in this con tract, and con forms to the tech nical manu als of the commodities con tracted. The guara ntee period shall be 36 mon ths counting from the date of shipme nt. Details as per con tract tech ni cal attachme nt. The Seller shall be responsible for t

16、he repair during the guarantee period free of charge.13. 检验及索赔：In spection and Claim:(1) 在交货前，制造商应出具关于质量、规格、性能、数量或重量证明书，证明货物符合合同规定。此证明 书为向付款行议付的完整文件的一部分，但不作为质量、规格、性能以及数量或重量的最终结果。制造 商开出的检测结果应成为质量证明书的一部分。Before the delivery, the manu facturer shall make a precise and comprehe nsive in spect ion of the

17、 goods as regards the quality, specification, performance and quantity/weight; issue certificates, certifying that the goods are in con formity with the stipulati ons of this con tract. The certificates shall form an in tegral part of the docume ntati on to be presented to the paying bank for negoti

18、ation but shall not be considered as final results in respect of quality, specificati on, performa nce and qua ntity/weight. Particulars and results of the test carried out by the manu facturer must be shown in a statement which has to be attached to the Quality Certificate.(2) 货物到达目的港，买、卖双方应就货物的规格、

If not, losses in cludi ng the detainment of the goods in the Customs, penalty etc, shall be borne by the Seller. The Buyer has the right to prosecute the Seller.货物到达目的口岸之后90天内，如果货物的质量、规格、数量与合同中规定的

24、tc.) shall be borne by the seller.(4)买方在第12条规定的保质期内，如操作过程中发现货物工艺低劣或使用不良材料或不是由于操作不当 而达不到合同有关质量技术要求，应立即以书面形式通知卖方并根据中国进出境检验检疫局开具的商检证 书提出索赔。卖方在向买方理赔的同时，应负责立即设法排除故障，更换整件或零部件。如有必要，买方 可自行排除故障，费用由卖方承担。As regards quality, the seller guara ntees that if, with in guara ntee period as specified in clause 12 her

25、eof, i n the event of damages occurring in the course of operation by reason of inferior quality of bad workmanship and not by improper operation , the buyer shall notify the seller immediately in written and put forward a claim supported by the Inspection Certificate issued by CIQSA. The seller in

26、accordanee with the buyer daim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity accord ing to the state of defect(s). When n ecessary, the buyer shall be at liberty to elim in ate the defect(s) himself at the seller s expenses.(5)卖

27、方收到买方索赔通知后，如在三十天内不答复，应视为卖方同意买方提出的一切索赔。Any and all claims shall be regarded as accepted if the Sellers fail to reply withi n30 days after receipt of theBuyers claims.14. 软硬件产品的调试、修复、升级及售后服务(1) 卖方承诺，本合同产品的软件部分终身免费升级。(2) 鉴于买方购买本合同产品是用于项目研究、及项目开发，故针对买方在项目研究、及项目开发过程中发现的卖方产品BUG、兼容问题、宣称的功能未能实现等各项产品问题，卖方应及时

28、解决、修复。解决期限最长不得超过一个月。如卖方不能及时解决相关问题，造成买方开发项目不能按 期完成，买方有权退货。Debuggi ng, maintenance, upgrade, and after-sales services of software and hardware products.(1) The Seller promises to provide life-long upgrade services for the software of products, free of charge.Con sideri ng that the Buyer buys products

29、here in for the purpose of project research and developme nt, the Seller shall solve and fix any faults related to products, including bugs, compatibility problems, and unfulfilled functions that are promised, with in a mon th. If the developme nt project of the Buyer cannot be fini shed on time due

30、 to the failure in solving related problems by the Seller, the Buyer has the right to return the product.15. 不可抗力：Force Majeure:在履行合同的过程中，由于不可抗力如战争、火灾、洪水、台风及地震等因素或其它双方认可的因素造成卖方（或买方）不能履行合同，卖方（或买方）对此不负责任。卖方（或买方）应在此后的14天之内立即将上述情况通知对方，并将事故发生地政府主管机关出具的事故证明书用空邮寄交买方（或卖方）为证，并取得对方认可。在上述情况下，卖方（或买方）仍有采取一切必要措施从

31、速交货的责任。如事故超过10 周，买方有权取消本合同。The seller/the buyer shall n ot be held resp on sible for being un able to carry out this con tract due to Force Majeure such as war, serious fire, flood, typhoon and earthquakes or other events agreed upon by both parties, which might occur during the process of manufactu

32、ring or in the course of loading or transit. The seller/the buyer shall advise the buyer/seller immediately of the occurre nce men ti oned above with in fourtee n days thereafter, the seller/the buyer shall send by airmail to the buyer/the seller for their accepta nce a certificate of the accide nt

33、issued by the Compete nt Gover nment Authorities where the accide nt occurs as evide nce thereof. Un der such circumsta nces, the seller/the buyer, however, is still un der obligati on to take all n ecessary measures to expedite/take the delivery of the goods. In case the accide nt lasts for more th

34、a n 10 weeks, the buyer shall have the right to can cel the Con tract. 如因原产国政府出口限制等因素造成卖方不能履行合同，所有损失由卖方承担。The seller shall bear all the cost for being un able to carry out this con tract due to the gover nment factors such as exporting limitation etc., in origin country.16. 延迟交货及罚款：Late Delivery And

35、 Penalty:如卖方未按合同规定准时交货，除本合同第15条款规定的不可抗力之外，在卖方同意支付罚款的情况下，买方应同意卖方延期交货。罚款可由支付银行在议付货款时扣除。在延迟交货的情况下，罚款金额最大不 能超过迟发货物总值的5%。罚款率为每7天0.5%，少于7天按7天计算。如果卖方交货期比合同规定时间延迟了 10周，买方有权撤销合同，尽管如此，卖方仍需付罚款金，不能拖延。Should the seller fail to makedelivery on time stipulated in the Con tract , with excepti on of Force Majeure ca

36、uses specified in clause 15 of this con tract, the buyer shall agree to postp one the delivery on con diti on that the seller agrees to pay a pen alty which shall be deducted by the pay ing bank from the payme nt. The pen alty, however, shall not exceed 5% of the total value of the goods in volved i

37、n the late delivery. The rate of pen alty is charged at 0.5% for every seve n days, odd days less than seven days should be counted as seven days. In case the seller fails to make delivery 10 weeks later than the time of shipme nt stipulated in the con tract, the buyer shall have the right to can ce

38、l the con tract and the seller, in spite of the cancellation, shall still pay the aforesaid penalty to the buyer without delay.17. 仲裁：Arbitration:凡与本合同或执行本合同而发生的一切争议，应通过友好协商解决。如果不能解决，则应在中华人民共和 国申请仲裁.仲裁费用由败诉方承担。仲裁过程中，双方应继续执行合同的其他部分。All disputes in connection with this con tract or the executio n ther

39、eof shall be settled frien dly through n egotiati ons. In case no settlement can be reached, the case may then be submitted for arbitration in P.R.C. Arbitration fee shall be borne by the los ing party. In the course of arbitrati on, both parties shall continue to execute this Con tract except the p
