9、 A shall providen ecessary docume nts and information to Party B as Party of the bases of the Project desig n performed by Party B and shall assume the resp on sibilityfor theirin tegrity and exact ness.5.1.2甲方应按本合同规定的金额 和时间向乙方支付设计费用。 在设计过程中，如因甲方的需 要，对已确认的设计要求做出 重大修改，而造成乙方增加额 外开支，费用由甲方负责，具 体费用由甲乙双方协

10、商确定。5.1.3在收到乙方提交的阶段性设 计文件后，甲方应及时以书面 形式确认，明确的提出修改意 见及完成时间。5.1.4甲方指定 陈悫 为本项目甲 方负责人；乙方指定Karl Princic 为本项目主要设计 师，如果乙方更换本项目设计 负责人或主要设计师，须提前 一周书面以公文并法人签字 通知甲方，同时须征得甲方同5.1.5甲方负责本合同中各方面与 设计内容相关的人员，在现场 交流中的组织协调工作。甲方 负责景观设计各阶段向政府 部门进行申报工作。5.1.6甲方上级对设计文件不审批 或本合同项目停缓建，甲方应 按乙方实际完成的工作量支 付应付的设计费。5.1.2 Party A shal

14、eProject.5.1.7若由于甲方的原因延误设计 工期，合同条款中相应的出图 日期将向后顺延。5.1.8对于乙方为履行本合同向甲 方提供的所有阶段性和最终 设计成果，及因履行本合同所 产生的其他研究成果，双方同 意其所含有的一切知识产权 含著作权、申请专利权和专利 权等权利属于甲方所有 。成 果提交甲方后，经甲方书面同 意，乙方可以发明人/作者的 名义在学术研究领域发表、申 报评奖。甲方在征询乙方同意 后，可以自行或委托他人为任 何方式之使用、修改和处分乙 方提交的设计成果。未经甲方 事前书面许可，乙方不得对上 述设计成果做任何复制、修 改、转让、自行或提供给他人 做任何方式的使用。乙方违

16、is delayed because of Party A, the desig n work delivery date shall be postp oned accord in gly.5.1.8 Any and all intellectual property rights,theamplificati on rights of such in tellectualproprietaryrights and their derivatives created by a Party or both Parties in relati on to design, and use of t

17、he design work shall be the sole and exclusive property of Party A. Party B can publish or apply for awards as author in the study and research fields with prior approval of Party A. With the agreeme nt of Party B, Party A has the right to use, allow others to use, modify or allow others to modify,

18、or tran sfer Party B s design work to any third Party. Party B shall not copy, modify, tran sfer, use or provide the design work provided to Party A to any third Party to use in any way without prior writte n5.2乙方权利义务521乙方必须遵照中国及东莞市 颁布的有关规范、规定及本合 同约定内容进行设计，并应使 设计服从甲方对本项目景观 设计的总体构思；在设计过程 中必须加强与甲方的沟通和

23、况作阐释交流，参与甲方 组织的景观方案汇报和施工 图纸的会审，以确保最终的设 计效果，定期配合甲方确定有 关景观效果的主要材料。5.2.4对设计过程中所需的设计资 料或其他需甲方配合的事项 应及时通知甲方。若甲方因销 售或企划等部门对外宣传需 要对设计作诠释或邀请乙方 参与讨论时，则乙方有协助义 务。5.2.5对于设计过程中的各阶段性 设计或其他重要问题，乙方均 应先送甲方审核后方可进行 下一步的设计，此类问题主要 是指涉及总体布局和重要景 观要素的确认和调整、涉及工 程量和投资变化较大的调整 等问题。5.2.6乙方对设计文件出现的遗漏 或错误应无条件修改或补充。 若因乙方原因造成设计返工，r

Party B shall assist Party A by explainingthe design workupon the request of or as required by Party A.5.2.5 Without prior writtenapproval of Party A, Party B shall not start any additi onaldesig n workphases,in cludi ngbut notlimited to, confirmation or

All costs and losses caused by delivery delay or errors or omissi ons in the desig n work shall be reimbur

30、sed by Party B or may be deducted from any payme nts due and payable to Party B.5.2.7 Con trol of the costsParty B shall use its best efforts to make all design concepts or scheme of the econo micallyrati on ale;5.2.8 Appointment of counselor or request for assista neeParty B may appo int a counselo

31、r to assist in the Project desig n.Anyreas on able fees caused byotherwise, Party B shall modify the design at Party A s request.529乙方负责原定设计范围内的 必要修改设计，包括调整设计 及补充设计。在乙方执行设 计任务期间，甲方如有较小修 改设计、变更设计，乙方将不 另行收费，甲方如有重大变更 设计，甲、乙双方应立即签订 补充协议，费用另计，乙方应 及时安排变更设计，不得影响 工程施工进行。（注：重大变 更设计是指设计范围的修改 和景观方案的重大调整，并造 成乙方

32、五个工作日以上的工 作量的）5.2.10乙方了解在与甲方合作过程中所获得或知悉的关于 甲方的信息包括项目信息、技 术图纸、资料、经营信息、人 力资源、本合同所涉及的设计 /研究内容、设计/研究成果等 等所有未公开之信息为甲方 的商业秘密，应严守其秘密 性。未经甲方事先书面同意， 乙方不得将乙方商业秘密或 甲方提供给乙方的技术资料、 图纸等用于履行本合同之外 的其他用途。乙方上述保密义 务的期限，从乙方知悉该资料 或信息之日起，直至公众可通 过合法途径获得、知悉相关资 料、信息之日止。such appo in tme ntshall bepaid by Party A on the con di
