1、反腐败、反贿赂及反洗钱承诺书Anti-Corruption, Anti-Bribery and Anti-Money LaunderingUndertakings1. 分包商（或供货商/卖方）承诺在执行本采购/分包合同过程中，或在与本 采购/分包合同有关的交易过程中，将遵守所有本采购/分包合同适用的或 项忖所在国国家颁布的，与反腐败、反贿赂及反洗钱有关的法律、法规、 规章、或政府命令。Subcontractor （or Supplier/Vendor） agrees and undertakes that in connection with this Subcontract and the

2、transactions contemplated by this Subcontract, it will comply with all applicable laws, rules, regulations, decrees and/or official governmental orders of the country by whose laws this Subcontract is governed and any country in which the Work is performed relating to anti-corruption, anti-bribery a

5、er or agent engaged to provide goods or services to the Contractor （or Purchaser/Buyer) Subcontractor (or SupplierAendor) agrees, undertakes and confirms that it, and each of Subcontractor Group, has not made, offered, promised to make or authorized the making of, and will not make, offer, or promis

6、e to make, or authorize the making of, any payment or other transfer of any financial or other advantage or anything else of value, including without limitation the provision of any funds, services, gifts or entertainment, directly or indirectly to:-(a) 任何政府官员；any government official;(b) 任职于承包商(或买方)

10、any improper purpose or where it would be improper for the Person to accept such an advantage, in connection with the performance of this Subcontract and the transactions contemplated hereunder or in connection with any other business transactions involving the Contractor (or Purchaser/Buyer), or in

11、 any other connection, if and to the extent that to do so is or would be in violation of or inconsistent with the principles or requirements of any anti-bribery or anti-money laundering laws applicable to Contractor (or Purchaser/Buyer) or to Subcontractor (or Supplier/Vendor). Notwithstanding the f

12、oregoing undertakings, Subcontractor (or Supplier/Vendor) agrees to notify Contractor (or Purchaser/Buyer) promptly upon discovery of any instance where Subcontractor (or Supplier/Vendor) has failed to comply with any provisions of this Clause 2.0.3. 分包商(或供货商/卖方)承诺在本采购/分包合同执行过程中以及在项LI 所在国与承包商(买方)进行的

18、ng to Subcontractor （or Supplier/Vendor）9s compliance with its obligations under this Clause 2.0, and to make copies, at Subcontractor （or Suppliei7Vendor）s expense, of any such books and records.5. 分包商（或供货商/卖方）同意按照承包商（买方）的要求，根据业主、 承包商（买方）或政府机构的调查需要，提供与执行采购/分包合同有关 的账簿、记录及人员信息。分包商（或供货商/卖方）也应当进一步向承 包商

19、（买方）确认，承包商（买方）在采购/分包合同执行期间任何时候 都可以要求分包商（或供货商/卖方）提供本承诺书所包含的信息。分包 商（或供货商/卖方）每年都应当向承包商（买方）书面确认遵守本承诺 书的要求。Subcontractor （or Supplier/Vendor） agrees to cooperate with the Contractor （or Purchaser/Buyer） as the Contractor （or Purchaser/Buyer） may request in making its books, records, and personnel availab

20、le in connection with any investigation conducted by Owner, Contractor （or Purchaser/Buyer） or government authorities of matters that may implicate transactions or activities carried out by Subcontractor （or Supplier/Vendor） in connection with this Subcontract. Subcontractor (or SupplierAendoiOwill

21、also provide the Contractor (or Purchaser/Buyer) with such further assurance or certificates that the Contractor (or Purchaser/Buyer) may request from time to time during the term of this Subcontract relating to matters covered by this Clause 2.0, and Subcontractor (or SupplierAendor) shall certify

22、to Contractor (or Purchaser/Buyer) in writing its compliance with this Clause 2.0 on an annual basis 6. 除采购/分包合同关于暂停及终止的规定以外，在不损害承包商(买方) 根据采购/分包合同或适用法律享有的其他权利及救济的悄况下，承包商 (买方)有权立即暂停付款或终止采购/分包合同：In addition to suspension and termination provisions set forth in Clause-Suspension Of The Work and Clause-

23、Termination hereof, and without prejudice to any other rights or remedies the Contractor (or Purchaser/Buyer) may have hereunder or at law (including, as applicable, the right to damage for breach of contract), Contractor (or Purchaser/Buyer)shal 1 have the right to suspend payment under and/or term

26、esignated as a Restricted Party. For purposes of this Clause 2.0, a Restricted Party is any Person who is identified from time to time by any government or legal authority under applicable trade sanctions, export controls, anti-money laundering, non-proliferation, anti-terrorism and similar laws as

27、a Person with whom trade or financial dealings and transactions by Contractor (or Purchaser/Buyer) and/or its Affiliates are prohibited or restricted7. 承包商(买方)应当根据釆购/分包合同的规定向分包商(或供货商/卖方) 付款。如果采购/分包合同未规定具体的支付方式，款项只能通过支票支 付，或转账到分包商(或供货商/卖方)在注册地、主要办事机构所在地 或项目执行地开立的银行账户。分包商(或供货商/卖方)应当书面告知 承包商(买方)详细的账户信息

28、。上述告知应当被认为分包商(或供货 商/卖方)向承包商(买方)保证所提供的银行账户仅为分包商(或供货 商/卖方)所有，除分包商(或供货商/卖方)以外，没有其他开户人，也 没有其他人对该账户享有权益。All payments by Contractor (or Purchaser/Buyer) to Subcontractor (or SuppIierAendor) shall be made in accordance with the terms of payment specified in this Subcontract In the absence of any such speci

29、fic payment instructions elsewhere in this Subcontract, payments by Contractor (or Purchaser/Buyer) to Subcontractor (or SupplierAendor) shall only be made by check or wire transfer to a bank account of Subcontractor (or Supplier/Vendor) in the country in which Subcontractor (or Supplier/Vendor) is

30、incorporated or where it has its head office, or to its office in the country in which the Work shall predominantly be performed, details of which shall be given by Subcontractor (or Supplier/Vendor) to Contractor (or Purchaser/Buyer) in writing Such notification shall be deemed to constitute a repr

31、esentation and warranty that the bank account so notified is owned solely by Subcontractor (or Supplier/Vendor) and that no Person other than Subcontractor (or Supplier/Vendor) has any ownership of or interest in such account.8. 本承诺书中提及的术语“政府官员”应当包括：For the purposes of this Clause 2.0, the term gove

35、his term also includes any person acting in any official, legislative, administrative or judicial capacity for or on behalf of any such government or department, agency, instrumentality, company, or public international organization, including without limitation any judges or other court officials,
