2、.1 RIGHTSGRANTEDTERRITORY:TheProprietorsherebygranttothePublisherstherighttotranslateintotheChineseIanguageSIMPLIFIEDCHARACTERSNLYandtoprint，publishandsell，atthePublishers'ownexpense，theWorkinTRADEHARDCOVERDRMDNLYexclusivelyinthefollowingterritory，subjecttoallthetermsandconditionsofthisAgreement

3、:MainlandofChinaonly.（版权许可及使用范围：按此协议，版权方仅授予出版方翻译此书为中文简体版本，并自行承担印刷、出版和销售的费用。遵照本协议的所有条款和条件，此专有出版权的作品仅允许在中国大陆出版精装本。）1.2 TERM:ThisAgreementcoversaperiodoffive（5）yearsfromagreementdate.Onexpirationofthislicense，allrightshereingrantedreverttotheProprietorswithoutfurtherwrittennotice.（条款：本合同有效期为签约之日起5年。合同到

ASSIGNMENTOFRIGHTS:ThisAgreementandtherightsherebygrantedmaynotbeassignedortransmittedinwholeorinpartbythePublisherseithervoluntarilyorbyprocessoflawandthetranslationoftheWorkmaynotbeissuedunderanyimprin

7、nitedStatesdollarsagainstthefollowingroyalty，basedonthePublishers'currentretaillistprice，onallcopiessold:6%for1-5，000copiessold;7%for5，001-10，000copiessold;and8%onall（版税及预付：出版方应copiessoldthereafter.预付合同中署名之版权方 1000.00 美国美元，此预付金不可退还。现列出如下版税：依据出版方目前的零售价格表，基于所售册数：售15，000册税率6；售5，00110，000册税率7；售10，00

9、rforpublicityorforthereplacementofdamagedcopiesbutthenumberofsuchcopiesfreeofroyaltyshallnotexceedfourpercent（4%）ofallcopiessold.（出版方应付版权方的版税应依据100零售价格表。为宣传而免费送给出版社或为替换损坏书册的，可不付版税，但免费书册数不得超过销售册数的4。）5.2 ACCOUNTING:ThePublishersshallaccounttotheProprietorsonprintings，sales，andearningsSEMI-ANNUALLYasof

10、the30thdayofJuneandthe31stdayofDecemberineachyearandwillmakefullsettlementoftheaccountwithinninety（90）daysthereafter.AllpaymentsrequiredtobemadebythePublisherstotheProprietorsshallbemadepromptlytotheProprietors.FailuretorendersuchaccountingandsettlementshallcauseautomaticterminationofthisAgreementan

11、dimmediatereversiontotheProprietorsofallrightsgrantedhereinwithoutprejudicetoanyclaimwhichtheProprietorsmayhavefordamagesorotherwiseassetforthinClause12hereof.Royaltyreportsshallnoteindetail:（账目核算：出版方应在印刷、销售和半年收益方面遵守版权方规定，即每年6月30日和12月31日后90天内，完全结算账目。出版方应付版权方的所有应付款项应及时支付。未能结算，合同将自动中止，无需发表任何声名，本合同提及之所

12、有权利立即返还版权方，并毫无疑义地承担任何可能对版权方造成的损失，否则执行相关条12条中款。）版税报告应记录：-thenumberofcopiesprinted;andthecumulativetotalprintings（印数；及附加印数）-thenumberofcopiesspoiled;andthenumberofcopiesgivenawayforPressandforpublicity（损坏册数；及赠送出版社为宣传使用的册数）-thenumberofcopiessold;andthecumulativetotalsales（销量；及附加总销量）-whenthePublishers&#

13、39;editionisoutofprint（出版方脱销日期）5.3 AUDIT:Ifsorequested，thePublishersagreetoallowtheProprietorstoauditthePublishers'booksofrecordrelatingtotheWorkinordertoverifyroyaltyaccountingandprintingstatements.（审核：若有要求，出版方允许版权方为证实版税账目和印制报告，审核出版方与此作品有关的档案册。）5.4 TAX:ShouldthePublishersbylawberequiredtodeduct

14、taxfromanysumsduetheProprietorsunderthisAgreementthePublishersshallprovideawrittendeclarationtothiseffectwiththerelevantstatementofaccountshowingtheamountdeducted.ThePublisherswillprovidetheProprietorswithofficialtaxreceiptsfromtherelevanttaxauthoritiesasevidenceofsuchpayments.Failuretodosowillbeabr

15、eachofthiscontract.（税款：若出版方依法从总应付金额式税款收据作中扣除税款，依据本合同，出版方应提供一份书面声明，注明扣税数额。出版方提供正为证据。未能做到的将视为违约。)5.5 REMAINDERING:ThePublishersmayremaindertheWorkandshallpaytotheProprietorstenpercent(10%)oftheamountreceivedexceptthatnoroyaltiesshallbepaidonanycopiessoldatorbelowcostofmanufacture，provided，however，that

16、nosuchremaindercopiesoftheWorkshallbesoldwithinathree(3)yearsperiodfromthedateoffirstpublicationbythePublishers.ThePublishersshallhavesix(6)monthstoselloffallcopiesoftheireditionoftheWorkontheexpirationofthetermofthisAgreement.AllsuchsalesaretobesubjecttoroyaltypaymentsstipulatedhereinandthePublishe

17、rsarerequiredtoaccounttotheProprietorsforallsuchsalesandprovidewrittennotificationwhenallcopieshavebeensold.Intheeventthatstockstillremainsafterthesix(6)monthsselling-offperiod，thePublishersarerequiredtodestroyallremainingcopies.(降价销售：出版方可降价销售作品，应付给版权方总收入的10，任何书册以成本价或低于成本价售出，无需版税。若作品未降价销售，应从出版方第一次出版

18、之日起售卖3年。合同期满之日起，出版方有6个月降价售完其所有图书。)此种销售行为应遵循本合同之版税支付规定，出版方的销售行为应遵照版权方，并提供书面脱销通知。6个月降价销售后仍有库存，出版方应销毁所有剩余图书。6.1PUBLICATION:ThePublishersshallpublishthetranslationoftheWorkwithin12monthsofthedateofthisAgreementandthenumberofcopiestobeprintedshallnotbelessthan5，000.IfthePublishersfailtoissuethetranslatio

19、noftheWorkwithintheperioddetailedallrightsgrantedinthisAgreementshallreverttotheProprietorsforthwithandtheadvancepaymentprovidedforinClause5.1hereinshallbeforfeitedwithoutprejudicetoanyclaimwhichtheProprietorsmayhavefordamagesorotherwise.出版：出版方应在签约之日起12个月内出版译作，印数不得少于5，000册。若出版方未能在规定时间内发行译作，所有本合同中的授权

21、PLIMENTARYCOPIESO:npublicationthePublishersshalldispatchtotheProprietorsten（10）freecopiesofthetranslatedWork.TheProprietorsshallhavetherighttopurchasefurthercopiesfortheirownuseatthebesttradediscount.（免费赠送：出版后，出版方应免费分发10册译作给版权方。版权方有权以最低折扣购买更多图书。）7.PROPRIETORSA'PPROVALT:hePublishersifrequestedtod

22、oso，shallsubmitthetranslationoftheWorktotheProprietorsforapprovalbeforepublication，andinthateventthePublishersshallnotproceedwiththeprintingofthetranslationoftheWorkuntiltheyhavereceivedsuchapprovalinwriting.TheProprietorsshallnotunreasonablywithholdordelaytheirapproval.BARDON-CHINESEMEDIAAGEN，CiYsa

24、lyandaccuratelymade，withoutchangeinthethemeorsubstanceoftheWork，exceptasmaybedeemednecessarytopermitlawfulpublicationthereof，andshallretainthespiritoftheWorkinsofarasmaybepracticable.ThePublishersfurtheragreethatanydeviationfromthestandardprescribedbythefirstsentenceofthisparagraphshallrequiretheexp

25、resswrittenconsentoftheProprietors.（翻译：出版方保证作品的翻译忠实准确，除为达到合法出版目的外，不变更原作的主题和主旨，并应在可执行的范围内保持原作之精神。出版方还应同意，任何背离本条第一句规定之处，应申请得到版权方的书面许可。）8.2 UNLAWFUCLONTENTST:hePublishersabsolvetheProprietorsfromanyliabilityarisingfromthepublicationofthetranslatedWork，butifintheopinionofthePublisherstheWorkcontainsanym

26、atterwhichisatanytimelibelousorotherwisecontrarytolaw，orwhichinfringesuponanyexistingcopyright（s）thenthePublishersmaysubmittotheProprietorsawrittenrequesttoremovesaidmatterfromthetranslationofthework.IfthePublishersreceivefromtheProprietorsawrittenconsenttosaidsubmittedrequest，saidmattermayberemoved

27、bythePublishersfromthetranslationoftheWork.（非法内容：出版方免除版权方的任何译作出版责任。但在出版方看来，作品包含任何损害他人名誉的或其它违法之处，或违反任何现行版权法的，出版方可向版权方递交一份从译作中删除此类内容的书面请求。出版方收到版权方的书面许可，此类内容才可从译作中删除。）8.3 ADVERTISEMENTSA:dvertisementsmaynotbeprintedorinsertedinanyeditionoftheWorkwhetherissuedbythePublishersorbyitssublicensee，withoutthe

28、Proprietors'priorwrittenconsent.（广告：未经版权方书面许可，不管是出版方还是其分支机构都不得在任何版本的译作中刊印广告。）8.4 PERMISSIONS:ThePublishersunderstandtherightstouseorprintartworks.Illustrationsand photographscontained within the Work or on its covers and/or jacketsarenotconveyedinthisAgreementunlessspecificallystated.ThePublishe

30、TNh:ePublisherswillnotdoanyactorpermitanyacttobedonewhichwillcauseinfringementoftheProprietors'copyrightorwhichwillcausethetranslationoftheworktovestinthepublicdomaininanycountryinwhichthePublishers'editionwillbecirculated.IntheeventthattheProprietors'copyrightisinfringedbyanyparty，thePublishersagreetoimmediatelynotifytheProprietorsandwillmakeeveryefforttoterminatethecopyrightinfringement.（翻译的版权保护：出版方不应做出或允许做出任何引发侵犯版权方版权，或引发作品译文流传到译作可能传播到的任何国家的公开领域的行为。若版权方版权被任一方侵害，出版方应立即通知版权方，并尽可能中止版权侵害。）9.2 TITLES:ThePublishersundertakestoprintineverycopyofthetranslationoftheworkpublishedbyt
