1、咨询服务合同ConsultationServiceContract甲方：南宁东亚糖业集团有限公司(PartyA:NanningEastAsiaSugarGroupCo.,Ltd.)乙方：南宁至哲企业管理顾问有限公司(PartyB:NanningZhizheQiyeGuanliGuwenCo.,Ltd.)根据中华人民共和国合同法的规定，甲、乙双方本着互惠互利，真诚合作的原则，决定就共同完成甲方管理咨询项目签订本合同。InaccordancewithTheContractLawofthePeoplesRepublicofChina,andontheprincipleofequalityandmut

13、ngEastAsiaSugarGroupCo.Ltd.only2、履行期限Termofperformance双方决定乙方顾问入驻日期为2005年4月6日，预计项目完成时间为4个月。咨询项目自乙方顾问入驻甲方开始至项目完成经甲方验收合格止。ThetwoPartiesagreetostartupthisprojectsince6May,2005,anditsexpectedthatitwilllastfourmonthsuntiltheprojectsolutionsarecheckedandacceptedbyPartyA.3、双方责任ResponsibilitiesofEachParty3.1

14、 甲方责任ResponsibilitiesofPartyA3.1.1 甲方应高度重视公司管理改善项目的实施，对乙方的工作提供支持，负责协调内部各部门及各工厂的关系，调动相关的资源，提供相关数据资料及方案文字处理等工作。被双方认可的工作或方案，在甲方组织中的贯彻、推动，由甲方负责。PartyAshouldtakespecialemphasisonthismanagementimprovementproject,andofferPartyBallnecessaryassistanceincoordinatingcross-sectionrelations,deployingrelatedresou

15、rcesand,providingrelevantdatainformationandwordprocessingservice.ProjectsolutionsthathavebeenapprovedbythetwopartiesshallbepromotedandimplementedbyPartyA.3.1.2 甲方负责与该项目有关的第三方进行协调，以保证项目的顺利进行。PartyAshallberesponsibleforcoordinatingwiththethirdpartyrelatingtothisprojectsoastoensureitinrightprogress.3.1

16、.3 甲方应按合同要求支付咨询费用。PartyAshouldpayPartyBconsultationchargeinaccordancewiththeprovisionsofthecontract.3.1.4 甲方向乙方顾问提供在甲方工作时必要的办公条件(如办公室、市话)，并为乙方顾问提供简便的午餐。PartyAshouldassistPartyBsconsultantsinprovidingfundamentalfacilitiessuchasofficeandtelephoneandstaffmeal(lunch)aswell.3.1.5 甲方应确保项目运作期间组织人员的稳定。Party

17、Ashouldassureastablecoordinationteamduringtheprojectinprogress.3.1.6 乙方提交的阶段性方案甲方应在5个工作日内予以回复，最终方案应在10个工作日内回复；如甲方在5个工作日后未予阶段性方案明确答复，乙方将视为甲方默许，可以开展下一阶段的工作；如甲方在10个工作日内未予最终方案明确回复，乙方将视为甲方接受。PartyAshouldrespondintimetoPartyBonitssolutionssubmitted,say,offeringtheiropinionsaboutthephasesolutionswithinfive

19、dbyParty.3.2乙方责任ResponsibilitiesofPartyB3.2.1 乙方应按合同第1.2条规定的内容为甲方提供咨询服务。ProvidingconsultationserviceinaccordancewiththeprovisionsofArticle.2 乙方负责咨询计划的制定、方法的传授、工具的提供及方案设计。Responsibleforestablishingaconsultationplan,tutoringPartyAadvancedmanagementmeansandtools,anddesigningtheprojectsolutions.3

20、.2.3 乙方应按照合同规定的时间、进度保质保量完成工作。Fulfillingthespecifictasksandonscheduleandingoodqualityandquantity.3.2.4 乙方应确保项目组的稳定性，保证进场顾问的专业水平。Insuringastableconsultingteamaswelltheprofessionallevelofitsconsultants.3.2.5 乙方应尽力协助甲方与项目有关的第三方进行协调。AssistingPartyAincoordinatingwiththethirdpartyrelevanttothisproject.3.2.

21、6 负责对甲方相关管理人员的培训，使甲方人员具备管理体系运作能力。ResponsiblefortrainingthemanagersofPartyAsothattheycanbecapableofrunningthisnewmanagementsystem.3.2.7 乙方完成工作后，应向甲方提供不少于一套的文字材料和电子文档。乙方提供的服务成果应尽可能做到通俗易懂。ProvidingPartyAwithatleastasetofconsultationdocumentsbothinwrittenandelectronicformwhenthewholeprojectisdone.Trying

22、tomakethesolutionssimple,understandableandfeasible.4、文件的传达Deliveringofdocuments4.1在本合同执行期内(含跟踪服务期)，甲方与乙方之间所有的正式通知及文件均采用书面形式传达给对方。Withinthevalidityofthecontract(theserviceperiodincluded),alltheformalnoticesandfilestoandfromthetwopartiesshallbedeliveredinwrittenpaper.5、工作的开展Theoperationofconsultingpro

23、ject5.1 项目正式启动后，甲方和乙方共同组建一个咨询项目委员会，由双方的高层管理人士负责。Whentheprojectisstartup,PartyAandPartyBshalljointlyestablishaConsultationCommitteeconsistingofthetopmanagersofthetwoparties.5.2 为确保咨询服务的质量和进度，乙方委托深圳市东方大成管理咨询有限公司作为合作伙伴，共同组成咨询项目小组开展对甲方的咨询服务工作。小组成员构成如下：乙方项目经理1人(彭荣模先生)，管理顾问1-2人(陈耀忠先生、黄道银先生)。乙方在经过甲方同意，确保项目

24、经理不变的情况下可增加、调配顾问组成员。Toguaranteethequalityandprogressoftheconsultationproject,PartyBconsignsShenzhenOrientalWisdomManagementConsultationCo.,Ltd.asitsbusinesspartner.TheywilljointlysetupaconsultingteamtoserveforPartyB.Theteammembersconsistofoneprojectmanager(PengRongMo,Mr.)andtwoorthreeconsultants(Che

25、nYaoZhong,Mr.;HuangDaoYin,Mr.).WiththeagreeingofPartyA,PartyBcanincreaseoradjustconsultants.5.3 甲方有权对乙方配备的服务咨询人员提出建议，并可要求乙方更换咨询人员。PartyAhastherighttogivesuggestionstoPartyBconsultants,andtoaskPartyBtoreplaceitsconsultants.5.4 甲方应按照乙方的提议成立项目配合小组，负责联系及协调工作，配合项目执行。PartyAwillsetupacoordinationteamasperP

26、artyBssuggestiontoworkincontactandcooperationbetweenthetwopartiesandwithinPartyAsdepartmentsandfactories,andberesponsibleforbringingtheprojectsolutionsintoeffect.5.5 甲方管理层应该提供的相关信息，安排管理人员及员工与咨询顾问相互合作、共同遵照咨询服务项目管理程序。乙方将全程培训甲方相关员工，做到知识转移。ThemanagersofPartyAshouldprovidePartyBwithrelevantdatainformatio

27、nandaskitsmanagementstaffsandemployeestocooperatewithPartyBconsultantssothattheycanjointlyabidebythespecifiedconsultationmanagementprocesses.PartyBshalloffertherelevantemployeesofPartyAaseriesoftrainingcourses.6、乙方的承诺CommitmentofPartyB6.1 乙方保证为甲方培训出能熟练实施运作该项目所设计的实施方案的管理干部。AssuringtohelpPartyAtrainin

28、gthedesignatedmanagerstobecapableofusingtheprojectsolutions.6.2 乙方保证对甲方的经营管理资料进行保密。KeepingPartyAsbusinessdatainformationasecret.7、后续服务Succeedingservice咨询服务基础工作完成后半年内，乙方的管理顾问根据甲方项目推行的需要定期到甲方解决相关问题，进行免费跟踪服务，平时以电话、电邮形式交流。Withinsixmonthssincethefundamentalconsultationworkhasbeenfulfilled,PartyBconsultan

29、tswillperiodicallyvisitPartyAandresolveproblemsrelatingtotheimplementationoftheproject.Thisservicewilldependuponthefactualnecessityandbefreeofcharge.TheconsultantswillalsocommunicatewiththedesignatedpeopleofPartyAbytelephoneoremail.8、其它责任Otherresponsibilities8.1 甲方任何人员不得以任何方式向与本合同无关的第三方泄露乙方为甲方服务的收费情

30、况。为此，甲方须于内部控制收费知情范围。AnypersonfromPartyAisnotallowedtoreleasetheinformationonconsultationchargetoanyirrelevantthirdPartyinanyway.TherebyPartyAshouldcontroltheinformationfrominside.8.2 乙方任何人员不得以任何方式向任何第三方泄露甲方的商业机密。甲方的经营情况不允许在乙方项目组以外传播。AnypersonfromPartyBisnotallowedtoleakPartyAsbusinesssecretstoanythi

31、rdPartyinanyway.PartyAsbusinessinformationanddocumentsarenotpermittedtospreadoutsidetheconsultingteamofPartyB.8.3 甲方对乙方完成服务工作后交付的服务成果(含建议书、方案及其相关文字资料等)有所有权，并对后继改进的成果有所有权。PartyAholdsownershipovertheconsultationresultssubmittedbyPartyB(posal,solutions,andanyrelevantwrittendocuments,etc.),andov

32、erthesucceedingimprovedresultsaswell.9、工作成果的确认与验收Approvalandacceptanceofthesolutions1.1 由甲方与乙方共同成立的咨询项目委员会负责验收，咨询项目小组与项目配合小组协助验收；TheConsultationCommitteewillberesponsibleforapprovingtheprojectsolutions,withthehelpofthePartyBsconsultingteamandPartyAscoordinatingteam.1.2 验收标准由甲方与乙方共同商定(满足甲方的需求)。Theapp

33、rovalandacceptancecriteriawillbedecidedbythetwopartiesthroughconsultation,satisfyingPartyAsrequirements.10 、咨询费用及付款方式ConsultationchargesandPayment10.1 甲方支付乙方的工作咨询服务费为人民币壹佰贰拾捌万伍仟元整(RMB1,285,000)；PartyAshallpaytoPartyBatotalconsultationservicechargeofRMB1,285,000.00.10.2 在项目服务实施过程中，如出现超出或少于本合同第1.2款规定的

34、内容，则服务费用将作相应的增加或减少调整；Duringtheperiodofconsultationservice,iftheprovidedcontentsofserviceinArticle1.2areincreasedorreduced,thenthepaymentwillbealsoincreasedorreducedaccordingly.10.3 全部咨询费用分三期支付：Paymentfortheconsultationserviceshallbemadebythreetimes:(1)2005年4月12日前甲方向乙方支付总咨询费用的35%，即人民币肆拾肆万玖仟柒佰伍拾元整(RMB

35、449,750)；PartyAshouldpaytoPartyB35%(RMB449,750)ofthetotalconsultationchargebefore12May,2005.(2)在乙方完成了工作标准设计与培训、职业规范手册及辅导、绩效管理体系设计、薪酬福利体系设计、全面激励体系设计与培训体系设计，并经甲方审批后支付总咨询费用的40%，即人民币伍拾伍万肆仟元整(RMB514,000)AfterPartyBhascompletedthefollowingfiveitemsofjob(tandardsdesignandrelevanttraining,vocational

36、behaviorscriteriadesignandvocationaltraining,andthedesigningofperformancemanagementsystem,payandbenefitssystem,comprehensivemotivationsystemandtrainingsystem)whichareapprovedbyPartyA,thenPartyAshouldpaytoPartyBanother40%(RMB514,000)ofthetotalconsultationcharge.(3)在项目结束审批后的三天内支付总咨询费用的25%，即人民币叁拾贰万壹仟贰佰

37、伍拾元整(RMB321,250)；Withinthreedayssincethesolutionshavebeenapproved,PartyAshouldpaytoPartyBanother25%(RMB321,250)ofthetotalconsultationcharge.11 、合同的终止与解除TerminationandrescissionofContract11.1 本合同至双方责任义务履行完毕后终止。Thecontractwillbeterminatedwhenthetwopartieshavefulfilledtheirrespectiveresponsibilitiesand

38、obligations.11.2 乙方的阶段性工作成果如多次不能得到咨询项目委员会的认可，甲方可单独解除合同。PartyAmayunilaterallyrescindthecontractprovidedthatPartyBsphaseresultscouldntbeapprovedbytheConsultationCommittee.11.3 甲方如逾期十天未支付服务费，乙方可单方终止合同。PartyBmayunilaterallyrescindthecontractprovidedPartyAfailstopaytoPartyBexceedingthetimelimitoftendays.12 、违约责任LiabilityforBreach12.1 合同双方在合同期内如无法定的或本合同约定的情形不得解除合同，任何一方单方终止合同应向对方人民币伍万元(RMB50,000)作为违约金。Nopartyshallrescindthecontractduringits
