24、议,不得与中华人民共和国的法律、法规、规章相冲突,也不得与本合同或者?劳动合同?相冲突。 5.4乙方有权根据中华人民共和国的法律、法规自行制定并公布各类规章制度,包括但不限于工时制度、加班制度、休假制度、工资制度、(年终)奖金制度等;但该规章制度不得与中华人民共和国的法律、法规相冲突,而且应该向中国员工公示。 第六条 甲方履行的义务 6.1甲方应与乙方聘用的中国员工依法办理相关手续。 6.2甲方应根据本合同和附件的约定,向乙方提供各类由乙方选定的效劳。 6.3甲方应教育中国员工自觉遵守中华人民共和国的法律、法规和乙方的规章制度。 6.4甲方应按照双方确定的标准为乙方聘用的中国员工缴纳社会保险和

25、住房公积金。 6.5甲方协助中国员工办理出国(境)手续。 6.6甲方协助中国员工办理担任乙方的(首席)代表的手续。 6.7甲方为符合规定的中国员工办理职称评定。 6.8甲方应乙方的要求,协助乙方对中国员工造成乙方的经济损失进行追索。 第七条 乙方履行的义务 7.1乙方应根据本合同和附件的约定,按月向甲方足额支付管理费。 7.2乙方应根据中华人民共和国的法律、法规和上海市的有关规定,承当中国员工的社会保险和住房公积金的责任。 7.3乙方应尊重中国员工的民族习惯和宗教信仰,严禁种族歧视和性别歧视。 7.4乙方应向中国员工提供符合中华人民共和国法律、法规、规章规定的劳动保护和劳动条件,提供符合国家规

26、定的工作条件、工作场所等。并应承当中国员工工伤的责任。 7.5乙方应根据中华人民共和国法律、法规和上海市的规定依法执行工时制度以及加班制度。 7.6乙方应根据中华人民共和国法律、法规和上海市的规定给予中国员工休息和休假。 7.6.1一般为聘用的中国员工安排每一公历年十五天的带薪年休假; 7.6.2初次聘用的中国员工,当年未工作满一公历年的,可以按实际聘用时间,每满一个月,给予一天的带薪年休假; 7.6.3乙方另有规定,或者与中国员工另有书面约定的,应当按该规定或约定执行。可以不履行本条7.6.1和7.6.2的约定。 7.7乙方聘用中国员工每满一公历年的,年终由乙方向甲方加付一个月的管理费作为中

27、国员工的年终双薪。 7.7.1初次聘用的中国员工,当年未工作满一公历年的,可以按实际聘用时间,每满一个月,年终由乙方向甲方加付一个月管理费的十二分之一。 7.7.2乙方另有规定,或者与中国员工另有书面约定的,应当按该规定或约定执行。可以不履行本条7.7和7.7.1的约定。 7.8乙方应根据中华人民共和国的法律、法规和上海市的规定给予女性的中国员工特殊劳动保护,保障其在孕期、产期和哺乳期的合法权益。 7.9乙方应依法代扣代缴中国员工的个人所得税。 7.10 因乙方与中国员工发生聘用争议而引起甲方与中国员工发生劳动争议仲裁或诉讼的,乙方应作为甲方的代理人或者证人参加仲裁和诉讼。 第八条 双方共同享

28、有的权利和履行的义务 8.1本合同以及与之相关的一切文件,包括但不限于合同的草稿、附件、报价、往来 信函等,均为甲、乙双方之商业秘密,任何一方均不得以任何形式向第三方泄露,否那么应承当相应之违约责任和经济责任。 8.2任何一方有权对另一方违反本合同的行为进行交涉并提出整改意见和要求,违约方有义务赔偿因此造成的一切损失。 8.3任何一方有权要求另一方根据中华人民共和国制定的法律、法规、规章执行并变更本合同的相应条款:另一方应当执行。 8.4任何一方应根据另一方的需要,提供相应的法律、法规、规章。 法律、法规、规章规定的其他情形。 10.3聘用的顺延 聘用期满,中国员工有本条10.2的情形之一,同

29、时不属于本条10.1的情形,乙方 应顺延其聘用关系直至本条10.2的情形消失。 10.4 除本条10.1和10.2约定的情形外,乙方要解除与中国员工的聘用关系,应当提前三十天以书面形式通知中国员工和甲方。 10.5 甲方可以按照劳动法规与中国员工解除或终止劳动合同关系。 第十一条解聘的经济补偿 11.1乙方根据本合同10.4的约定,解聘中国员工的,应根据中国员工在乙方工作年限每满一年支付相当于中国员工一个月报酬的标准,向甲方支付解聘中国员工的经济补偿金。在乙方工作年限未满一年的,按一年标准支付补偿金。 11.2乙方因为中国员工患病或非因工负伤,医疗期满后不能从事由乙方另行安排的适当工作而解除聘

30、用关系的,除按本条11.1的约定支付经济补偿金外,还需按不低于中国员工六个月报酬的标准,向甲方支付中国员工的医疗补助费。 第十二条聘用关系的协商解除 经乙方与中国协商一致,乙方与中国员工的聘用关系可以解除。同时,乙方应按照本合同11.1的标准,向甲方支付解聘中国员工的经济补偿金。 第十三条 中国员工解除聘用关系 13.1有以下情形之一的,中国员工可以通知乙方解除聘用关系: 13.1.1 在试用期内的。 篇三:劳动合同范本(中英文) ? ?
