3、ed partner of FuzhouFund, this Supplemental Agreement of Limited Partnership Agreement of XXXX Partnership（Limited Partnership） （referred to as Supplemental Agreement） was entered into on the dateof, 2020 by and between XXXX （referred to as the “Fund Manager）, a limitedpartnership duly established a

4、nd validly existing under the laws of the Peoples Republic ofChina with its place of establishment and incorporation in Beijing）, as the Fund Manager ofFuzhou Fund, and AA in accordance with applicable laws and regulations of China.除非本补充协议另有约定或相关条款的上下文文意另有所指，本补充协议相关定义应 与XXXX合伙企业（有限合伙）之有限合伙协议（下称“有限合伙

5、协议”）中所 用定义具有相同含义。Unless otherwise stipulated by this Supplemental Agreement or its context, the termsshall havethe same meanings as those in the Limited Partnership Agreement of XXXX Partnership(Limited Partnership) (referred to as “Limited Partnership Agreement).第一条投委会观察员及咨询委员会成员Observer of the Inv

6、estment Committee and the member of the Advisory Committee. XX有权委派一名代表作为观察员列席福州基金的投委会的任何会议。AA shall have the right to appoint a representative as an observer to attend any meeting of the Investment Committee of Fuzhou Fund.若福州基金设立咨询委员会，XX将在咨询委员会拥有一个席位。AA will have a seat in the Advisory Committee if

7、 it is set up for the Fuzhou Fund.第二条知情权Right to be informed.在每个季度结束后的一个月内，基金管理人应向XX提交未经审计的福州基金该季.度的完整财务报表。如果XX要求提供额外的月度财务报表或其他信息，基金管理 人同意尽最大努力提供该等资料和信息。The complete unaudited financial statements of the Fuzhou Fund for that quarter shall be provided by the Fund Manager to AA within one month after

8、the end of each quarter. If AA requests additional monthly financial statements or other information, the Fund Manager agrees to do best efforts to provide such materials or information.XX在有限合伙协议中应享有的与信息披露相关的权利不受上述条款影响，基金 管理人仍应根据有限合伙协议的有关约定向XX履行其他的信息披露义务。AAs rights related to information disclosure

9、in the Limited Partnership Agreement shall not be affected by the abovementioned term. The Fund Manager shall still perform other information disclosure obligations in favor of AA in accordance with the relevant terms of the Limited Partnership Agreement.第三条项目跟投权/共同投资机会Right of Co-Investment / Co-In

10、vestment Opportunity.福州基金投资任何项目，XX有权选择以不劣于福州基金的投资价格和投资估值进 行跟投，前提是所投企业同意XX的跟投。If the Fuzhou Fund invests in any project, AA has the right to choose whether to invest the project jointly with price and valuation not less favorable than the Fuzhou Fund with the prerequisite that the target company acce

11、pts the co-investment from AA. XX向所投企业委派董事的权利则需根据届时XX实际投资金额情况以及与所投企 业的协商情况而定。The right of AA to appoint board member(s) to the target company will be subject to the actual amount of investment of AA and the negotiations with the target company.如果届时福州基金其他有限合伙人主张跟投权，则XX与其他有限合伙人各自独立 地行使跟投权并受限于与所投企业的协商及

12、所投企业的自主选择。If other Limited Partners of the Fuzhou Fund also claim the right of co-investment, then such Limited Partners and AA shall exercise the right of co-investment independently subject to the negotiation with the target company and the options of the target company.2第四条最优惠待遇Preferential Treat

13、ment基金管理人承诺就其现在或将来给予任何其他有限合伙人的权利、优惠、特权或豁免 待遇，同样给予XX (除非XX明确选择放弃)。AA will be entitled to any right, preference, privilege or exemption treatment that Fund Manager undertakes to grant or will grant to other Limited Partners, unless AA expressly waives such right.第五条保密条款Confidentiality.未经一方提前书面同意，本补充协议

14、另一方不得将本补充协议内容披露给任何第三 方，监管部门明确要求向其披露的除外。一方根据前述约定必须进行披露的，应仅 在监管部门要求披露的范围内披露，且应在每次实际披露之前书面通知另一方，并 在完成相关披露后的合理期间内及时将相关情况书面告知另一方。The Party of this Supplemental Agreement will not disclose any contents of this Supplemental Agreement to any third party without the prior written approval of the other Party,

15、 unless otherwise expressly required by the relevant authorities.Where a Party isrequired to make disclosure in accordance with the foregoing, it shall make disclosure accordingly only to the extent required by the relevant authorities, shall notify the other Party in writing before each actual disc

16、losure, and shall promptly notify the other Party in writing of the relevant circumstance within a reasonable period after completion of such relevant disclosure.本补充协议终止或解除后，本条款约定继续有效。After the termination or rescission of this Supplemental Agreement, the terms hereof shall remain valid.第五条违约责任Liabi

17、lity of Default任何一方违反本补充协议任何约定的，则构成违约，应向另一方承担违约责任，且另方有权要求违约方纠正。Any breach of this Supplemental Agreement by either Party shall constitute a breach of contract.The breaching Party shall be liable to the other Party for breach of this Supplemental Agreementand the other Party has the right to request

18、the breaching Party to rectify the breach.第六条争议解决方式Dispute Resolution凡因本补充协议引起的或与本补充协议有关的争议，双方应通过友好协商解决，协商 不成的，应提交上海国际经济贸易仲裁委员会(上海国际仲裁中心)按照该会届时有效 的仲裁规则在上海进行仲裁。仲裁使用的语言为中文。仲裁庭应由三(3)名仲裁员组成。 仲裁裁决是终局的，对双方均有约束力。败诉方应承担仲裁费、保全费、鉴定费、执 行费、胜诉方合理的律师费等相关费用。Any dispute arising out of or in connection with this Sup

19、plemental Agreement shall be resolvedfirst through friendly negotiations. In the event no settlement is reached, it shall be referred to arbitration at the Shanghai International Economic and Trade Arbitration Commission (Shanghai International Arbitration Center) in accordance with the its rules as

20、 administered at the time of applying for arbitration in Shanghai. The arbitration shall be conducted in Chinese.The arbitration tribunal shall be composed of three (3) arbitrators. The arbitration award shall be final and binding upon both Parties. The losing Party shall bear all arbitration fees,

21、preservation fees, appraisal fees, enforcement fees, reasonable attorney fees of the prevailing Party and other related expenses.第七条其他Miscellaneous.L本补充协议自双方签署之日起正式生效。XX持有福州基金任何份额期间，基金管 理人承诺始终确保XX享有本补充协议的所有权利。This Supplemental Agreement shall become effective upon being executed by the Parties.Durin

22、g the period when AA holds any share of Fuzhou Fund, the Fund Manager undertakes to ensure at all times that AA enjoys all rights under this Supplemental Agreement.本补充协议相关约定如若与有限合伙协议中就基金管理人与XX之间的权利义 务构成冲突或不一致的，则以本补充协议约定为准。为免疑义，本补充协议的签署 不视为XX对其在有限合伙协议项下任何权利的放弃，且XX在有限合伙协 议项下的权利不受任何不利影响。In the event of

23、 any conflict or inconsistency between the terms of this Supplemental Agreement and those of the Limited Partnership Agreement governing the rights and obligations between the Fund Manager and AA, the terms of this Supplemental Agreement shall prevail. For the avoidance of doubt, the execution of th

24、is Supplemental Agreement shall not be construed as a waiver by AA of any of its rights under the Limited Partnership Agreement and AAs rights under the Limited Partnership Agreement shall not be 4adversely affected in any way.本补充协议以中英文书就，两种文本冲突时，以中文文本为准。This Supplemental Agreement shall be written
