DraftPAGE6/NUMPAGES6StrategicCooperationAgreement战略合作协议TheAgreementisenteredintobyandbetweenthefollowingpartiesonthedayof[],本协议由下列两方于[日期]签署：PartyA:ZhejiangXxCulturalDevelopmentCo.,Ltd.anditscontrolledcompanyMilanExpoCulturalCommunication(Beijing)Co.,Ltd,withaddressinRoom2302,XingLianBuilding,515ChangningRoad,ChangningDistrict,Shanghai,P.R.China,representedforthepurposehereofbyChairman&ManagingDirectorMr.LiYongping(StephenLee)(hereinafter“XxGroup”or“PartyA”)甲方：xx文化发展股份有限公司及其控股的x文化传播（xx）有限公司，办公地址坐落于xx室，由董事长兼总经理xxxx先生代表签署本协议；And/和PartyB:UnioncamereEmilia-Romagna,withaddressin[]Italy,representedforthepurposehereofbythelegalrepresentative[]乙方：[]PartyAandPartyBarecollectivelyreferredtoas“TheParties”甲乙各方合称为“各方”Whereas鉴于1)ZhejiangXxCultureDevelopmentCo.isacompanylistedinChinawithstocknumberxx,engagedinactivitiessuchasculturaleventsorganization,conventionandexhibitionservices,advertisement,publicrelations,internationaltradeandtourismactivities.OnoccasionofMilanWorldExpoxx(“EXPO”),XxiscarryingoutaseriesofprojectsrelatedtotheparticipationandvisitinEXPO,distributionofconsumerproducts,merger&acquisition,tourismandculturalexchange.xx文化发展股份有限公司是一家中国的上市公司，股票代码：xx，主要从事国际经贸交流、文化交流、会展、广告、公关以及旅游业务。以xx年x会（以下称“x会”或“世博会”）为契机，xx在意大利全力发展世博参加/观光、品牌代理、企业并购、旅游合作、文化合作等各领域的商业计划。2)ThecompanyMilanExpoCulturalCommunication(Beijing)Co.,LtdcontrolledbyXxhasalreadybeenauthorizedbyChinaCouncilforthePromotionofInternationalTrade(“CCPIT”)asthe"xxMilanWorldExpoChinaRoadshowOrganizationPartner",toorganizetheroadshowandcarryoutexhibitionactivities,mediapromotionandeventorganization,alsothroughraisingfundsbywayofmarketdevelopment(seeAnnex1attachedherein).Inaddition,companyMilanExpoCulturalCommunication(Beijing)Co.,Ltd,asanimportantorganizerandexecutorofthe“MillionChineseTouriststoItaly”Project,hasalsobeenrecommendedbyCCPITasthe"RecommendedhospitalityserviceproviderforChinaPavilionatxxMilanWorldExpo"fortheprovisionofhospitalityservicestoChinesedelegationstravellingtoItalyduringand/orconnectedtoMilanExpo(seeAnnex2attachedherein).Onthebasisoftheaboveauthorizations,XxGroupiscarryingoutaseriesofactivitiesrelatedtoxxMilanWorldExpo,asbetterdescribedbelow.

2)xx旗下的x文化传播（xx）有限公司已获中国贸促会授权作为“xx年意大利x会中国路演活动合作单位”，通过市场开发等方式筹集资金用于路演策划、展览制作、媒体推广和活动组织等相关事宜（相关授权请见附件1）。此外，还获中国贸促会推荐作为“xx年意大利x会中国馆中方接待服务推荐单位”，作为“百万中国游客意大利行计划”的重要xx集团和实施者，为中国代表团赴意大利工作访问提供接待服务（相关授权请见附件2）。在以上授权基础上，xx正在开展一系列与xx年x会相关的活动，具体见下文所述。3)Besides,ZhejiangXxCulturalDevelopmentCo.hasplentifulbusinessresourcesinChina,maintainsgoodrelationshipwithChineselocalgovernments,providesmarketingpromotionservicestoforeignbrandsenteringChinesemarket,andprovidesconsultingservicestoChineseenterprisestoinvestaboardaswell.3)另外，xx文化发展股份有限公司在中国拥有大量的商业渠道，并与中国各地政府具有良好的合作关系，为国外品牌进入中国市场提供市场发展服务，同时也为中国企业赴境外投资提供咨询服务。4)TheUnioncamereEmilia-Romagnaisa[]4)UnioncamereEmilia-Romagna是Afteramicablenegotiation,thePartiesherebyagreetocooperateforprovidingbusinessreceptionandbusinesscommunicationservicesforlocalChineseGovernmentandEnterpriseDelegationsduringxxMilanExpo,promotingtheProjectof“MillionsofChineseTouriststoItaly”Project,aswellastocooperateinthepromotionalactivitiesinChinaofUnioncamereEmilia-Romagna,itsrelatedchambersofcommerce,anditsmembershipenterprises.Therefore,thePartiesherebyenterintotheStrategicCooperationAgreementasbelow.各方经过多次友好交流，就xx年意大利x会期间为各中国地方政府代表团和相关企业代表团提供商务接待服务和经贸交流服务；为百万中国游客米兰行计划的实施推进具体工作；为UnioncamereEmilia-Romagna及其服务的商会和企业在中国的推广达成重大意向，同时，也为各方在后世博时期的经济贸易交流工作达成重大意向，并签订本战略合作协议。Partnership合作关系1.1PartyAherebyconfirmsthatPartyBwillbeitsstrategicpartnerinItalyandbothpartieswilljointlyorganizeandcoordinateinthereceptionandeventorganizationforChineseGovernmentandEnterpriseDelegationsduringMilanExpoperiodtotheextentoftheterritorycoveredbyPartyB,andwilljointlypromotetheExpoChinaroadshows,theGuidebook(seedefinitionbelow)aswellasthePriorityPlan(seedefinitionbelow)allwiththetargettopromotethe“MillionsofChineseTouriststoItaly”project.甲方确认乙方为其在意大利的战略合作伙伴，共同组织并沟通协调x会期间的中国地方政府代表团和相关企业的服务接待和活动组织工作（限于乙方所涉地域范围）；共同推动为服务百万中国游客米兰行计划而实施的x会中国路演活动、《中意文化交流暨x导览手册》以及“中国游客优享计划”。1.2PartyBherebyconfirmsthatPartyAwillbeitsstrategicpartnerinChinaandwillbePartyB’spartnerinprovidingreceptionandlogisticservicestoChineseGovernmentandEnterpriseDelegations,andinorganizingB2BmeetingsbetweenChinesecompaniesandItaliancompaniesduringMilanExpoperiod.Forthepost-Expoperiod,PartyAwillalsohelpPartyBinattractingChinesecompaniestoinvestinItalyandassistpartnerchambersofcommerceandenterprisesofPartyBtodeveloptheChinesemarket.乙方确认甲方为其在中国地区的战略合作伙伴，在x会期间作为乙方指派的机构负责对接中国的政府和企业代表团，及负责组织中国企业与乙方会员或合作企业间的B2B会面。在后世博时期，甲方会协助乙方推动中国企业赴意大利投资、帮助乙方的会员企业进行中国市场的开发。CooperationduringMilanExpo关于x会期间的合作BusinessReceptionandEventOrganizationServiceforChineseGovernmentandEnterpriseDelegations关于中国地方政府代表团和企业代表团的商务接待和活动组织工作2.1.1PartyBshallarrangeandinvitelocalItaliangovernmentalofficials,industryassociationandmembershiporpartnercompaniestoattendthebusinessexchangeandpromotionalactivitiesinvolvingChineseGovernmentandEnterpriseDelegationsorganizedbyPartyA.乙方负责安排和邀请意大利关于政府官员、行业协会和会员企业参加由甲方组织的各中国地方政府和企业代表团的经贸交流活动和商务推广活动。2.1.2PartyAshallhaveprioritytousethesitesownedbyPartyBtoholdbusinessexchangeactivitiesduringMilanExpoperiodandPartyBshallalsoassistPartyAtofindotherpropersitesforsuchactivitiesintheterritoriescoveredbyPartyB.乙方为甲方优先安排乙方拥有的场地供甲方在x会期间举办各种经贸、文化交流活动使用，并协助甲方寻找其他合适的场地举办活动。2.1.3PartyBshallberesponsiblefortheorganizationofvisittofamouscompaniesinItalyandtheB2BcommunicationactivitieswithsuchcompaniesforChineseGovernmentandEnterpriseDelegations.乙方负责安排和组织中国地方政府和企业代表团赴意大利知名企业参观学习并进行B2B商务交流活动。2.1.4PartyBshallassistPartyAinmediarelationship(pressrelease),includingtopromoteactivitiesandprojectsimplementedbybothPartiesvianewspaper,TV,radioandinternet.乙方协助甲方组织媒体宣传工作（新闻发布），通过报纸、电视、无线电、互联网宣传各方共同组织的活动和项目。2.1.5FortheprojectsjointlyorganizedbytheParties,PartyBshallissueInvitationLetterforbusinessvisaforChinesevisitorsmanagedbyPartyA.为各方共同组织的活动之需，乙方为甲方管理的中国访客提供商务签证所需的邀请信。2.1.6PartyBwillassistPartyAinthearrangementoflocalaccommodation,transportationandtourismforChineseGovernmentandEnterpriseDelegationsintheterritoriescoveredbyPartyB.乙方为中国地方政府代表团和企业在意大利期间的住宿、xx和旅游提供协助。2.1.7IncaseofanyqueryconcerninginformationofvenueorbusinessopportunitiesmadetoPartyBbyChineseGovernmentDelegationorEnterpriserepresentedorintroducedbyPartyA,suchqueryshallbeimmediatelyforwardedbyPartyBtoPartyAforthetreatmentandrepliesbythelatter.当有中国地方政府代表团和企业向乙方询问或咨询场地、商务合作信息时，乙方应及时将信息反馈并交由甲方统一处理.JointImplementationof“MillionsofChineseTouriststoItaly”Project关于百万中国游客意大利行计划的共同实施2.2.1PartyAwillpublisha“GuidebookforvisitingMilanExpoandincommemorationofthe45thanniversaryofdiplomaticrelationsbetweenChinaandItaly"(“Guidebook”)whichwillprovideinformationaboutcityguide,accommodation,food,travel,art,shoppingetc.invariousItaliandestinationstoChinesevisitors.ThisGuidebookwillbedeliveredontheflightsfromChinatoItalyandduringtheexchangeofQRcodeticketstorealticketsofMilanExpo.ThePartiesunderstandthattheGuidebookwillplayanimportantroleduringthestayinItalyoftheChinesevisitors.甲方将在x会之前或期间推出可以印有意向大利各大区和城市关于购物、住宿、美食、旅游、艺术等各种优惠信息的《中意文化交流暨x导览手册》，这本手册将在中国飞往意大利的航班上，以及x会二维码门票和实体门票转换过程中进行发放。各方认识到这本手册将对中国游客在意大利的消费起到重要的作用。2.2.2PartyAwillimplementa“ChineseTouristsPriorityPlan”(“PriorityPlan”)forChinesevisitorswhoholdsbank-cardwithcertainlogosdesignatedbyPartyA.ThroughthespecialoffersorpromotionsofferedbycooperativecompaniesinItaly,thisplanwillattractandinfluencetheconsumptionbyChinesevisitors.BothPartiesunderstandthatthisplanwillplayanimportantroleforpromotingthebusinessofthemembershiporpartnercompaniesofPartyBaswellasbenefitthegrowthofthelocaleconomy.甲方将在x会期间推出针对持甲方指派标识的中国游客“优享计划”，通过意大利各商户的优惠促销活动，刺激并影响中国游客的消费，各方认识到这将对乙方的会员企业、意大利各大区的经济发展起到重要的作用。2.2.3Therefore,PartyBwillassistPartyAinthecontactwithitsmembershiporpartnercompaniesinrelationtojoiningthe“ChineseTouristsPriorityPlan”andtotheadvertisementontheGuidebook.为此，乙方承诺协助甲方与乙方的会员企业进行洽谈并推出针对中国游客的优惠计划、在《中意文化交流暨x导览手册》上投放广告或促销信息。PromotionofUnioncamereEmilia-RomagnainChina关于UnioncamereEmilia-Romagna在中国的推广2.3.1PartyAagreestoassistPartyBforitspromotioninChina,andhelpPartyBpartnerchambersofcommerce,membershipcompaniestodevelopChinesemarket,subjecttothetermsandconditionstobeagreeduponbetweenPartyAandPartyBand/orPartyB’spartnerchambersofcommerceandmembershipcompanies.甲方承诺协助乙方在中国的推广，帮助乙方的企业开发中国市场，乙方企业与甲方的具体合作各方自行商量。2.3.2DuringthetermofthisContract,PartyAmayintroducefromtimetotimeChinesegovernmentinstitutions,chambersofcommerceandenterprises(“ChineseOrganizations”)toPartyBand/orPartyB’spartnerchambersofcommerceandmembershipcompanies.ThePartiesherebyundertakethatforanycontactgivenbyPartyAtoPartyB,PartyBshalldesignatePartyAastheuniquerepresentativeofPartyBinthecontactwiththeChineseOrganizationsintroducedbyPartyA.ItisunderstoodthatPartyBshallhavetherighttocontactdirectlytheChineseOrganizationsintroducedbyPartyA,onconditionthatPartyBshallkeepPartyAinformedofanyandeachcontactmadebyPartyBtotheChineseOrganizationsatthesametimewhensuchcontactismade.CooperationAfterExpo关于后世博各方的合作3.1PartyAagreestoattractmoreChinesecompaniestovisitandinvestinItalyandPartyBagreestoprovideinformationandchancesforcooperationandinvestment.甲方承诺将推动更多的中国企业赴意大利投资，乙方负责提供项目合作信息和机会。3.2PartyBwillselectItaliancompanieswhichareinterestedindoingbusinessintheChinesemarketandassistPartyAtonegotiatewithsuchcompaniesthenselectedbyPartyAforthepurposeofpromotingItalianbrands’entranceintoChinesemarket.乙方搜集汇总有爱好进入中国市场的企业信息，经甲方筛选后，乙方协助甲方与这些企业的会谈，共同推动意大利品牌进入中国市场。Confidentiality保密协议BothPartyshallkeepstrictconfidentialallinformationreceivedfromtheotherpartyduringthisAgreement(ConfidentialInformation).AnydisclosureofConfidentialInformationtoanythirdpartynotforthepurposeofthisAgreementshallbepreviouslyapprovedinwritingbytheotherParty,unlesssuchinformationisalreadyinpublic’sdomainatthemomentofdisclosure.各方应将在本协议履行过程中从对方获取的所有信息严格进行保密（“保密信息”），如非为履行本协议之目的不得将上述信息透露给任何第三方，但事先取得另一方书面同意或透露时信息已经为公众所知晓的情况除外。Liabilityfo
