煤炭购销合同中英文SaleandPurchaseContractForSteamCoal煤炭购销合同ContractNumber:XXXXXXThiscontractismadeon__________,2012,byandbetween:本合同由如下双方于2012年___月___日签署：SELLER:卖方：XXXXXXXXXX(hereafterreferredasXXX),andBUYER:XXXXXXXXXX(hereafterreferredtoasXXX)买方：DEFINITIONS：定义InthisAgreementunlethecontextotherwiserequires:在此协议中除非有其它要求：1."adb"meansairdriedbasis."adb"是指空干基;2."arb"meansasreceivedbasis.3"arb"是指收到基;"Cargo"meanscargoofapproximately2x60,000MT+/-10%steamcoal;"Cargo"是指货物每船装运约60,000MT+/-10%的动力煤;4."Coal"meanssteamcoalproducedbytheSellerfromEastKalimantan."Coal"是指卖方产的东加里曼丹动力煤;5.GEOSERVICESmeansChinaCertification&Inspection(Group),.Ltd.oritsaffiliatedcompanies6."TrialShipment"means2(two)Vesselsof60,000MT(+/-10%)asperseller'soption.7."CFR"hasmeaningascribedtosuchterminINCOTERMS2000(asamendedfromtimetotime."CFR"含义等同于(随时修正的)INCOTERMS2000确定的相同术语的含义;8."LoadingPort"meansthevesselanchorageat,SouthKalimantan,Indonesia,orsuchotherportasthepartiesmayagreetoinwriting."装货港"是指船只停泊锚地，即印尼东加里曼丹或由双方书面同意的其他港口;9."DischargePort"meansSouthChina1SBSPinthePeople'sRepublicofChina,asmaybedesignatedbyBuyer."卸货港口"是指由买方指定的中国营口鲅鱼圈码头;10."Kcal/Kg"meanskilocaloriesofenergyperkilogramofcoal."Kcal/Kg"是指每公斤煤炭的发热量;11.Whencalculatinganypriceoradjustedprice,orcomponentthereof,theresultsofsuchcalculationshallberoundedtothenearestcentandonhalfofacentshallberoundedup.Whencalculatinganytonnage,theresultsofsuchcalculationshallberoundedtothenearestKilogramandoneKilogramofakilogramshallberoundedup.当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近的分值四舍五入，并且0.5美分应当四舍五入到1美分;当计算任何吨数时，这类计算的结果应当按照最接近的公斤数四舍五入，并且0.5公斤应当四舍五入到1公斤;12."US$"means(unleotherwisespecified)thecurrencyoftheUnitedStatesofAmerica."US$"是指美元(除非有其他规定);13."Party"or"Parties"meansSellerorBuyerorBoth."Party"或者"Parties"是指卖方或买方或双方;14."MetricTonne"or"MT"or"Tonne"shallmean1,000kilograms"公吨"或"MT"或"吨"是指1000公斤;15."BasePrice"meansthebasepriceforCoalfixedfromtimetotimeinaccordancewithClause3.1,3.2and3.3"基准价格"是指按照本合同第3.1、3.2和3.3款随时确定的煤炭底价;16.DeliverytimeattheDischargingPortmeansthefirstdaywhenshipsailtodischargeport.在卸货港交货时间意为船到达卸货港的第一天;17.Unlethecontextotherwiserequires,thesingularshallincludingthepluralandviceversa.除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然;Whereas,SellerhasagreedtosellandBuyerhasagreedtopurchasetheCoalinaccordancewiththetermsandconditionssetoutbelow.TheSellerandBuyermutuallyagreeasfollows:买卖双方均同意根据如下条款和条件购销煤炭：1.QUANTITY数量：SelleragreestosellandBuyeragreestopurchasetotalTrialShipmentQuantityofapproximately2x60,000MT+/-10%asperseller'soption.卖方同意卖，买方同意买大约总合同数量为2x60,000MT的动力煤+/-10%卖方决定。2.DELIVERY出货2.1ThefirstdeliveryattheDischargingPortshallbemadewithin45(fortyfive)daysuponBuyeropentheLetterofCredit.Thenextdeliverywillbe30(thirty)days.PartialShipmentsisnotallowedandTranshipmentisnotallowed.买方开出信用证后的45天内货运至卸货港。不允许分批和转运。2.2TheTrialShipmentwillbe2x60,000MT+/-10%asperseller'soption.数量为60,000MT+/-10%由卖方决定.3.PRICE价格3.1ThebasepriceisUS$51.-(fiftyone)perMTCFRFOSouthChina1SBSP.Totalamount:US$6,120,000.-(+/-10%)基准价格为每吨51美金CFRFOSouthChina1SBSP合同总金额：US$6,120,000.-(+/-10%)TheBasePriceshallbeadjustedinaccordancewithClause4.2.基准价格按照本合同第4.2款予以调整。3.3TheBasePriceforCoaldeliveredshallbebasedonNetCalorificValue(ARB)of3,700kcal/kg.所交付煤炭的基准价格的计价标准为热值收到基低位发热量3,700大卡/公斤。4.QUALITY品质4.1ThequalityofCoaldeliveredhereundershallconformtothefollowingguaranteedspecificationdeterminedinaccordancewithISOStandardsbyGEOSERVICESattheloadingport:在本合同项目下交付的煤炭质量应符合按照装港GEOSERVICES根据ISO标准所确定的以下规格：4.2.PRICEADJUSTMENT价格调整4.2.1IfNetCalorificValue(ARB)ofshipmentexcesses3,800kcal/kgorbelow3,600kcal/kg,thepriceofthatshipmentshallbeadjustedasfollows:ThebasepriceshouldbeincreasedbyUSD1.50perMTforeach100kcal/kginexceof3,800kcal/kg;fractionsof100kcal/kgtoproratatominimumincrementof+/-1kcal/kg.AndthebasepriceshouldbedecreasedbyUSD1.50perMTforeach100kcal/kgifbelow3,700kcal/kg;fractionsof100kcal/kgtoproratatominimumincrementof+/-1kcal/kg.AndthebasepriceshouldbedecreasedbyUSD3.00perMTforeach100kcal/kgifbelow3,600kcal/kg;fractionsof100kcal/kgtoproratatominimumincrementof+/-1kcal/kg.如果所装运货物的热值(收到基,低位)高于3,800大卡/公斤或低于3,600大卡/公斤，价格按如下调整;每比3,800大卡/公斤增加100大卡/公斤，则基准价格增加1.50美元/公吨。不足100大卡/公斤，按比例计算，最小变动值为+/-1大卡/公斤。每比3,700大卡/公斤减少100大卡/公斤，则基准价格减少1.50美元/公吨。不足100大卡/公斤，按比例计算，最小变动值为+/-1大卡/公斤。每比3,600大卡/公斤减少100大卡/公斤，则基准价格减少3.00美元/公吨。不足100大卡/公斤，按比例计算，最小变动值为+/-1大卡/公斤。4.2.2IfTotalSulfur(ADB)ofshipmentisinexceof0.6%,thepriceofthatshipmentshallbedecreasedbyUSD0.10perMTforeach0.01%ifinexceof0.6%;IfTotalSulfur(ADB)ofshipmentisbelow0.5%,thepriceofthatshipmentshallbeincreasedbyUSD0.50perMT.如果所装运货物的全硫分(空干基)高于0.6%，每增加0.01%，则基准价格减少0.10美元/公吨。如果所装运货物的全硫分(空干基)低于0.5%，则基准价格增加0.50美元/公吨。4.2.3TotalMoisture-foreachpercentagepointinexceof36%until38%,theinvoiceweightshallbecalculatedasperthefollowingformula.全水分-若每个百分比超过36%且不超过38%，发票的重量必须根据如下公式进行计算：InvoiceQuantity=Certificateofweight(asperdraftsurvey)X(100+36.5-ActualTM)/100发票重量=重量证书(根据水尺测量)X(100+36.5-实际全水分)4.2.4IfAshContent(ADB)ofshipmentisexceof5%andbelow6%,thebasepriceofthatshipmentshallbedecreasedbyUSD0.25/mtforeach1%ifinexceof5%.如果所装运货物的灰分(空干基)高于5%且低于6%，每增加1%，则基准价格减少0.25美元/公吨。4.3IftheresultofthetestingrequiredinClause4.1attheloadingissuedbyGEOSERVICES,exceedstherejectionlimitssetoutinClause4.1(hereinafterreferredtoas"Non-SpecificationSteamCoal")regardleofwhetherornottheSellerhasnotifiedtheBuyerthatthecoalisNon-SpecificationSteamCoal,then:ThePartieshereinshallimmediatelydiscualternativetermsofsupplyandmayagreetoadifferentpriceandthetermsuponwhichBuyershallpurchasetheNon-SpecificationSteamCoal;orTheBuyermay,ifthePartieshereinfailtoreachagreementinaccordancewith(a)above,rejecttheNon-SpecificationSteamCoal,whereupontheSellershallimmediatelyremovetheNon-SpecificationSteamCoalandBuyershallnotbeobligedtopayforit.TheSellershallberesponsibleforallcostrelatedthereto.4.4IftheresultofthetestingrequiredinClause4.1atthedischargeportissuedbyCIQ,exceedstherejectionlimitssetoutinClause4.1(hereinafterreferredtoas"Non-SpecificationSteamCoal")regardleofwhetherornottheSellerhasnotifiedtheBuyerthatthecoalisNon-SpecificationSteamCoal,then:ThePartieshereinshallimmediatelydiscualternativetermsofsupplyandmayagreetoCoal;orb.TheBuyermay,ift;rejecttheNon-Specificati;paymenttothebuyerwithin3;beresponsibleforallcostr;appliedforthedelayrefund;5.WEIGHTANDQUALITYDETERM;Theweightandqualityofshi;theLoCoal;orb.TheBuyermay,ifthePartieshereinfailtoreachagreementinaccordancewith(a)above,rejecttheNon-SpecificationSteamCoal,whereupontheSellershallrefundthe100%provisionalpaymenttothebuyerwithin3workingdaysfromthedateofrejectionoccurred.Thesellershallberesponsibleforallcostrelatedthereto.Interestofsuchpenaltyat0.5%perdayshallbeappliedforthedelayrefund.5.WEIGHTANDQUALITYDETERMINATION重量和质量定值TheweightandqualityofshipmentofcoalhereundershallbedeterminedbyGEOSERVICESattheLoadingPortatSeller'sexpensethroughDraftSurvey.ThesamplingandanalysismethodologybyGEOSERVICESattheLoadingPortshallcomplywithISOstandards.GEOSERVICESshallprepareandholdanArbitrationSampleforthreemonthswhichwillbeusedintheeventthatthereisasubstantialdifferencebetweentheQualityasdeterminedattheLoadingPortandattheDischargePort.船所装载煤的重量和质量应由GEOSERVICES机构在装载港口通过水尺检重加以确定，且由卖方承担相关费用。GEOSERVICES应按照ISO标准进行取样和分析。GEOSERVICES将保留一份仲裁样本，该样本应保留三个月，用于一旦发生装载港和卸货港质量检验出现巨大差异时。Theweight&qualityofCoalisofficiallyrequiredtobere-inspectedbyCIQinChinaattheDischargePortatBuyer'sexpensethroughDraftsurvey.ThesamplingandanalysismethodologybyCIQinChinashallcomplywithISOstandards.CIQshallprepareandholdanArbitrationSampleforthreemonthswhichwillbeusedintheeventthatthereisasubstantialdifferencebetweentheQualityasdeterminedintheLoadingPortandattheDischargePort.TheresultissuedbyCIQshallbefinalforbothpartiestofinalpaymentexcept5.4.按照正式要求，煤的重量和质量应由CIQ在中国境内的卸货港通过水尺检重进行再检验，且由买方承担相关费用。CIQ应按照ISO标准进行取样和分析。CIQ将保留一份仲裁样本，该样本应保留三个月，用于一旦发生装载港和卸货港质量检验出现巨大差异时。除5.4条规定的情况外，CIQ的结果对于买卖双方是最终结算的依据。Acertificateofweight,samplingandanalysisissuedpursuanttoClause5.1and5.2shall,subjecttoClause4.2,bethebasisofSeller'sinvoicesandshallbethefinalbindinganalysis.根据本合同4.2款,按照本合同第5.1\5.2款出具的重量、取样和分析证明，应作为卖方开具发票的基础且应具有最终效力。5.4IfthedifferenceofNetCalorificValue(ARB)betweenGEOSERVICESatloadingportandCIQatdischargingportisnotmorethan100kcal/kg,thefinalsettlementisinaccordancewiththetestresultofGEOSERVICESatloadingport;Incasethedifferenceismorethan100kcal/kgandbelow200kcal/kg,thefinalsettlementisinaccordancewiththetestresultofCIQatdischargingportexcluding100kcal/kgtolerance;Incasethedifferenceismorethan200kcal/kg,bothpartiesshallarrangere-inspectionsbyrespectiveinspectioninstitute,whichareacknowledgedbybothparties.Thefinalsettlementisinaccordancewiththepartywhoseownanalysisdifferssmallerfromtheaveragetestresultsofbothinspectioninstitutes.IftheaveragetestresultsofbothinspectioninstitutesisthemeanoftheanalysisofGEOSERVICESandtheanalysisofCIQthenthefinalsettlementisinaccordancewiththemeanofGEOSERVICESatloadingportandCIQatdischargingport.如装港GEOSERVICES与卸港CIQ的热值(低位收到基)测量差异小于100大卡/公斤，最终结算按照装港GEOSERVICES的结果;如差异大于100大卡/公斤，小于200大卡/公斤，最终结算按照卸港CIQ的结果(扣除100大卡/公斤的误差值);如差异大于200大卡/公斤，由双方各指定对方认可的检验机构复检，最终结算依据最接近双方指定检验机构化验结果的平均值的一方。如果双方指定检验机构化验结果的平均值与装卸港的检验结果平均值相符，最终结算将依据装卸港的检验结果平均值。IfthedifferenceofweightbetweenGEOSERVICESatloadingportandCIQatdischargingportisnotmorethan0.5%,thefinalsettlementisinaccordancewiththeresultofCIQatdischargeport;Incasethedifferenceismorethan0.5%,morethan0.5%oftheparts,witheachresponsibleforhalf。如装港GEOSERVICES与卸港CIQ的重量测量差异小于0.5%，最终结算按照卸港CIQ的结果;如差异大于0.5%，大于0.5%的部分，双方各承担一半。5.5BuyerandSellershallhavetherighttoattendorberepresented,attheirownexpenseandrisk,attheweighingandanalysispursuanttoClauses5.1and5.2.6.PAYMENT付款6.1Within14(fourteen)workingdaysafterContracthasbeensignedbybothParties,thebuyershallissueanirrevocabletransferableLetterofCreditatsightinfavoroftheseller.TheL/Camountshouldcoverthevalueof100%quantity(+/-10%).TheLetterofCreditshallbeissuedthroughaprimeinternationalbankacceptabletoSeller,andshallbepayableagainstthedocuments买方和卖方应有权参加或派代表参加本合同第5.1条及第5.2条规定的测重和分析，但自行承担相关费用和风险specifiedasfollows:6.2ThesaidLetterofCreditshallbepayablebytheissuingbankfortheamountof95%ofthevalueofthisshipmentaccompaniedbythefollowingdocuments:开证银行将凭据以下文件凭信用证议付给卖方95%的货款总值:(a)3/3setsoriginalcleanonboardoceanBillsofLadingmadeouttoorderandblankendorsedmarked"freightpayableasperCHARTERPARTY",notifyingtheBuyer.3/3套正本清洁已装船海运提单，空白抬头，空白背书，注明"运费支付按照租船合同",通知人为买方。(b)Seller'ssignedprovisionalcommercialinvoicein1originaland3copiesshowingL/CNo.andContractNo.,vesselname,B/LNo.;卖方签署的暂开商业发票正本一份副本三份，注明信用证号和合同号，船名，提单号;(c)CertificateofOriginin1originaland2copiesissuedbytherelevantIndonesiangovernmentalauthority;相关印尼政府机构签发的原产地证明正本一份副本二份;(d)Certificateofweightin1originaland2copiesissuedbyGEOSERVICESatloadingport;装载港口的GEOSERVICES签发的重量证明正本一份副本二份;(e)CertificateofQualityin1originaland2copiesissuedbyGEOSERVICESatloadingport;装载港口的GEOSERVICES签发的质量证明正本一份副本二份;(f)CertificateofDraftsurveyin1originaland2copiesissuedbyGEOSERVICESatloadingport;装载港口GEOSERVICES签发的水尺证明正本一份副本二份(g)Seller'scertifyingcopyoffaxdispatchedtotheBuyerwithin48hoursafterthevesselsailedaway,indicatinggoodsname,quantity,invoicevalue,B/LNo.,invoiceNo.,ETAofthevessel.装船通知，注明：货名、数量、金额、提单号、发票号、ETA。6.3The95%paymentpursuanttoClause6.2shallbecalculatedbasedontheWeightandqualityofCoalascertifiedbytheCertificateofWeightandtheCertificateofQualityissuedbyGEOSERVICESintheLoadingPort本合同第6.2款所述的95%货款支付以GEOSERVICES在装载港签发的重量证明及质量证明所述的重量和质量計算。6.4ThesaidLetterofCreditshallbepayablebytheissuingbankforthebalancepaymentofthisshipmentaccompaniedbythefollowingdocuments:开证银行将凭据以下文件凭信用证议付给卖方货款的余款：(a)Seller'ssignedfinalcommercialinvoicein1originaland2copiesshowingL/CNo.andContractNo.,vesselname,B/LNo.;卖方签署的最终商业发票正本一份副本两份，注明信用证号和合同号，船名，提单号;(b)Certificateofweightin1copyissuedbyCIQatthedischargingport;卸货港口的中国商检CIQ签发的重量证明复印件一份;(c)CertificateofQualityin1copyissuedbyCIQatthedischargingport;卸货港口的中国商检CIQ签发的质量证明复印件一份;(d)CertificateofDraftsurveyin1copyissuedbyCIQatthedischargingport.卸货港口中国商检CIQ签发的水尺证明副本一份。6.5ThebalancepaymentpursuanttoClause6.4shallbecalculatedbasedontheweightandqualitytestresultsbyCIQatdischargingport.TheamountwillautomaticallyfluctuateupordowninaccordancewiththeClause4.2/5.4herein.本合同第6.4款所述的余款支付基于CIQ在卸货港的重量和质量检测结果来计算。结算金额将根据第4.2/5.4款规定的情况自动进行价格的上下调整。6.6BuyershallsendtheCopyofCertificateofQualityandWeightbye-mail/faxissuedbyCIQatdischargingporttotheSellerwithin7daysafterthecompletiondischargeatthedischargingport.买方需在货物抵达卸货港卸毕后7日内，通过电子邮件/传真向卖方提交中国商检CIQ在卸货港签发的重量及质量证明的复印件。6.7Seller'scertifiedcopyoffax/telexdispatchedtotheBuyerwithin48hoursaftershipmentadvisingthefollowingitems:卖方应该在装船后48小时内通过传真/电传通知买方证明下列事项：?Nameofvessel(船名)?B/LNo.(提单号)?Shippingdate(装船日)?ContractNo.(合同号)?ETA(预计到港日)6.8IntheeventthatthesumspaidtotheSellerunderprovisionalpaymentof95%CFRvalueexceedsthefinalCFRshipmentvalueinaccordancewithClause5asdescribedhereinabove,thesellershallpaythebuyersuchexcewithin7daysofreceivethecopyofCIQreport.PaymentshallbemadeinUS$,bytelegraphictransfertotheBuyer'snominatedbankaccount.如果暂付的95%CFR金额超出以条款5为依据的最终CFR总金额，卖方须在收到CIQ报告后7个工作日内，将多付货款以电汇形式返还买方。7.REJECTION拒绝收货7.1Sellershalluseitsbestendeavourstoensure
