TABLEOFCONTENTSRECITALS序OFLICENSE授许可FOR许费用OFLICENSE可有效期REPRESENTATIONSANDWARRANTIES方承诺与保证COPYRIGHTNOTICES/RETAINEDRIGHTS版告知与权利保留RESPONSIBILITYFORSITE网的责任MISCELLANEOUSPROVISIONS其约定Notices通Assignment不得转让协议权利和义务Governinglaw管辖法律Entire协议的完整性EXHIBITACOMPOSITIONS附一乐ThisLicenseAgreement(the“”ismadeeffective[DATE],BETWEEN:NAME]"Owner"),acorporationorganizedexistingunderthelawsofthe[STATE/PROVINCE],withheadofficelocatedat:AND:[LICENSEENAME](the"Licensee"),acorporationorganizedexistingunderthelawsofthe[STATE/PROVINCE],withheadofficelocatedat:WHEREAS,OwneristheholderofcopyrighttocertainmusicalcompositionsidentifiedhereinandLicenseethecreatorandofacertainsiteontheWorldWebwhowishesintegratemusicalcompositionsofOwnerintosaidsite.RECITALS序representsandwarrantstotheLicenseethatthesoleandexclusiveofcertainmusicalcompositionswhicharedescribedinExhibit“”attachedheretoandaparthereof(hereinafterreferredas“”representsandwarrantsthathasregisteredandobtainedregistrationcertificatefrom[COUNTRY]CopyrightOfficewithrespecttotheCompositionsandthattheregistrationnumbersapplicablesuchCompositionssetforthinExhibit“A.”LicenseemaintainsasiteaccessiblethroughtheWeb,whichsiteislocated[ADDRESS].LicenseewishesobtainalicenseusetheCompositionsinconnectionwithWebSiteandOwnerwishestograntLicenseesuchalicensesubjecttothetermsconditionsforthinthisAgreement.representsandwarrantsthatithasandunrestrictedpowerandauthoritytoenterintothisAgreementandtograntLicenseelicensetousetheCompositionsassetforthinthisAgreement.THEREFORE,inconsiderationofpromisesandagreementssetforthherein,receiptandsufficiencyareacknowledgedbyparties,theparties,forothergoodandvaluableconsideration,eachintendinglegallyboundhereby,dopromiseagreeasfollows:OFLICENSE予许可1.1OwnerherebygrantstotheLicensee,thenon-exclusiverightandlicensetousetheCompositions,oranyportionofCompositionsastheLicenseeshallseeconnectionwiththe’WebSite.1.2Thelicensegrantedhereunderanon-exclusive,worldwide,royaltyfree(subjectonlytotheonetimelicensingsetforthherein)tousetheCompositions,subjectthetermsandconditionsforthherein.1.3Thetermoflicenseshallbeperpetual,unlessterminatedpursuantthetermshereof.1.4ThelicensegrantedhereinshallbelimitedtherighttointegrateCompositionsintotheSitetheLicensee.LicenseeshallhaverightofferCompositionsforsaleotherwisedistribute,publish,grantanysub-licenses,sell,rent,convey,offerfordownloadorotherwiseexploittheCompositions.LicenseeshallnotbepermittedtocreateanyderivativeworksbaseduponCompositions.1.5Licenseeshallbepermittedtouseportions,nottheentireCompositions,inconnectionwithitsSitewithoutviolatinganyrightsofthehereunder.LicensegrantedhereinincludesrighttosynchronizeandintegratetheCompositionsintotheLicensee’sWebSitedesignandincludeCompositionsconnectionwithFlashpresentations,applets,pageloads,onlinepresentations,andanyotherthatintegratestheCompositionsintodesignthe’WebSite.1.6ItisandagreesbyOwnerthatuserswhoaccessthe’WebSitewillbepermittedheartheCompositionsuponaccessingLicensee’WebSitethatsuchaccessbyusersbepermittedpursuantthetermshereof.ItisfurtheracknowledgedbytheOwnerthattheLicenseecannotpreventusersfromviolatingthecopyrightsandotherproprietaryrightsoftheOwnerandthatLicenseenotresponsiblefortheinfringingactsofusers.OwnerholdsLicenseeharmlessfromandagainstactsoftheusersthatmayinfringeupontherightstheOwner,includingbutnotlimitedtoactionsbaseduponcontributoryinfringementsoranytheorybasedupontheLicenseeprovidinguserswiththemeansandfacilitiesthroughwhichcopyrightorotherproprietaryrightsinfringementmaytakeplace.1.7TheLicensegrantedhereinincludesrighttoadapttheCompositionstoanappropriatefileformatforaccessthroughtheWorldWideWeb,includingWAVfiles,Mp3format,oranyotherformatwhichwillpermitintegrationintothe’WebSiteandaccesstotheCompositionsoverthe8OwnerherebygrantstotheLicenseetherighttousetheoftheandthecomposerandartistsinvolvedintheCompositionsinconnectionwith’WebSite.representsandwarrantsthathasthefullrightandpermissiontograntsuchlicensesandpermissionsfromallsuchindividuals.FOR许费用2.1Inconsiderationofthelicensegrantedherein,Licenseeagreetopayaone-timelicensetotheOwnerinamountequalto[AMOUNT]“License”2.2SuchLicenseFeeshallbedueandpayableinfullwithin[NUMBER]daysfollowingtheexecutionofthisAgreement.TherighttousetheCompositionspursuanttothisAgreementshallnotcommencesuchLicenseFeeispaidinOFLICENSE许有效期3.1ThisLicenseshallbeeffectiveexecutionparties;providedthatLicenseerighttousetheCompositionsnotcommencetheLicenseFeeassetforthpaidinfull.3.2ThelicensegrantedhereundertousetheCompositionswithintheandsethereinshallbeperpetual,butbeterminatedbytheOwneruponabreachhereofbytheLicensee.3.3OwnershallhavetherighttoterminateandthelicensegrantedhereinuponwrittennoticetotheLicenseetheoccurrenceoffollowingevents:A.LicenseemakesanyofCompositionsbeyondofthelicensegrantedherein.B.LicenseefilespetitionsbankruptcyinvoluntarybankruptcypetitionisfiledagainstLicensee,Licenseeisadjudicatedinsolvent,Licenseeassignmentthebenefitofcreditors,Licenseediscontinuesitsbusiness,orareceiverappointedoverLicenseesbusinessisnotdischargedwithin[NUMBER]followingappointment.LicenseeassignsorattemptstoassignthisLicenseAgreementinviolationsofthehereof.Licenseeinactivitywhichinfringesuponanytrademark,copyright,patent,orotherproprietaryrightoftheOwner.4UponterminationthisAgreement,LicenseeshallceaseanddesistuseofCompositionsshallimmediatelyremoveCompositionsfromWebSite.REPRESENTATIONSANDWARRANTIES方承诺与保证makesthefollowingrepresentationsandwarrantiestotheLicensee,whichrepresentationsandwarrantiesshallapplyduringtermofthisshallcontinuetoapplyfollowingtheterminationsthisAgreement.shallindemnifyandholdtheLicenseeharmlessfromandagainstmattersthatariserelatingtotherepresentationsandwarrantiesoftheherein.4.1Licensor(theOwner)soleandexclusiveownerofCompositionsandcopyrightsandotherproprietaryrightscontainedtherein.4.2TheCompositionsdonotinfringeuponorviolatethecopyrights,trademarks,patents,orotherproprietaryrightsanyotherparty.4.3OwnerhastheunrestrictedenterintothisAgreementandtolicensetheCompositionstotheLicenseeprovidedherein.4.4Therearenootheragreements,courtordersortheprovisionofanylaworadministrativerulethatinterferewiththe’rightlicenseCompositionshereunder.5Ownerhasobtainedallnecessaryconsents,permissions,licensesandotherdocumentsfromrecordingcompanies,composers,musicians,musicianunionsorotherlaborunions,copyrightownersandotherswithanyinterestintheCompositionorperformedontheCompositions,atOwner’solecostandexpenseandindemnifyandholdLicenseeharmlessfromagainstallclaims,suits,threats,demands,actionsandcausesactionbroughtdirectlyorindirectlybyoftheseparties.COPYRIGHTNOTICES/RETAINEDRIGHTS版告知与权利保留5.1LicenseeshallplaceonitswebsitenoticecopyrightrelativetheCompositionsandcreditsthesongwriterandartistsperforminginCompositions.SuchcopyrightnoticeshallbeincludedoneachpagetheWebSitethatincludestheCompositionsasthesoundcomponentofpage.5.2OwnershallretainthecopyrighttheCompositionsandright,titleinterestintheCompositions,includingthetopublish,distribute,publiclyperform,modify,enhance,changeandimprove,allotherexclusiverightsofthecopyrightowner,exceptonlyfortherightoflicensegrantedtoLicenseehereunder.5.3LicenseeagreestoandtherightsretainedtheOwnerhereunderandacknowledgesthattheOwnershallretainexclusiverightsofownerandholderofacopyright.LicenseeagreesthatitshallnotchallengeordisputeanyofOwner’exclusiverightsorright,titleinterestinandtheCompositionsorthecopyrightsthereof.4Ownershallhavethesolerighttopursueanypartythatinfringesuponthe’CopyrightorotherproprietaryrightsinandtheCompositionsandshoulderallofprosecutingsuchinfringementactionsagainstthirdparties.RESPONSIBILITYFORSITE网的责任LicenseeshallbesolelyresponsiblethecontentofWebSiteforassuringcomplianceofsuchsitewithapplicablelaws.LicenseeholdOwnerharmlessandagainstanyclaimsrelatedthecontentthe’WebSite.MISCELLANEOUSPROVISIONS其约定Notices通AnynotificationorwrittencommunicationrequiredbyundertheofAgreementshallbeinwritingandshalldeemedtobedeliverediftransmittedviaEmailatEmailaddresseslistedbelow,exceptfornoticeofterminationofshallbeinwritingandsentCertifiedMail,ReturnReceiptRequestedandshallbedeemedtobeendelivered[NUMBER]businessdaysafterthedateofmailing.EmailaddressesforsuchnoticesshallOwner:ADDRESS]Licensee:[EMAILADDRESS]Assignment不转让协议权利和义务NeitherthisAgreementnorright,interest,orobligationmaybeassignedthepartieshereto.Governinglaw管法律IninterpretingthetermsofthisAgreement,thepartiesagreethatthelawsoftheStateof[STATE/PROVINCE]shallapplicable.Allsuitspermittedtobebro
