STANDARDTERMSANDCONDITIONSFOREVALUATIONMODULES

Delivery:TIdeliversTIevaluationboards,kits,ormodules,includingany panyingdemonstrationsoftware,components,oration(collectively,an“EVM”or“EVMs”)totheUser(“User”)inaccordancewiththetermsandconditionssetforthherein.

AcceptanceoftheEVMisexpresslysubjecttothefollowingtermsandconditions.

EVMsareintendedsolelyforproductorsoftwaredevelopersforuseinaresearchanddevelopmentsettingtofacilitatefeasibilityevaluation,experimentation,orscientificysisofTIsemiconductorsproducts.EVMshavenodirectfunctionandarenotfinishedproducts.EVMsshallnotbedirectlyorindirectlyassembledasapartorsubassemblyinanyfinishedproduct.Forclarification,anysoftwareorsoftwaretoolsprovidedwiththeEVM(“Software”)shallnotbesubjecttothetermsandconditionssetforthhereinbutrathershallbesubjecttotheapplicabletermsandconditionsthat panysuchSoftware

EVMsarenotintendedforconsumerorhouseholduse.EVMsmaynotbesold,sublicensed,leased,rented,loaned,assigned,orotherwisedistributedforcommercialpurposesbyUsers,inwholeorinpart,orusedinanyfinishedproductorproductionsystem.

LimitedWarrantyandRelatedRemedies/Diers:

ThesetermsandconditionsdonotapplytoSoftware.Thewarranty,ifany,forSoftwareiscoveredintheapplicableSoftwareLicenseAgreement.

TIwarrantsthattheTIEVMwillconformtoTI'spublishedspecificationsforninety(90)daysafterthedateTIdeliverssuchEVMtoUser.Notwithstandingtheforegoing,TIshallnotbeliableforanydefectsthatarecausedbyneglect,misuseormistreatmentbyanentityotherthanTI,includingimproperinstallationortesting,orforanyEVMsthathavebeenalteredormodifiedinanywaybyanentityotherthanTI.Moreover,TIshallnotbeliableforanydefectsthatresultfromUser'sdesign,specificationsorinstructionsforsuchEVMs.TestingandotherqualitycontroltechniquesareusedtotheextentTIdeemsnecessaryorasmandatedby

ernmentrequirements.TIdoesnottestallparametersofeachEVM.

IfanyEVMfailstoconformtothewarrantysetforthabove,TI'ssoleliabilityshallbeatitsoptiontorepairorrecesuchEVM,orcreditUser'saccountforsuchEVM.TI'sliabilityunderthiswarrantyshallbelimitedtoEVMsthatarereturnedduringthewarrantyperiodtotheaddressdesignatedbyTIandthataredeterminedbyTInottoconformtosuchwarranty.IfTIelectstorepairorrecesuchEVM,TIshallhaveareasonabletimetorepairsuchEVMorproviderecements.RepairedEVMsshallbewarrantedfortheremainderoftheoriginalwarrantyperiod.RecedEVMsshallbewarrantedforanewfullninety(90)daywarrantyperiod.
