咨询服务协议中英文版

咨询服务协议根据《中华人民共和国合同法》及国家有关法律、法规，中国X保险（集团）股份有限公司（“X公司”）与汇丰控股有限公司（“顾问方”）商一致的原则，同意签订本合同，共同遵守本合同所列示条款。聘用（engagement）：X保险（集团）股份有限公司（以下简称X公司）聘用汇丰控股有限公司（以下简称顾问方）且顾问方同意为X容及标准双方将另行协商。期限（term）：20032172005216顾问方的工作（effortsofconsultant）：顾问方将尽最大努力提供咨询服务。顾问方将为咨询服务做出合理和认真的工作。双方认X公司对顾问方开展服务的方式不负责任。报酬（compensation）：X公司将按照此协议对顾问方提供的咨询服务实际工作天数，向顾问方支付1000美元/天的报酬。顾问咨询费应以美元结算，每半年支付一次。（此项费用包含营业税，国家法定节假日、双休日除外）。顾问方人员在X工作期间的所有个人费用含工资、医疗、保险费、休假（含交通费用）、日常上下班交通、水电、家庭娱乐、住房等均由顾问方承担。X在上海住房的押金与每月租金。此项住房租金依据双方实际租赁合同金额，从X实际支付给顾问方的咨询费中扣除。另外，顾问方人员在X工作产生的办公费用、电脑、差旅费、X公司支付。独立合同人资格（independentcontractor在制作和执行此协议的过程中，顾问方自始至终都是作为独立的合同人。任何一方都不能代表另一方做出任何承诺或发生任何收费或花销。顾问方人员不是X而无权参与X公司给予其雇员的任何津贴计划、失业保险、分红、工作人员补偿保险、股票或类似的收益。顾问方保证提供合格的足以完成服务工作的人员以履行本协议规定的服的服务时已经发生或可能发生的所有需要支付的税款、罚金和（或）其他类似的费用。顾问方将为履行咨询服务提供所有的材料、工具和设备。咨询报告（consultingreport）：必须包括以下信息：项目目标、现况分析、具体行动方案、时间表、成本估算等。顾问方将保留一份报告的副本，时间上至少要到此协议终止后６个月为止。利益冲突（conflictsofinterest）：顾问方保证，除了已经告知给X公司的冲突外，他（她）财务上或其他利益冲突。保密性（confidentiality）：在本协议期间，顾问方接触到的所有X公司提供的其战略规划、保险产品、经营秘密方面的信息（包括客户名单、行销计划、方案，经营管理策略、方针、政策，财务资料，各种经营管理技术诀窍〈包括引进的国际先进的经营管理技术和自行积累形成的与其他公司有别到X9.知识产权（intellectualpropertyXXX公司方独有权利并避免对其造成侵犯。合同终止（termination）：一个月作出并且以对方收到为准。如果顾问方在终止日期时已经部分履行了咨询服务，顾问方可以向公司方提交一份到那时为止编辑完毕的材料8小时折算具体金额。转让（assignments）：此协议是为顾问方提供的服务签订的，因此，任何一方都不能在未经另一方书面认可的情况下将权利和义务转让或请他方代理。通知（notice）：如果任何一方在本协议的此条款下通知另一方，此通知只有以书面形式并且被证明或挂号信邮寄才有效。通知必须发送到本协议中标明的一方地址，除非该方已经通知对方地址变更。管辖法律（governinglaw）：裁决为终局裁决对双方均有约束力。仲裁费用由败诉方承担。14、完整性（Integrality）《反贪污贿赂条款》作为本协议的附件与本协议具有同等法律效力。委托方： 委托代表人：附件：反贪污贿赂条款楚任何形式的贿赂和贪污行为都将触犯法律，任何一方违反规定都将受到法律的严惩。价证券、购物卡、实物、礼品、请吃、旅游等形式的不当利益，都是违反甲方公司制度和国家法律的行为，一经发现，应无条件接受甲方公司制度和国家法律的惩处。一经发现，则按以下规定执行：（一）甲方有权解除合同；（二）乙方必须支付合同标的额50％的违约金，作为对甲方的赔偿；（三）乙方或乙方经办人的行为构成犯罪的，甲方可提请司法机关调查处理，依法追究其法律责任。“”包括但不仅限于合同经办人的亲友。UndertheContractLawofPRCandotherrelativelawsandregulations,withtheprinciplesofequalityandvoluntarinessandthroughfriendlyconsultation,bothpartiesofChinaXInsurance(Group)Co.LtdbyShares(hereinafteras“Co.)andHSBCHoldingPLC(hereinafteras“Consultant”)agreetosignthisContractandcomplywithtermsandconditionsofthisContracthereof.EngagementChinaXInsurance(Group)Co.LtdbyShares(hereinafteras“Co.)engageHSBCHoldingPLC(hereinafteras“Consultant”)andConsultantagreetorenderindependentconsultingserviceinbusinessareadesignatedbyXCo.Thespecificprojects,contentandstandardofservicewillbeconsultedseparately.TermThisAgreementshallremaininforcefortwo(2)yearstobeeffectiveasfromFeb.17th,2003toFeb.16th,2005.Duringthetimelimitofcooperation,PartiesofthisAgreementmayconsultonthecontinuityofcooperationbeforetheexpirationdate,dependingoncircumstance.EffortsofConsultantConsultantshallmakebesteffortstorenderconsultingservice,andperformreasonableandseriousworkforconsultingservice.BothPartiesrecognizethatConsultantmayrenderserviceonthenon-exclusivebasisandmaychooselocationandtimetorenderserviceifheconsidersconvenient.Additionally,Consultantwillensuretheservicewithrelativelawsandregulations.XCo.shallbearnoresponsibilityforthepatternofserviceemployedbyConsultant.CompensationXCo.shallpayacompensationtoConsultantinaccordancewiththeactualworkdaysofconsultingservicerenderedbyConsultantunderthisAgreement,attherateofUS$perday.Thecompensationofconsultancy,whichincludesbusinesstax,butexcludingofficialholidaysofthestateandweekendholidays,shallbesettledinUSdollarsandbepaidonceineveryhalfyear.PersonalexpensesofConsultant’spersonnelspentatXCo.’spremisesduringservice,includingemolument,medicaltreatment,insurance,vacation(includingtravelexpenses),travelexpensesofdailyshift,waterandelectriccharges,entertainmentofhouseholdandhousingshallallbebornebyConsultant.XCo.shallassisttoapplyforworkvisa,signhouserentalcontractinShanghaionbehalfofConsultant’spersonnel,andprepaythedepositandmonthlyrentofhouseinforConsultant’spersonnel.ThisrentofhouseshallbedeductedfromthecompensationofconsultancyactuallypaidbyXCo.toConsultantinaccordingtotheactualpriceofrentalcontract.Furthermore,anyadministrativeexpenses,computers,travelexpenses,andchargesoftelephone,faxandcopyetcofConsultant’spersonnel,incurredduringtheserviceatX’spremises,shallbepaidbyXCo.IndependentContractorStatusInthecourseofdraftingandperformingthisAgreement,Consultantshallbeconsideredasindependentcontractorthroughoutthecourse.NeitherPartycouldrepresenttheothertomakeanycommitmentorincuranyexpensesorcosts.Consultant’spersonnelshallnotbedeemedasXCo.’semployees,thushavenorightsinsharingallowanceplan,unemploymentinsurance,bonus,personnel’sindemnityinsurance,stocksorsimilarearningsofferedbyXCo.toitsemployees.ConsultantguaranteesthesupplyingofeligibleandsufficientpersonnelfortheservicetoperformtheserviceunderthisAgreement,andisresponsibleforanyactionornegligenceofitspersonnel.Consultantshallpayanyduetaxes,fineand/oranyothersimilarchargeshaveincurredormaybeincurredduringtheperformanceoftheserviceunderthisAgreement.Consultantshallsupplyallmaterials,toolsandequipmentsnecessaryfortheperformanceoftheconsultingservice.ConsultingReportAttheendofeveryconsultingproject,ConsultantshallsubmitareportontheresultofConsultant’ssurveytoXCo.Thereportshallcontainthefollowinginformation:theobjectiveoftheproject,analysisofexistingcircumstance,concreteactionprogram,timetable,costestimationetc.Consultantwillkeepacopyofthereporttillatleastafter(6)monthsoftheterminationofthisAgreement.ConflictsofInterestConsultantguaranteesthathe/shehasnopotentialconflictsofinterestfinanciallyoranyotherconflictsofinterestduringtheperformanceofconsultingservice,exceptconflictsinformedtoXCo.ConfidentialityWithinthetermofthisAgreement,allstrategyprograms,insuranceproducts,operationrelatingconfidentialinformationincludingnamelistofclients,marketingplansandprograms,managementstrategy,guidelineandpolicy,financialmaterials,allsortsoftricksonmanagementtechniques(includinginternationaladvancedmanagementtechniquesintroducedfromforeigncountriesandthosemanagementmeansdevelopedthroughselfaccumulation,differentfromotherandnotknownbyoutsiders),etc,whicharesuppliedbyXCo.andaccessedbyConsultant,aresuppliedinconfidentialconditions,andConsultantagreenottodisclosetheseinformationwithoutXCo.’sauthorization.Thevalidityofthisclauseshallnotbeaffectedbythealteration,andterminationofthisAgreement.IntellectualPropertyRightsXCo.shallretainthesoleownershiponitsintellectualpropertyrights.XCo.havenottransferredtheserightstoConsultantunderanycircumstances.Consultantguaranteethathe/sheshallsafeguardXCo.’ssolelyownedrightsandprotecttheserightsfromanyinfringement.TerminationEitherPartyhastherighttoterminatethisAgreementonthepremisethatthePartyhassubmittedawrittennoticetotheotherPartyinadvance.ThenoticeofterminationshallmadeonemonthaheadandshallonlybeeffectiveonthedateoftheotherParty’sreception.IntheeventthatConsultanthaspartlyperformedtheconsultingservicebeforethedateoftermination,ConsultantcouldsubmittoXCo.adocumentcompileduptothatdate,inwhichConsultantcouldlistthereceivableexpensesonhourlybasis.Onlyforthepurposeoftermination,bothPartiesagreethattherateofhourlyconsultingserviceshallbeconvertedfromdailyexpensesdividedbyeight(8)hoursperday.AssignmentThisAgreementissignedforthepurposeofservicerenderedbyConsultant;thereforeanyPartyofthisAgreementisnotpermittedtoassignanyrightsandobligationsorberepresentedbyanyotherthirdpartywithouttheotherParty’swrittenapproval.NoticeIntheeventthatanyPartyofthisAgreementsubmitsanoticetotheotherPartyunderclause,thenoticeshallonlybeeffectiveinwrittenformandhasbeenprovenormailedbyregisteredletter.ThenoticeshallbesenttotheaddressoftheotherPartyindicatedinAgreement,unlessthePartyhasnotifiedthechangeofaddress.GoverningLawThisAgreementshallcomeintoforceonthedateofbeingsignedandsealedbybothParties.PartiesofthisAgreementshallberestrictedbyChineselawsandregulations.AlldisputesarisingfromtheexecutionoforinconnectionwiththisAgreementshallbesettledthroughfriendlyconsultationbybothParties.Incasenosettlementcanbereached,bothPartiesagreetosubmitthedisputestoShenzhenArbitrationCommissionforarbitration.ThearbitrationawardshallbefinalandbindinguponbothParties.ThearbitrationfeebebornebythelosingParty.IntegralityEmbezzlementandBriberyClauseshallbedeemedastheappendixofthisAgreementandshallhavethesameeffectivenessasthisAgreement.EntrustingParty:Address:ZipCode:Tel:Fax:AuthorizedRepresentative:TrusteeParty:Address:ZipCode:Tel:Fax:EntrustedRepresentative:Appendix:EmbezzlementandBriberyClauseBothPartiesofthisAgreementunderstandandmayconsistentlyandstrictlycomplywithPRC’slawsandregulationsonembezzlementandbribery;theyunderstandanyformsofbriberyandembezzlementshalloffendlawsandeitheroffendingPartywillbeseverelypunishedbylaws.HandlingpersonsoranyotherrelevantpersonsofPartyA’sactsofclaimingoracceptinganyovertkickbacks,secretkickbacks,rewardsforgo-between,cashes,securities,coupons,materialobjects,gifts,treating,touring,etcunjustbenefitsnotprovidedinthisAgreementshallallbeconsideredasoffenceofPartyA’scorporateinstitutionsandstatelaws,andpunishedbyPartyA’scorporateinstitutionsandstatelawsunconditionallyoncediscovered.IfanybenefitlistedinParagraph2ofthisClausebelongstotradepracticeorusage,itshallbeexpresslydescr
