Article1NameandDomicile

ChapterIIShareholders

Article5Shareholders’Meeting

5.1TheShareholders’MeetingisthehighestauthorityoftheCompany.

5.2TheShareholders’Meetingshallbeheldonceeveryyear.AnextraordinaryShareholders’Meetingmaybeconvenedwhendeemednecessary.

5.3TheShareholders’MeetingshallbeconvenedbytheBoardofDirectors.Anoticeofthemeeting,includingthetime,placeandagenda,shallbesenttoeachshareholderinwritingatleast[insertnumberofdays]dayspriortothemeeting.

5.4TheShareholders’Meetingshallbecomposedofallshareholdersortheirrepresentatives.Shareholderscanattendthemeetinginpersonorauthorizeanothershareholderorproxytoattendontheirbehalf.

5.5TheShareholders’MeetingshallbevalidonlyifattendedbyshareholderswhoholdmorethanhalfofthevotingsharesoftheCompany.

5.6TheresolutionsoftheShareholders’Meetingshallbeadoptedbyasimplemajorityofvotingrightspresentorrepresentedatthemeeting,unlessotherwiseprovidedbylawsandregulationsortheseArticlesofAssociation.

Article6PowerofShareholders’Meeting

6.1TheShareholders’Meetingshallhavethefollowingpowers:

ToreviewandapprovetheCompany’sannualfinancialstatements;

ToelectandremovethemembersoftheBoardofDirectorsandtheSupervisoryBoard;

ToconsiderandapprovetheCompany’sannualbusinessplanandinvestmentplan;

ToapprovetheincreaseordecreaseoftheregisteredcapitaloftheCompany;

ToamendtheArticlesofAssociation;

TodissolveormergetheCompany,liquidatetheCompany’sassets,andappointliquidators;

ToconsiderothermattersasstipulatedbylawsandregulationsortheseArticlesofAssociation.

Article7VotingRight

7.1Thevotingrightsoftheshareholders’meetingshallbedeterminedinaccordancewiththenumberofvotingsharesheldbyeachshareholder.

7.2Eachshareholdershallhaveonevoteforeachshare.

7.3Multipleshareholdersmayjointlyselectonerepresentativetoexercisetheirvotingrights.

Article8TheBoardofDirectors

8.1TheBoardofDirectorsistheexecutivebodyoftheCompany.

8.2TheBoardofDirectorsshallbecomposedof[insertnumberofmembers]members.

8.3ThemembersoftheBoardofDirectorsshallbeelectedbytheShareholders’Meetingandshallserveatermof[insertnumberofyears]years.

Todecideontheappointmentanddismissaloftheseniormanagementpersonnelandtheirremuneration;

Todecideontheestablishment,reorganization,dissolutionoftheCompany’sinternalentities;

ToconvenetheShareholders’Meeting;

ToreportontheCompany’soperatingstatusandfinancialsituationtotheShareholders’Meeting;

ToconsiderothermattersasstipulatedbylawsandregulationsortheseArticlesofAssociation.

Article9TheChairmanoftheBoardofDirectors

9.1TheChairmanoftheBoardofDirectorsshallconveneandpresideoverthemeetingsoftheBoardofDirectors.

9.2TheChairmanshallexercisethefollowingpowers:

ToformulatetheagendaofthemeetingsoftheBoardofDirectors;

TosigntheresolutionsanddocumentsoftheBoardofDirectors;

TorepresenttheCompanyexternally,unlessotherwisedecidedbytheBoardofDirectors.

Article10TheSupervisoryBoard

10.1TheSupervisoryBoardshallbeestablishedtosupervisetheoperationoftheCompany.

10.2TheSupervisoryBoardshallbecomposedof[insertnumberofmembers]members.

10.3ThemembersoftheSupervisoryBoardshallbeelectedbytheShareholders’Meetingandshallserveatermof[insertnumberofyears]years.

10.4TheSupervisoryBoardshallexercisethefollowingpowers:

TosupervisetheperformanceofdutiesbythemembersoftheBoardofDirectorsandseniormanagementpersonnel;

ToproposetotheShareholders’MeetingthedismissalofthemembersoftheBoardofDirectorsandseniormanagementpersonnel;

ToconvenethemeetingsoftheSupervisoryBoard;

ToreportontheCompany’soperationandfinancialstatustotheShareholders’Meeting;

ToconsiderothermattersasstipulatedbylawsandregulationsortheseArticlesofAssociation.

Article11SeniorManagementPersonnel

11.1TheseniormanagementpersonneloftheCompanyincludetheGeneralManager,DeputyGeneralManager,ChiefFinancialOfficer,andotherpersonnelappointedbytheBoardofDirectors.

11.2TheseniormanagementpersonnelshallbeappointedanddismissedbytheBoardofDirectors.

11.3TheBoardofDirectorsshalldeterminetheremunerationoftheseniormanagementpersonnel.

ChapterIIIFinancialManagement

Article12FinancialAccountingandAuditing

12.1TheCompanyshallcarryoutfinancialaccounting,auditingandinformationdisclosureinaccordancewiththerelevantlawsandregulations.

12.2TheCompanyshallappointacertifiedpublicaccountingfirmtocarryouttheannualfinancialaudit.

12.3TheCompanyshalldiscloseitsannualfinancialstatementsinaccordancewiththerelevantlawsandregulations.

Article13ProfitDistribution,andReserveFunds

13.1TheCompanyshalldistributeitsprofitinaccordancewiththeprovisionsoflawsandregulationsandtheseArticlesofAssociation.

13.2AcertainpercentageoftheCompany’sprofitshallbeallocatedtothestatutoryreservefundsinaccordancewiththerelevantlawsandregulations.

13.3TheCompanymaysetupanemployeewelfarefundandenterprisedevelopmentfund.

ChapterIVAmendmentstoArticlesofAssociationandDissolution

Article14AmendmentstotheArticlesofAssociation

14.1AmendmentstotheArticlesofAssociationshallbeproposedbytheBoardofDirectorsorshareholdersholdingatleastone-tenthofthevotingshares.

14.2AmendmentstotheArticlesofAssociationshallbeadoptedbyaresolutionoftheShareholders’Meetingwiththeconsentofshareholdersholdingmorethantwo-thirdsofthevotingshares.

Article15DissolutionoftheCompany

15.1TheCompanyshallbedissolvedinaccordancewiththeprovisionsoflawsandregu
