香港货运物流业协会标准交易条款（中英文对照）5.COMPANY'SAUTHORITY公司所具有的权利5.1TheCompanyisherebyexpresslyauthorisedbytheCustomerashereinafterprovided.5.1本公司经客户明确授权。5.2TheCompanyisauthorizedtoactonbehalfoftheCustomertoselect,engageandenterintocontractorarrangement(whetherinthenameoftheCustomerorotherwise)withanycarriers,truckmen,forwarders,receivingordeliveryagents,warehousemen,packersandotherpersons(together"3rdParties",andindividually"3rdParty"):5.2公司被授权代表客户选择、聘用并与任何承运人、卡车司机、货代、收货人或送货人、仓储人、包装人和其他人员（合称"第三方"，单独称"第三方"）订立合同或如下安排（无论是否以客户的名义）：forthecarriageofthegoodsbyanyrouteoranycarrier;forthestorage,packing,unpacking,(local)transportation,transhipment,loading,unloadingorotherhandlingofthegoodsbyanypersonatanyplaceorplacesandforanylengthoftimeANDtodootheractsorenterintoothercontractsorarrangementsforanyotherpurposespursuantorrelatingorincidentaltotheCustomer'sinstructions.以任何路线或任何承运人的方式运输货物。为任何人在任何地点和任何时间内对货物进行储存、包装、拆包、（当地）运输、转运、装载、卸载或其他处理。以及根据客户的指示或与之相关的或附带的任何其他目的而采取其他行动或签订其他合同或安排。5.3TheCompanyisauthorised(butisnotobliged)todepartordeviatefromtheCustomer'sinstructionsinanyrespectifintheopinionoftheCompanysuchdepartureordeviationisnecessaryordesirableintheCustomer'sinterestsorisotherwiseexpedient.5.3公司有权（但没有义务）在任何方面背离或偏离客户的指示，如果公司认为这种背离或偏离对客户的利益是必要的或可取的，或者是有利的。5.4TheCompanyisauthorisedbytheCustomertoactortoenterintoanycontractorarrangementwithoutpriorconsultationwithorfurtherauthorizationfromtheCustomer,ANDtheCompanyisnotrequired,unlessspecificallyrequestedbytheCustomerinwriting,toinformtheCustomerofthetermsandconditionsordetailsofthecontractsorarrangementsoractsenteredintoortakenbytheCompany.5.4公司经客户授权采取行动或签订任何合同或安排，而无需事先与客户协商或得到客户的进一步授权，并且除非客户以书面形式特别要求，否则公司无需告知客户所签订或采取的合同或安排或行为的条款和条件或细节。5.6TheCompanyisauthorised(butisnotobliged)toinspectorarrangeforthegoodstobeinspected.5.6公司被授权（但没有义务）检查或安排被检验的货物。5.7TheCompanyisnotobligedtoarrangefortheCustomers'goodstobecarried,forwarded,packed,unpacked,storedorhandledseparately.TheCompanyisauthorised(butisnotobliged)toconsolidateorarrangetobeconsolidatedthegoodsoftheCustomerwithothergoods.5.7公司没有义务安排客户的货物被单独运输、转发、包装、拆包、储存或处理。公司被授权（但没有义务）将客户的货物与其他货物合并或安排合并。5.8TheCustomerexpresslyagreestobeboundinallrespectsbyanyactorcontractorarrangementdoneorenteredintobytheCompanypursuanttotheaforesaidauthorizations.5.8客户明确同意在所有方面受公司根据上述授权所做的任何行为或合同或安排的约束。6.WHERETHECOMPANYCONTRACTS(ONBEHALFOFTHECUSTOMER)INITSOWNNAME公司以其自己的名义（代表客户）所签署的合约6.2InadditionandwithoutprejudicetotheexceptionsandlimitationscontainedintheseConditions,theCompanyshallbeentitledtothebenefitofallexceptionsandlimitationsinfavourofany3rdPartyexpresslycontainedorimpliedintheCompany'scontractwithsuch3rdParty.TheCustomershallnotseektoimposeonsuch3rdPartyanyliabilitygreaterthanthatacceptedbysuch3rdPartyundersuchcontract.6.2此外，在不影响本条款中包含的例外和限制的情况下，公司应有权享受公司与任何第三方的合同中明确包含或暗示的有利于该第三方的所有例外和限制的效益。客户不应试图将任何责任强加给该第三方，使其大于该第三方根据该合同所接受的责任。7.WHERETHECOMPANYCONTRACTSASPRINCIPAL公司以委托人的名义签约7.1TheCompanyinitsabsolutediscretionmay,undercertaincircumstancesnotwithstandingthetermsandconditionscontainedherein,issueaFIATAAirWaybilloraFIATAMultimodalTransportBillofLadingnamingtheCompanyasthecarrierandtheprincipal.Wheresuchadocumentisissued,thetermsandconditionsembodiedinitshallbeparamountingoverningtherelationshipbetweentheCustomerandtheCompanyinsofarasthosetermsandconditionsareinconsistentwithorrepugnanttotheseConditions.7.1在某些情况下，尽管有本文所载的条款和条件，但公司可自行决定签发（国际货运代理人协会）FIATA空运提单或FIATA多式联运提单，指定公司为承运人和委托人。一旦签署了该文件，其中所包含的条款和条件如果与本条款不一致或抵触，该条款和条件应优先管理客户和公司之间的关系。7.2Where,inrespectofatransaction,theCompanyisheldbyacourtofcompetentjurisdictiontobeacarrier,theCompanyshallbeentitledtoalltherights,immunities,exceptionsandlimitationsconferredonthecarrierbyanyapplicablelaworlegislation,andtheseConditionsshallbeoverriddentotheextentthattheyareinconsistentwithsuchrights,immunities,exceptionsandlimitations,butwithoutprejudicetotheoperationofClause如果就某项交易而言，本公司被有管辖权的法院认定为承运人，则本公司应有权享有任何适用法律或立法赋予承运人的所有权利、豁免权、例外和限制，而且本条款在与这些权利、豁免权、例外和限制不一致时应被撤销，但不影响第2.3条的履行。7.3IftheCompanyisorisdeemedtobeacarrierinrespectofacarriageofgoodsbyair,thefollowingnoticesareherebygiven:-7.3如公司是或已就空运货物被视为承运人，特此发出以下通知：-"Ifthecarriageinvolvesanultimatedestinationorstopinacountryotherthanthecountryofdeparture,theWarsawConventionmaybeapplicableandthattheConventiongovernsandinmostcaseslimitstheliabilityofcarriersinrespectoflossofordamageordelaytocargo.""如果运输涉及最终目的地或在出发国以外的国家停留，则可能适用《华沙公约》，该公约管辖并在大多数情况下限制承运人在货物损失或损坏或延误方面的责任。""Thefirstcarrier'snamemaybeabbreviatedonthefaceoftheairwaybill,thefullnameanditsabbreviationbeingsetforthinsuchcarrier'stariffs,conditionsofcarriage,regulationsandtimetables.Thefirstcarrier'saddressistheairportofdepartureshownonthefaceoftheairwaybill.Theagreedstoppingplaces(whichmaybealteredbycarrierincaseofnecessity)arethoseplaces,excepttheplaceofdepartureandtheplaceofdestination,setforthonthefaceoftheairwaybillorshownincarrier'stimetablesasscheduledstoppingplacesfortheroute.Carriagetobeperformedundertheairwaybillbyseveralsuccessivecarriersisregardedasasingleoperation.""第一承运人的名称可以在航空运单上缩写，全称及其缩写载于该承运人的运价、运输条件、条例和时间表。第一个承运人的地址是航空运单上显示的出发机场。约定的经停地点（承运人在必要时可以改变）是指除出发地和目的地外，在航空运单上载明的或在承运人的时间表上显示为该航线预定经停地点的地方。由几个连续的承运人根据航空运单进行的运输被视为一次运作"。7.4IftheCompanyitselfperforms(insteadofarrangingfortheperformanceof)anyoftheAncillaryServices,theCompanyisentitled:toperformanylocaltransportationofthegoodsbyanyrouteorbyanymeans;tostore,pack,unpack,load,unloadorotherwisehandlethegoodsatanyplaceorplacesandforanylengthoftime.7.4如果公司自己执行（而不是安排执行）任何辅助服务，则公司有权：以任何路线或任何方式进行货物的当地运输。ANDtodoallsuchotheractsasmaybenecessaryorincidentaltheretointheabsolutediscretionoftheCompany.TheCompanymay(butisnotobligedto)departordeviatefromtheCustomer'sinstructionsifintheopinionoftheCompanysuchdepartureordeviationisnecessaryordesirableintheCustomer'sinterestsorisotherwiseexpedient.在任何地点和任何时间内储存、包装、拆包、装货、卸货或以其他方式处理货物；并根据公司的酌情权采取一切必要或附带的其他行动。如果公司认为，为了客户的利益，这种背离或偏离是必要的或可取的，或者是有利的，公司可以（但没有义务）背离或偏离客户的指示。7.5NotwithstandinganyotherprovisionsoftheseConditions,theCompanyisneveracommoncarrierandmayinitssolediscretionrefusetoofferitsservicestoanyperson.7.5尽管有本条款的任何其他规定，本公司不是一个普通的承运人，并可自行决定拒绝向任何人提供服务。8.CUSTOMER'SFURTHERWARRANTIES客户的其他保证TheCustomerfurtherwarrantsandacknowledgesthat:(a)Properpackingetc.Allthegoods,thesubjectofanyServiceprovidedbytheCompany,havebeenproperlyandsufficientlypackedand/orprepared,andthattheCompanyhasnoliabilityforanylossofordamagetogoodswhichareimproperlyorinsufficientlypackedorprepared,nomatterhowsuchlossordamageiscaused.客户进一步保证并确认：:(a)适当的包装等。本公司提供的任何服务所涉及的所有货物均已适当和充分地包装和/或准备，本公司对包装不当或准备不充分的货物的任何损失或损害不承担任何责任，无论这种损失或损害是如何造成的。(b)TransportUnitWherethegoodsdeliveredbyoronbehalfoftheCustomerarealreadycarriedinoroncontainers,trailers,flats,tilts,railwaywagons,tanks,igloos,oranyotherunitloaddevice(eachhereafterindividuallyreferredtoas"transportunit")then,thetransportunitisingoodcondition,issuitabletocarrythegoodsloadedthereinorthereon,andissuitablefortheintendedcarriageandotherhandling;andthegoodsaresuitableforcarriageandotherhandlinginoronthetransportunitandhasbeenproperlyandcompetentlypackedorloadedinoronthetransportunit.(b)运输单位如果客户或代表客户交付的货物已经装在集装箱、拖车、平板车、倾斜车、铁路货车、罐车、冰屋或任何其他单位装载装置（以下分别称为"运输装置"）中，那么，运输装置处于良好状态，适合装载其中或上面的货物，并且适合预定的运输和其他处理；货物适合在运输装置中或在运输装置上进行运输和其他处理，并且已经在运输装置中或上面进行了适当和合格的包装或装载。(c)DescriptionofGoodsAlldescriptions,valuesandotherparticularsofthegoodsfurnishedtotheCompanyforcustoms,consularandotherpurposesaretrue,completeandaccurate,itbeingthedutyoftheCustomertoprovidesuchinformationtotheCompanyandtoensurethatsuchinformationistruecompleteandaccurate.(c)货物的描述为海关、领事和其他目的向公司提供的所有货物描述、价值和其他细节都是真实、完整和准确的，客户有责任向公司提供这些信息并确保这些信息是真实、完整和准确。(d)FitnessofGoodsInadditionandwithoutprejudicetoanyprovisionsofClauses10and11,thegoodsarefitandsuitableforthecarriage(internationalaswellaslocal),storage,packing,unpackingandotherhandlinginaccordancewith,pursuantorrelatedorincidentaltotheCustomer'sinstructions.(d)货物的适用性此外，在不影响第10条和第11条的任何规定的情况下，货物适合于按照客户的指示或与之相关或附带的运输（国际和当地）、储存、包装、拆包和其他处理。(e)DeliveryofGoodsTheconsigneeorotherpersonentitledtothedeliveryofthegoodsshalltakedeliveryofthegoodsupontheirarrivalatdestinationandshallpayallnecessarycharges,taxesanddutiesandshallcomplywithallnecessaryformalitiesandprocedures.收货人或其他有权交付货物的人应在货物到达目的地时接收货物，并应支付所有必要的费用、税款和关税，并遵守所有必要的手续和程序。9.INDEMNITIES赔偿约定9.1TheCustomershallsaveharmlessandindemnifyandkeepindemnifiedtheCompanyfromandagainstallclaims,liabilities,losses,damages,costsandexpenses(includingwithoutlimitationallduties,taxes,imposts,levies,deposits,finesandoutlaysofwhatsoevernatureleviedbyanyauthority)arisingoutoftheCompanyactinginaccordancewiththeCustomer'sinstructions,orarisingfromabreachofwarrantyorobligationbytheCustomer,orarisingfromtheCustomer'sinaccurateorincompleteorambiguousinformationorinstructions,orarisingfromthenegligenceoftheCustomerorOwner.9.1客户应使公司免受损害，并赔偿和保持公司免受所有索赔、责任、损失、损害、费用和开支(包括但不限于所有关税、税款、税费、押金、保证金、罚款和任何性质的费用)，由于公司按照客户的指示行事，或由于客户违反保证或义务，或由于客户不准确或不完整或不明确的信息或指示，或由于客户或业主的疏忽而引起的任何性质的罚款和支出。9.2Adviceandinformation,inwhateverformasmaybegivenbytheCompany,areprovidedbytheCompanyfortheCustomeronlyandtheCustomershallsaveharmlessandindemnifyandkeepindemnifiedtheCompanyfromandagainstallclaims,liabilities,losses,damages,costsandexpensesarisingoutofanyotherpersonrelyingonsuchadviceorinformation.Exceptunderspecialarrangementspreviouslymadeinwriting,adviceorinformationwhichisnotrelatedtospecificinstructionsacceptedbytheCompanyisprovidedgratuitouslyandwithoutliabilityandClause2.2isapplicable.9.2公司提供的任何形式的建议和信息，都是由公司只为客户提供的，客户应使公司不受损害，并赔偿公司因任何其他人依赖这些建议或信息而产生的所有索赔、责任、损失、损害、费用和开支，并保持赔偿。除了事先以书面形式作出的特别安排，与公司接受的具体指示无关的建议或信息是无偿提供的，不承担任何责任，适用第2.2条之规定。9.3TheCustomerundertakesthatnoclaimshallbemadeagainstanyofficer,servant,agentorsub-contractoroftheCompanywhichimposesorattemptstoimposeuponthemanyliabilityinconnectionwithanyservicesprovidedortobeprovidedbytheCompany.9.3客户承诺，不得向公司的任何官员、仆人、代理人或分包商提出索赔，要求或试图要求其承担与公司提供或将要提供的任何服务有关的任何责任。IfanysuchclaimshouldneverthelessbemadetheCustomershallindemnifytheCompanyagainstallconsequencesthereof.Withoutprejudicetotheforegoingeverysuchofficer,servantagentandsub-contractorshallhavethebenefitofallprovisionshereinbenefitingtheCompanyasifsuchprovisionswereexpresslyforhisoritsbenefit.Fortheforegoingpurposes,theCompanycontractsforitselfaswellasagentsforalltheaforesaidpersons.如果仍有任何此类索赔，客户应赔偿公司所有的后果。在不影响前述规定的情况下，每个此类官员、仆人、代理人和分包商都应享有本文中有利于公司的所有规定的利益，就像这些规定是明确为他或它的利益而制定的。为了上述目的，本公司为自己以及所有上述人员的代理人签订合同。9.4TheCustomershalldefend,indemnifyandholdharmlesstheCompanyfromandagainstallclaims,costsanddemandswhatsoeverandbywhomsoevermadeorpreferredinexcessoftheliabilityoftheCompanyunderthetermsoftheseConditions,andwithoutprejudicetothegeneralityoftheforegoingthisindemnityshallinclude(withoutlimitation)allclaims,costsanddemandsarisingfromorinconnectionwiththenegligenceoftheCompany,itsofficers,servants,agentsorsub-contractors.9.4客户应保障、赔偿并使公司免受所有索赔、费用和要求的伤害，无论这些索赔、费用和要求是对何事提出的，或由谁提出的，都超过了公司在本条款下的责任，并且在不影响前述一般性规定的的情况下，这种赔偿应包括（但不限于）所有因公司、其官员、雇员、代理人或分包商的疏忽而引起或与之有关的索赔、费用和要求。9.5TheCustomershalldefend,indemnifyandholdharmlesstheCompanyinrespectofanygeneralaverageoranyclaimsofageneralaveragenaturewhichmaybemadeontheCompanyandtheCustomershallprovidesuchsecurityasmayberequiredbytheCompanyinthisconnection.9.5客户应就可能向公司提出的任何共同海损或任何共同海损性质的索赔进行辩护、赔偿并使公司免受损害，客户应提供公司在这方面可能要求的担保。10.DANGEROUSGOODSETC.危险物品等Exceptunderspecialarrangementspreviouslymadeinwriting,theCustomerwarrantsthatthegoodsarenotgoods(orconsistofgoods)includedintheDangerousGoods(ApplicationandExemption)RegulationsoftheLawsofHongKongCap.295oranymodificationthereofortheIATADangerousGoodsRegulationsprevailingatthetimetheCompanyconfirmsacceptanceoftheCustomer'sinstructions,noraregoods(orconsistofgoods)ofcomparablehazard,noraregoods(orconsistofgoods)otherwiselikelytocausedamage.除非事先以书面形式作出特别安排，否则客户保证货物不属于香港法例第295章《危险货物(适用和豁免)条例》或其任何修订本所包括的货物(或由货物组成)，也不属于本公司确认接受客户指示时有效的国际航空运输协会危险货物条例。本公司确认接受客户的指示时有效的《国际航空运输协会危险货物条例》或其任何修改，也不是具有类似危险的货物(或由货物组成)，也不是可能造成损害的货物(或由货物组成)。11.BULLIONETC.贵金属等ExceptunderspecialarrangementspreviouslymadeinwritingtheCompanywillnotacceptordealwithbullion,coins,preciousstones,jewellery,valuables,antiques,pictures,livestockorplants.ShouldtheCustomerneverthelessdeliveranysuchgoodstotheCompanyorcause
