PAGE1EmploymentContract劳动雇佣合同BetweenAnd与年月___日PAGE61Contractpartners合同双方CompanyFluggerCoatings(Shanghai)Co.Ltd.,(hereinafterreferredtoas“TheCompany”)awhollyforeignownedenterpriseorganizedandexistingunderthelawsoftheP.R.C.,withitslegaladdressatRoom1806,TomsonInternationalTradeBuilding,No.1JiLongRoad,WaigaoqiaoFreeTradeZone,Shanghai,representedinthiscontractbyMr.HenrikLarsen甲方业。法定地址:。在本合同中以先生为公司代表Employee_______________________(hereinafterreferredtoas“TheEmployee”),IDNumber:乙方___(以下称作“乙方”)身份证号码:2Employment雇佣关系2.1TheCompanyherebyoffersformalemploymenttotheEmployee,andtheEmployeeherebyagreestobeemployedbytheCompany,withtheworkareaoftechnicalsupport,inaccordancewiththetermsandconditionssetforthinthisContract,theJobDescriptionandtheRemunerationSchemeannexedtothisContractandtheEmployeeHandbook.AcleanreleasefromtheEmployee'spreviousemployerisrequired;otherwisetheCompanyholdstherighttorevokethisoffer.依照本合同及其附属的工作描述与报酬表以及公司员工手册中所列的条款和要求,甲方正式雇佣乙方,乙方同意接受雇佣。乙方的工作范围属于技术服务相关的各种事务。乙方必须与前雇主完全脱离雇佣关系,否则甲方有权撤回要约。3Durationandprobationperiod合同期和试用期3.1ThisContract,signedbytheCompanyandtheEmployee,shallcontinuefrom,foraperiodofyears(hereinafterreferredtoas“TheTerm”),unlesstheContractisearlierterminatedinaccordancewithitsprovisions.本合同由甲方和乙方共同签订。除非其因合同相关条款的规定而提前终止,合同有效期(以下称为“合同期”)将从年月日起持续至年月日,为期年。3.2TheEmployeeshallberequiredtoundergoaperiodofprobationof3months.(EmployeeswhorenewcontractsareexceptionsifagreedtobytheCompany).乙方应当履行为期三个月的试用期。(乙方经甲方同意续签合同的情况除外)3.3TheCompanymaydismisstheEmployeeatanytimeduring,orattheendof,theprobationaryperiodiftheCompanyconsidersthattheEmployee'sperformancecannotsatisfytherecruitmentconditionsorthestandardsinthejobdescriptionduringtheprobationaryperiod.IftheCompanyconsidersthattheEmployee'sperformancehasbeensatisfactoryduringtheprobationaryperiod,theEmployeeshallbecomearegularemployeeoftheCompanyinaccordancewiththetermsofthisContract,andtheprobationperiodwillbewithinthecontractterm.9.1TheCompanymaydismisstheEmployeeatanytimewithoutfurthernoticeiftheEmployee:乙方有下列情形之一的,甲方可以不发出通知而随时直接解雇乙方:9.1.1Isproventobeincompetentfortheemployingrequirementduringhis/herperiodofprobation;在试用期内被证明不符合录用条件的;9.1.2SeriouslybreachlabordisciplinesorregulationsasstipulatedbytheCompany;严重违反劳动纪律或甲方依法制定的规章制度的;9.1.3Seriouslyneglectshisdutyandengagesinmalpracticesforselfishends,thuscausingsignificantharmtotheinterestsoftheCompany;or严重失职、营私舞弊,对甲方利益造成重大损害的;9.1.4isfoundguiltyaccordingtothelawsofP.R.C.被依法追究刑事责任的9.2TheCompanymaydismisstheEmployeewith30dayspriorwrittennoticeif:乙方有下列情形之一的,甲方应提前30天以书面形式通知乙方解除合同:9.2.1theEmployeesuffersfromadiseaseorhassustainedaninjurythatisnotworkrelated,andisunabletoresumehis/heroriginalworkupontheexpirationofthemedicaltreatmentperiod,andcontinuestobeincapableofachievinganadequatelevelofperformanceaftertransfertoadifferentposition;乙方患病或非因工负伤,经治疗不能复工或调整工作岗位后仍不能从事正常工作的;9.2.2theEmployeeisincapableofperformingthedutiesofhis/herpositionandcontinuestobeincapableofachievinganadequatelevelofperformanceaftertrainingortransfertoadifferentposition;乙方不能胜任本职工作,经培训或调整工作岗位仍不胜任工作的;9.2.3amajorchangeintheobjectivecircumstancespursuanttowhichthisContractwasenteredintohasrenderedtheContractincapableofbeingcarriedoutandtheCompanyandtheEmployeehavefailedtoreachagreementontheamendmentoftheContract;or合同订立时所依照的客观环境发生重大改变使合同无法正常履行,并且甲方和乙方对合同的修改无法达成一致的;9.2.4theCompanyneedstoreducethenumberofitspersonnelinordertoavoidseriouseconomicproblemsorasaresultoftheoccurrenceofmajorproductionoroperationalproblems,andhasconsultedwiththeCompany’stradeunionortheEmployee.为避免严重的经济问题或作为甲方生产、运行上出现重大问题的结果,甲方经与工会或乙方本人协商后需要裁员的;9.3IftheCompanydismissestheEmployeepursuanttoArticle9.2,theCompanyshallpaycompensationtotheEmployeeinaccordancewithapplicablelaw.如果甲方依照9.2条解雇乙方,甲方将根据相关法律向乙方支付补偿金。9.4TheCompanycannottakeArticle9.2asbasistoterminatetheContract,ifoneofthefollowingcasesoccurstotheEmployee:乙方有下列情形之一的,甲方不得依据本合同9.2条解除合同:9.4.1theEmployeesuffersfromoccupationaldiseaseorisinjuredfromwork,andloseshislaborcapacityorpartofthelaborcapacity,thefactofwhichisapprovedbytherelevantgovernmentorganization;乙方患职业病或因工负伤,经相关政府机构确认丧失或部分丧失劳动能力的;9.4.2theEmployeeisillorinjuredandiswithinthestipulatedmedicaltreatmentperiod;乙方患病或者负伤,在规定的医疗期内的;9.4.3femalestaffduringherpregnancy,puerperiumorbreast-feedingperiod;or乙方在孕期、产期、哺乳期内;9.4.4underotherconditionsstipulatedbylawsandregulations..法律、行政法规规定的其他情形;10TerminationofthecontractbytheEmployee乙方单方面解除合同10.1TheEmployeemayatanytimeresignfromemploymentwiththeCompanywith30dayswrittennotice.IftheEmployeedoessoresign,theCompanyshallhavenoobligationtopayanycompensationtotheEmployeeinrespectoftheterminationoftheContract.乙方可以在任何时间辞退工作,但应提前30天以书面形式通知甲方。如果乙方主动辞职,甲方将对合同的解除不承担任何赔偿义务。10.2IfanEmployeewhohasreceivedtrainingfromtheCompanyresignspursuanttoArticle10.1beforetheendofthetermoftheContract,theEmployeeshall,onresignation,repaytotheCompanytrainingexpensesaccordingtotherelevantCompanyrules.如果乙方在合同期满前依照10.1条辞退工作时已经接受了甲方培训,则乙方必须依照甲方相关规定向甲方偿还该培训费用。10.3NotwithstandingtheprovisionofArticle10.1,theEmployeemayresignatanytimewithoutnotice:尽管合同10.1条有所规定,但存在下列情形之一的,乙方可以随时解除劳动合同:10.3.1duringhis/herperiodofprobation;在乙方试用期内;10.3.2iftheCompanyfailstopayremunerationorprovideworkingconditionsinaccordancewiththetermsofthisContract;甲方没有按照合同规定向乙方支付报酬或提供工作环境的10.3.3othercasesgovernedbyapplicablelawsorregulationsofP.R.C.中华人民共和国的相关法律或法规列明的其他情形。11Confidentiality保密11.1TheEmployeeagreestomaintaintheconfidentialityofthisLaborContractandallinformationwhichmaybedisclosedtotheEmployeeconcerningmanufacturingandmanagementprocessesandtechnology,marketingorfinancialinformationoftheCompanyoranybusinessentityaffiliatedwiththeCompany,informationrelatingtotheproducts,procedures,businessandservicesoftheCompany,inthestrictestconfidenceandagreesnottodisclose,directlyorindirectly,inanymanner,anysuchinformationtoanypersoninsideoroutsidetheCompanywithoutthepriorwrittenconsentoftheCompanyorforanypurposeotherthantheEmployee’sperformanceofhis/herdutiesandobligationsunderthisContract.TheEmployeespecificallyagreesthatthisobligationwillsurvivetheterminationoftheContract.乙方应允诺对本合同以及所有可能向乙方披露的有关甲方的生产和管理程序与技术,甲方或甲方的关联经济实体的营销或财务信息,甲方的产品、工艺、经营、服务信息等进行严格保密。事先未经甲方书面允许或出于履行合同规定的职责或义务之外的任何其他目的,乙方均不得直接或间接以任何方式向甲方的内部或外部的任何人员透露相关信息。乙方同意上述义务在合同终止后仍然有效。11.2UponterminationoftheContract,theEmployeeshallpromptlyreturntotheCompanyalldrawings,blueprints,memoranda,clientlists,businesscardsbothpersonalandthosecollectedduringthetimeofemployment,keys,computerdisks,clothing,formulae,financialstatementsandmarketinginformationoftheCompanyinthepossessionoftheCompany.在合同终止时,乙方应当立刻向甲方归还工作中占用或掌握的所有图纸、蓝图、备忘录、客户名单、个人名片和在工作期间收集的名片、钥匙、计算机磁盘、制服、配方设计及甲方的财务报表和市场营销信息。11.3Intheeventofviolationofdutiesofconfidentiality,theEmployeeshallpaypenaltytotheCompanyforbreachofcontractequalingtotheEmployee’sone-yearincomefromtheCompany.IfthepenaltyforbreachofcontractcannotcoverthelossesoftheCompanycausedbytheEmployee,theEmployeeshallcompensatealllossesoftheCompany.如果乙方违背了保密职责,其应当向甲方支付相当于其在甲方一年收入数额的罚款。如果该罚款不足以弥补乙方给甲方带来的损失,乙方应当赔偿支付甲方的全部损失。12Inventions发明创造12.1If,duringthetermoftheContract,theEmployeeperformsworkthatresultsinthedevelopmentofanyinventionsrelatingtoprocesses,productsorformulations(the“Inventions”),suchInventionsshallbetheexclusivepropertyoftheCompany,andtheEmployeeshallpromptlydisclosetheInventionstotheCompany,andshalltakeallnecessarysteps,includingtheexecutionofdocuments,tovesttitleandownershipoftheInventionsintheCompany.Notwithstandingtheforegoing,theEmployeeshallhavetherighttoretainownershipofallpatentsobtainedonanyInventionsmadebytheEmployeeduringhis/hernon-workinghours,andwithoutuseoforreferencetotheCompany’sfacilities,informationormaterials.在合同期内,乙方如果在工作过程中创造了任何与生产工艺、产品或配方设计有关的发明(以下称为“发明”),则这些发明应归甲方独有。乙方应当迅速把发明透露给甲方并采取必要步骤(包括文件制作)使甲方获得专利的所有权。除如前所述外,乙方对其在非工作时间不借助甲方设备或参考甲方信息材料所创造的任何发明,均拥有全部专利所有权。13Training培训13.1ItisthepolicyoftheCompanytoprovidecontinuouson-the-sitetraining.TheCompanymayalsorequiretheEmployeetoundertakeanoff-sitetrainingprogramiftheCompanyconsidersitappropriate.甲方有向乙方提供在职培训的政策。如果甲方认为合适也会要求乙方接受离职培训计划。14Settlementoflabordisputes劳动争议处理Thepartiesshallsettleanydisputesinaccordancewiththefollowingprocedures:合同双方应依照以下程序解决争议:14.1ThepartiesshallfirstsettleanydisputearisingfromtheperformanceofthisContractthroughconsultation.合同双方应当首先通过协商解决合同履行过程中的任何争议。14.2Ifconsultationfails,thepartiesshallapplytotheCompany’slabormediationcommitteeformediation.如果协商失败,合同双方应向甲方的劳动调解委员会申请调解。14.3Ifagreementcannotbereachedthroughmediation,thepartiesshall,within60daysfromthedateofdispute,applyforarbitrationtoalabordisputearbitrationcommitteewiththejurisdictionov
