ContractTemplateforVisitingProfessorinEnglish

Thiscontract("Contract")isenteredintobetween[University/OrganizationName],withitsprincipalplaceofbusinessat[Address],representedby[Representative'sName](hereinafterreferredtoasthe"University/Organization"),and[VisitingProfessor'sName],residingat[Address](hereinafterreferredtoasthe"VisitingProfessor"),collectivelyreferredtoasthe"Parties."

1.AppointmentandTerm

1.1TheUniversity/OrganizationherebyappointstheVisitingProfessorasaVisitingProfessorin[Department/Field]foraperiodof[Duration]commencingon[StartDate]andterminatingon[EndDate],unlessotherwiseterminatedinaccordancewiththetermsofthisContract.

1.2TheVisitingProfessoragreestoprovideacademicandresearchservicesduringthetermofthisContract.

2.ResponsibilitiesoftheVisitingProfessor

2.1TheVisitingProfessorshallfulfillthefollowingresponsibilities:

a)Deliverlectures,seminars,and/orworkshopsasrequiredbytheUniversity/Organization.

b)ConductresearchandpublishscholarlyworksinaccordancewiththeacademicstandardsoftheUniversity/Organization.

c)Provideguidanceandmentorshiptostudentsandjuniorfacultymembers.

d)Participateinacademicmeetings,conferences,andotherscholarlyactivitiesorganizedbytheUniversity/Organization.

2.2TheVisitingProfessorshallperformtheaboveresponsibilitieswithdiligence,professionalism,andincompliancewiththepoliciesandregulationsoftheUniversity/Organization.

3.CompensationandBenefits

3.1TheVisitingProfessorshallreceiveacompensationof[Amount]per[TimePeriod]fortheservicesrenderedunderthisContract.

3.2TheVisitingProfessorshallbeentitledtothefollowingbenefits:

a)Travelandaccommodationexpensesforofficialvisitsandconferences,subjecttopriorapprovalbytheUniversity/Organization.

b)Accesstolibrary,researchfacilities,andotherresourcesnecessaryfortheperformanceofduties.

c)Healthandmedicalinsurancecoverage,asprovidedtootherfacultymembersoftheUniversity/Organization.

4.IntellectualPropertyRights

4.1AnyintellectualpropertyrightsarisingfromtheresearchandscholarlyworksconductedbytheVisitingProfessorduringthetermofthisContractshallbeownedbytheUniversity/Organization,unlessotherwiseagreeduponinwritingbybothParties.

5.Confidentiality

5.1TheVisitingProfessoragreestomaintainstrictconfidentialityregardinganyconfidentialinformation,tradesecrets,orproprietaryinformationoftheUniversity/OrganizationthatmaycometotheirknowledgeduringthetermofthisContract.

6.Termination

6.1EitherPartymayterminatethisContractbyprovidingwrittennoticetotheotherPartyatleast[NoticePeriod]priortotheintendedterminationdate.

6.2TheUniversity/OrganizationreservestherighttoterminatethisContractimmediatelyintheeventofanybreachofthetermsandconditionsstatedhereinbytheVisitingProfessor.

7.GoverningLawandJurisdiction

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

8.EntireAgreement

8.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesanyprioragreementsorunderstandings,whetherwrittenororal,relatingtothesubjectmatterherein.

INWITNESSWHEREOF,thePartieshaveexecutedthisContractasoftheEffectiveDatefirstabovewritten.
