WHEREAStheemployerishavingitsfactoryat..........hereinafterreferred

toas"thesaidfactory"anditwantstoemploysecurityguardstoprovidesecurityservicestothesaidfactory.

ANDWHEREASThecompany,whoisexperiencedinprovidingsecurityservicestotheindustrialunitsandotherorganisationshasofferedtoprovidesecurityservicestotheEmployeratthesaidfactoryandtheemployerhasagreedtoavailthesaidservicesbeingprovidedbythecompany.

NOWTHISAGREEMENTWITNESSETHASFOLLOWS:

1.

Thecompanyshallprovide..........securityguardstokeepwardandwatchandprotectionofthesaidfactoryaspertheemployer'srequirement.Thesecurityguardsprovidedbythecompanywillbefortwenty-fourhoursintheshiftof8hoursandshallprovidecompletesecurityarrangementandprotectionofthesaidfactoryroundtheclock.

2.

Theemployershallgivethewatchmen'shutconstructedonthegateofthesaidfactorytothesecurityguardsandthesaidguardsshallcheekallthevehiclesandpersonnelenteringintoandgoingoutofthesaidfactoryaspertheinstructionsissuedbytheemployer'srepresentativefromtimetotimeandshallmaintainproperrecordofthevehiclesandpersonnelcomingandgoingoutofthefactory.

3.

Thecompanyatitsownexpensesshallprovideitssecurityguardswithnecessaryuniform,arms,outfit,etc.requiredfortheeffectivedischargeofsecurityservicestotheemployer.

4.

Thecompanyshallensurethatthesecurityguardsprovidedbyitmaintainperfectdisciplineandbehaviorandtheyshallnotinanymannercauseanyinterference,annoyance,nuisancetothemanagementoftheemployeroritsbusinessorworkoritsofficers/employees/othercontractors.

5.

Thecompanyagreesandundertakesthatthesecurityservicesprovidedbythesecurityguardsshallbetotheentiresatisfactionoftheemployerandthecompanywillmakeitcleartothesecurityguardsthatthelatterareemployeesofthecompanyandtheyshallhavenoclaimsagainsttheemployerandtheemployershallnotbeliabletowages,salary,compensationandanystatutorybenefitsduetothesecurityguardsunderthelabourlawandotherlegislationandthecompanyshallberesponsibleforprovidingsuchamenitiestoitsemployeesadmissibleunderthelaw/rules/serviceconditions.

6.

Thecompanywillindemnifytheemployeragainstanyclaim,loss,damageoccurred,orcausedtotheemployerduetowillfulactsoromissionsorcarelessnessornegligenceofthesecurityguardsemployedbythecompany,whileonduty.

7.

TheemployershallpayasumofRs..........

(Rupees...............only)persecurityguardpermonthandasumofRs..........persecurityguardforthreenationalholidaysfortheservicesprovidedbythecompanyonsubmissionofthebillbythecompanyby10thdayofthefollowingmonth.Theemployershallnotmakeanypaymenttothesecurityguardsandpaymentwillbemadetothecompanyonly.

8.

Thecompanywillobtainlicence,ifany,requiredunderthelocalorcentrallawsforprovidingsecurityservicestotheemployer.

9.

Theemployershallbeentitledtosupervisetheservicesprovidedbythecompanyandifitfindsthattheconduct,behaviorandperformanceofworkofanyofitssecurityguardisunsatisfactory,itmayissuedirectionstothecompanytoimmediatelyrecalltheparticularpersonandsubstitutehimbyanotherandthecompanyshallcomplywithsuchdirectionsissuedbytheemployerforthwith.

10.

Thisagreementwillbeforaperiodofoneyearfromthedateofexecutionofthesepresents.Theemployershall,intheeventofthecompanycommittinganybreachofanyofthetermsandconditionsofthisagreementoriftheservicesprovidedbythecompanyisconsideredtobeunsatisfactorybytheemployerorforanyotherreasonconsideredbytheemployerassufficient,beentitledtoterminatethisagreementbygivingonemonth'snoticeinwritingandthecompanyshallnotbeentitledtoanycompensationincaseofsuchtermination.ThecompanymayalsoterminatethisAgreementbygivingonemonth'snoticeinwritingtotheemployer.

11.

Onexpiryorearlierdeterminationofthisagreement,thecompanyandthesecurityguardsshallvacatethefactorypremises,withoutinanywaycausinganydamagetothesaidpremisesandthefactory'spropertytherein.

12.

Incaseofanydisputeordifferencearisingbetweenthepartiesunderthisagreement,thedecisionof

13.

ANDWHEREASaftertheexpiryoffreeserviceperiod,thecompanyhasrequestedTNTtoprovideserviceofthesaidcomputersforaperiodofoneyear,whichTNThasagreedtoprovideonthetermsandconditionshereinaftercontained.

NOWTHESEPRESENTSWITNESSANDTHEPARTIESHERETOAGREEHEREBYASFOLLOWS:

1.

TNTwillprovideatthecompany'sofficealllabour,partsand

materialthatitdeemsnecessarytomaintainingoodoperatingconditionthesaidcomputers.Replacementpartsshallbenewortheirequivalent,replacedpartsbecomethepropertyofTNT.ServicesprovidedbyTNTincludeandarelimitedtothefollowing:

(a)

Preventivemaintenanceismaintenanceandincludescleaning,adjusting,lubricating,inspecting,testingandcalibratingproceduresdesignedtoendureproperoperation,reduceproductfailureand/orextendusefulproductlife.Thismaintenancewillbeperformedaccordingtotheproceduresandatthefrequenciesrecommendedbythecompany.Preventivemaintenancewillbeperformedatcompanyofficeatthecompany'sfacilityduringthecontractperiod(regularbusinessdays/hours),asmutuallyagreedorcoincidentwithremedialmaintenance,byauthorisedTNT'sservicerepresentative.Preventivemaintenanceislimitedtotworegularworkdaysunless,atthediscretionofTNT,additionaldaysarenecessarytocompletethepreventivemaintenance,suchdaysnottoexceedfiveworkingdays.Remedialmaintenanceduringapreventivemaintenancethatrequiresadditionaldayswillbechargedasremedialmaintenancecalloratthecurrenthourlyrateifallremedialcallshavebeenused.

(b)

Remedialmaintenanceisunscheduledmaintenanceatthecompany'sfacility.Remedialmaintenanceincludesthediagnosisandcorrectionofproductmalfunctionsandfailures.Remediesmayconsistoftemporaryprocedurestobefollowedbythecompanywhileapermanentremedyisbeingsought.Remedialmaintenancewillcommenceduringtheperiodofthisagreementandwillcontinueuninterruptedaslongasreasonableprogressisbeingmadeoruntiltheproduct(s)is/areoperational.IfTNTdeterminesthatadditionalpartsorresourcesarerequired,servicewillresumeassoonasthesepartsorresourcesareavailable.Afterallremedialmaintenancecallshavebeenused,additionalremedialmaintenancewillbeallowedatthecurrentTNThourlyrate.

(c)

Assemblyrepairisunscheduledrepairofreturnableassemblylevelcomponents(printedcircuitboards,powersupplies,switchingunits,etc.)atTNT'sfactory.Assemblyrepairincludesthediagnosisandcorrectionofproductmalfunctionsandfailures.Assemblyrepairwillcommenceduringtheperiodofcoverageandwillcontinueuninterruptedaslongasreasonableprogressisbeingmadeoruntiltheproduct(s)is/areoperational.IfTNTdeterminesthatadditionalpartsorresourcesarerequired,servicewillresumeassoonasthesepartsorresourcesareavailable.Thenumberofrepairsofassembliesrelatedtoequipmentcoveredunderthisagreementisunlimited.

2.

TheperiodsofcoveragespecifiedbelowshalluniformlyapplytoallproductscoveredbythisAgreement.Thecompanymayrequestachangeinthespecifiedperiodsofcoverageatanytime.SuchchangeissubjecttowrittenapprovalbyTNT.

Theresponsetimeis48hours.TNTshallrespondtoarequestforremedialmaintenanceortechnicalsupportwithinthespecifiedresponsetimemeasuredinclockhours.AvailabilityofTNTpersonnelandtelephoneansweringserviceislimitedtothespecifiedperiodofcoverage."ResponseTime"isdefinedasthedurationoftimenecessaryforTNTpersonneltoinitiateactionuponaspecifiedcompanyrequestandadvisethecompanyofeitheractiontotaketocompletethatparticularrequestoractiontotaketoprovideTNTwithadditionalinformationneededtoassistinsuchcompany'srequestcompletion,ortheembarkationofTNTpersonnelforarrivalatthecompany'sequipmentsite.

4.

TNTshallbeundernoobligationtofurnishsupportserviceunderthisagreementshouldrepairberequiredbecauseof.-

(i)

improperuse;

(ii)

naturaldisasterssuchasfloodorearthquake;

(iii)

strikes,riotsoractsofwarornucleardisaster;

(iv)

repairs,maintenance,modificationsorrelocationandre-

installationmadebyotherthanTNTpersonnelorwithoutTNT's

supervisionandapproval;

(v)

unusualshockorelectricaldamage,neglect,air-conditioning

failure,humiditycontrolfailure,acorrosiveatmosphereharmfulto

electroniccircuitry,damageduringtransportationbythecompanyorcausesotherthanordinaryuse;and

(vi)

failurebycompanytomaintainthesitespecificationsrecommendedbyTNT.Ifsupportservicesarerequiredasaresultofthecausesstatedabove,suchserviceshallbeprovidedatTNTstandardserviceratesforlabour,travelandmaterialineffectatthetimeofservice.TNTmayalso,atitsoption,terminatethisagreementasaresultofthecausesstatedabove.TerminationissubjecttotheguidelinesspecifiedunderItem8ofthisAgreement.

5.

TNTmay,atitsoption,withnoadditionalchargetothecompany,makemodificationstoimprovetheoperationandorreliabilityoftheproductsbeingservicedunderthisagreement.

6.

Ifthecompanyintendstorelocatetheproductscoveredunderthisagreement,itshallgiveTNTsixtydayswrittennoticepriortoanyrelocationofproductscoveredbyon-sitesupportservicesbeingprovidedunderthisagreement.Theproductsmovedtoalocationwithinthecountryoforiginalinstallationshallcontinuetobeservicedunderthisagreement.Theresponsetimeandchargeswillbeadjustedtoreflectthenewlocation.Productsmovedoutsidethecountryoforiginalinstallationmaycontinuetobeservicedunderthisagreement,attheoptionofTNT.Theservicestobeprovidedandchargesforsuchservicesshallbesubjecttomutualagreement.Forinstalledproducts,whichwillcontinuetobeserviced,TNTatitsoption,shallsupervisethedismantlingandpackingoftheproductandshallinspectandre-installtheproductsatthenewlocation.Theseservices,ifprovided,shallbeatadditionalchargebasedonTNT'sstandardserviceratesineffectatthetime.Thecompanyshallfurnishalllabourandmaterialsforthedismantling,packingandplacementoftheproductsduringrelocation.

7.

TNT'sservicesdonotinclude:

(i)

operatingsuppliesandconsumables;

(ii)

refinishingtheproductsorfurnishingmaterialsforthatpurpose;

(iii)

electricalworkexternaltotheproducts;

(iii)

maintenanceofaccessories,attachmentsorproductsnotspecifiedhereinoronsubsequentorders;or

(iv)

anyotherservicesnotspecificallydescribedherein.

8.

Thisagreementshallbeforaperiodofoneyearfromthedateofthesepresents,unlessterminatedbyeitherpartyonnotlessthanninetydayswrittennotice(givenpriortotheexpirationofthesuccessiveperiodthenineffect).

9.

ThecompanyshallpayasumofRs..........permonthpercomputerforservicesprovidedbyTNT.ThesaidchargesareexclusiveofStateandlocaluse,sales,property(advalorem)andsimilartaxes.ThecompanyshallpaysuchtaxesandwhenapplicablesuchtaxeswillappearasseparateitemsonTNT'sinvoice.

10.

TheTNTshallsubmitinvoiceforchargesinadvanceorassoonasitbecomeapplicable.Anyadministrationchargewillbeinvoicedinadvanceassoonasitbecomesapplicable.Invoicesforotherchargeswillbesubmittedasthechargesareincurred.UnlessotherwisestatedinwritingbyTNT,thecompanyshallpayallinvoicessubmittedunderthisagreementwithintwentydaysfromdateofinvoice.

11.

Anyattempttoassignortransferanyoftherights,duties,orobligationshereinshallrendersuchattemptedassignmentortransfernullandvoid.

12.

TNTreservestherighttowithholdwithoutliability,butwithpriorwrittennotice,anyservicesauthorisedbythecompanyunderthisagreement,ifthecompanyisdelinquentinpaymentforanyservices,andtochangethecredittermshereinwhen,inTNT'sopinion,thefinancialconditionorpreviouspaymentrecordofthecompanysowarrants.

13.

Intheeventofanyproceedings,voluntaryorinvoluntary,initbankruptcyorinsolvencyorwinding-upbyoragainstthecompanyorintheeventoftheappointment,withorwithoutthecompany'sconsentofanassigneeforthebenefitofcreditors,orofareceiver,TNTmayy

electtocanceltheunfulfilledpartofthisAgreementwithoutrefundorliabilityforsaidunfulfilledpart.

14.

TNT'sfailuretoexerciseanyofitsrightshereundershallnotconstituteorbedeemedwaiverorforfeitureofsuchrights.

15.

Anynoticerequiredtobegivenhereundershallbegiveninwritingattheaddressofeachpartysetforthwithinortosuchotheraddresseitherpartymaysubstitutebywrittennoticetotheother.

16.

Alldisputesanddifferencesofanykindwhateverarisingoutoforinconnectionwiththisagreementshallbereferredtothearbitrationandfinaldecisionofanarbitratortobeagreeduponandappointedbythepartiesorincaseofdisagreementastotheappointmentofasinglearbitrator,totheappointmentoftwoarbitrators,onetobeappointedbyeachpartyandiftherearetwoarbitrators,theyshallbeforetakinguponthemselvestheburdenofreferenceappointanumpire.Thearbitratororarbitrators,asthecasemaybe,shallmakehisortheirawardwithinoneyearorsuchfurtherextendedlimeasmaybedecidedbyhimorthem,asthecasemaybe,withtheconsentofthepartiesthedateofenteringonthereference.ThissubmissiontothearbitratorsshallbedeemedtobeasubmissiontoarbitrationwithinthemeaningoftheIndianArbitrationAct,1940oranystatutorymodificationthereof.Theawardofarbitratororarbitrators,asthecasemaybe,shallbefinalandbindingontheparties.

17.

Thisagreementshallbeexecutedinduplicate.TheoriginalshallberetainedbythecompanyandduplicatebytheTNT.

D.Allmemoranda,notes,records,orotherdocumentsmadeorcomposedbytheExecutive,ormadeavailabletoherduringthetermofthisAgreementconcerningorinanywayrelatingtothebusinessoraffairsoftheCompany,itssubsidiaries,divisions,affiliates,orclientsshallbetheCompany'spropertyandshallbedeliveredtotheCompanyontheterminationofthisAgreementoratanyothertimeattherequestoftheCompany.

E.(i)TheExecutiveherebyassignsandagreestoassigntotheCompanyallherrightstoandtitleandinteresttoallInventions,andtoapplicationsforIndianandforeignpatentsandIndianandforeignpatentsgranteduponsuchInventionsandtoallcopyrightablematerialorotherworksrelatedthereto.

(ii)TheExecutiveagreesforherselfandherheirs,personalrepresentatives,successors,andassigns,uponrequestoftheCompany,toatalltimesdosuchacts,suchasgivingtestimonyinsupportoftheExecutive'sinventorship,andtoexecuteanddeliverpromptlytotheCompanysuchpapers,instruments,anddocuments,withoutexpensetoher,asfromtimetotimemaybenecessaryorusefulintheCompany'sopiniontoapplyfor,secure,maintain,reissue,extend,ordefendtheCompany'sworldwiderightsintheInventionsorinanyorallIndianpatentsandinanyorallpatentsinanycountryforeigntotheIndian,soastosecuretotheCompanythefullbenefitsoftheInventionsordiscoveriesandotherwisetocarryintofullforceandeffectthetextandtheintentoftheassignmentsetoutinClause6E(i)above.

(iii)NotwithstandinganyprovisionofthisAgreementtothecontrary,theCompanyshallhavetheroyalty-freerighttouseinitsbusiness,andtomake,havemade,use,andsellproducts,processes,andservicestomake,havemade,use,andsellproducts,processes,andservicesderivedfromanyinventions,discoveries,concepts,andideas,whetherornotpatentable,including,butnotlimitedto,processes,methods,formulas,andtechniques,aswellasimprovementsthereofandknow-howrelatedthereto,thatarenotinventionsasdefinedherein,butwhicharemadeorconceivedbytheExecutiveduringheremploymentbytheCompanyorwiththeuseorassistanceoftheCompany'sfacilities,materials,orpersonnel.IftheCompanydeterminesthatithasnopresentorfutureinterestinanyinventionordiscoverymadebytheExecutiveunderthisparagraph,theCompanyshallreleasesuchinventionordiscoverytotheExecutivewithinSixty(60)daysaftertheExecutive'snoticeinwritingisreceivedbytheCompanyrequestingsuchrelease.IftheCompanydeterminesthatitdoesormayinthefuturehaveaninterestinanysuchinventionordiscovery,suchinformationwillbecommunicatedtotheExecutivewithinthe60-dayperioddescribedabove.

(iv)ForpurposesofthisClause6E,"Inventions"meansinventions,discoveries,concepts,andideas,whetherpatentableornot,including,butnotlimitedto,processes,methods,formulas,andtechniques,aswellasimprovementsthereoforknow-howrelatedthereto,concerninganypresentorprospectiveactivitiesoftheCompanywithwhichtheExecutivebecomesacquaintedasaresultofheremploymentbytheCompany.

F.TheExecutiveacknowledgesthattheagreementsprovidedinthisClause6wereaninducementtotheCompanyenteringintothisAgreementandthattheremedyatlawforbreachofhercovenantsunderthisClause6willbeinadequateand,accordingly,intheeventofanybreachorthreatenedbreachbytheExecutiveofanyprovisionofthisClause6,theCompanyshallbeentitled,inadditiontoallotherremedies,toaninjunctionrestraininganysuchbreach.

7.Termination.TheCompanyshallhavetherighttoterminatethisAgreementandtheExecutive'semploymentwiththeCompanyforcause.ForpurposesofthisAgreement,theterm"cause"shallmean:

A.AnybreachoftheExecutive'sobligationsunderthisAgreement;

B.Fraud,theft,orgrossmalfeasanceonthepartoftheExecutive,including,withoutlimitation,conductofafeloniousorcriminalnature,conductinvolvingmoralturpitude,embezzlement,ormisappropriationofassets;

C.ThehabitualuseofdrugsorintoxicantstoanextentthatitimpairstheExecutive'sabilitytoproperlyperformherduties;

D.ViolationbytheExecutiveofherobligationstotheCompany,including,withoutlimitation,conductwhichisinconsistentwiththeExecutive'spositionandwhichresultsorisreasonablylikelytoresult(intheopinionofthePresidentoftheCompany)inanadverseeffect(financialorotherwise)onthebusinessorreputationoftheCompanyoranyofitssubsidiaries,divisions,oraffiliates;

E.TheExecutive'sfailure,refusal,orneglecttoperformherdutiescontemplatedhereinwithinareasonableperiodunderthecircumstancesafterwrittennoticefromtheGeneralManager,orthePresidentoftheCompany,describingtheallegedbreachandofferingtheExecutiveareasonableopportunitytocuresame;

F.RepeatedviolationbytheExecutiveofanyofthewrittenworkrulesorwrittenpoliciesoftheCompanyafterwrittennoticeofviolationfromtheGeneralManagerorthePresidentoftheCompany;

G.BreachofstandardsadoptedbytheCompanygoverningprofessionalindependenceorconflictsofinterest.

IftheemploymentoftheExecutiveisterminatedforcause,theCompanyshallnotbeobligatedtomakeanyfurtherpaymenttotheExecutive(otherthanaccruedandunpaidbasesalaryandcommissionsandexpensestothedateoftermination),orcontinuetoprovideanybenefit(otherthanbenefitswhichhaveaccruedpursuanttoanyplanorbylaw)totheExecutiveunderthisAgreement.

8.Miscellaneous

A.ThisAgreementshallbegovernedbyandconstruedinaccordancewithIndianlaws,applicabletoagreementsmadeandperformedinIndian,andshallbeconstruedwithoutregardtoanypresumptionorotherrulerequiringconstructionagainstthepartycausingtheAgreementtobedrafted.

B.ThisagreementcontainsacompletestatementofallthearrangementsbetweentheCompanyandtheExecutivewithrespecttoitssubjectmatter,supersedesallpreviousagreements,writtenororal,amongthemrelatingtoitssubjectmatter,andcannotbemodified,amended,orterminatedorally.AmendmentsmaybemadetothisAgreementatanytimeifmutuallyagreeduponinwriting.

C.Anyamendment,notice,orothercommunicationunderthisAgreementshallbeinwritingandshallbeconsideredgivenwhenreceivedandshallbedeliveredpersonallyormailedbyRegisteredADPostwith,ReturnReceipttothepartiesattheirrespectiveaddressessetforthbelow(oratsuchotheraddressasapartymayspecifybynoticetotheother):(specifyaddresses)

D.ThefailureofapartytoinsistuponstrictadherencetoanytermofthisAgreementonanyoccasionshallnotbeconsideredawaiverordeprivethatpartyoftherightthereaftertoinsistuponstrictadherencetothattermoranyothertermofthisAgreement.Anywaivermustbeinwriting.

E.TheinvalidityorunenforceabilityofanytermorprovisionofthisAgreementshallnotaffectthevalidityorenforceabilityoftheremainingtermsorprovisionsofthisAgreementwhichshallremaininfullforceandeffectandanysuchinvalidorunenforceabletermorprovisionshallbegivenfulleffectasfaraspossible.IfanytermorprovisionofthisAgreementisinvalidorunenforceableinonejurisdiction,itshallnotaffectthevalidityorenforceabilityofthattermorprovisioninanyotherjurisdiction.

F.ThisAgreementisnotassignablebyeitherpartyexceptthatitshallinuretothebenefitofandbebindinguponanysuccessortotheCompanybymergerorconsolidationortheacquisitionofallorsubstantiallyalloftheCompany'sassets,providedsuchsuccessorassumesalloftheobligationsoftheCompany,andshallinuretothebenefitoftheheirsandlegalrepresentativesoftheExecutive.
