article4overdueinterestsandmisusinginterests

theborrowershallopenreiminbibasicaccountand/orforeigncurrencyaccountatthelenderorlendersbranchfortheuseofdraw-down，repayment，paymentofinterestsandfees.

article6draw-down

1.theloanunderthiscontractisrevolving，thebalanceofthiscontractshallnotmorethanthelineofcredit.

2.theborrowershallsendadraw-

downapplicationastheformhereinattachedinthiscontract7daysbeforethedat

eofdraw-down.

3.theborrowershallnotdrawtheloanlessthan1million.

article7conditionsfordraw-down

thefollowingconditionsshallbesatisfiedinadvanceofthedraw-downdate：

1.theborrowerhasopenedforeignaccountandreiminbiaccountattheofficeofthelenderorthebranchofthelender；

2.thiscontractandtheappendiceshavebeeneffective；

3.theborrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttothelender；

4.theborrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloancontract；

5.theborrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments；

6.theguarantyunderthiscontracthasbeeneffective；

7.theborrowerhasbeensatisfiedthewarrantsunderarticle11ofthiscontrac

t；

8.theotherrequirementforthedraw-downhavebeensatisfied.

article8repaymentplanandprepayment

2.thepaymentmadebytheborrowerandthedeductionfromtheaccountoftheborrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.

3.intheeventtheborrowerfailstorepaytheloan，

thelendershallhaverightstodeductthedebtfromthebankaccountoftheborroweratthelenderorempowerthebranchesofthelendertodeductthedebtfromthebankaccountoftheborroweratthelendersbranches；

4.theinstallmentofrepaymentshallnotlessthan1million.

article9debtcertificate

thelendershallkeeprecordinthelendersaccountfortheprincipal，

interestsandfeesandotherfeesoftheborrowerunderthiscontract；theabovementionedrecordandthedocumentationforthedraw-down，repaymentandpaymentofinterestisthecertificatesofthedebtsbetweentheborrowerandthelender.

article10guaranty

1.（the'guarantor'）

shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.

2.duringthetermofthiscontract，

iftheguarantorsfinancialstatusbecomedeterioratedortheliabilitiesforrepaym

entofdebtsbecomeweak，

thelendershallhaverighttorequesttheborrowerchangesguarantororprovidem

ortgageandpawnsecuredforthisloanunderthiscontract.

article11representationsandwarranties

i.theborrowersrepresentsandwarrantsasfollows：

1.theborrowerisacompanydulyorganizedandvalidlyexistingunderthelawofthepeoplesrepublicofchinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.theborrowerhasthepowertohandleitassetsusedinoperation.

2.theborrowerisatitsoptiontosignandperformthiscontract.itistheborrowerstruemeaningandhasthepowertosignthiscontractanditisnotbreachitarticleofassociationorregulationsorcontracts.theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.

3.thealldocuments，materials，

reportsandcertificatesprovidedtothelenderbytheborrowerforconsummation

ofthiscontractistrue，real，competeandeffective

4.theborrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausethelenderrefusetoextendtheloan：

1）

theborrowerortheprincipalexecutivesoftheborrowerinvolveinmaterialeventswhichbreachregulations，lawsorcompensationtoothers；

2）pendingactionsandarbitration；

3）

theborrowersdebtsorproposeddebtsorliensandotherencumbrances；

4）

theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts；

5）

theborrowerbreachedcontractwhichisbetweentheborrowerandothercreditors.

ii.theborrowerherebywarrantsasfollows：

1.usingthecapitaloftheloanasusagesetforthinthiscontract，theborrowerwillnotusetheloanasequityinvestment；

theborrowerwillnotusethecapitaloftheloaninvestinsecurity，future，realestateetc.theborrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry.theborrowerwillnotmisusingorappropriationoftheloan.

2.makingpaymentandrelatedexpensesinaccordancewiththeprovisionssetforthinthiscontract；

3.providingupdatedfinancialstatementorfinancialbulletineveryquarter；

providingtheauditedfinancialreportatthefirstquartofeachyear；

providingoperationreport，

financialreportorotherfilesandmaterialsandshallwarrantthereality，

correctandeffectivenessforthefilesandmaterials；

4.anyanti-

guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbe

nefitsofthelenders；

5.acceptingthesupervisionofthelender，

providesassistanceandcooperationforthelenderssupervisions；

6.willnotreducetheregistrationcapital；

priorapprovalfromthelendershallberequiredwhentheborrowerchangesofsh

areholdersandoperationmanner（includingbutnotlimitedtojointventure，cooperation，jointlycooperation；dissolution，closedown，liquidation，

transformation；merger；changetosharecompany，usethehousing，

machineryorotherrealassetsortrademark，intellectualproperty，knowhow，

landingusingrightsorotherintangibleassetstoinvestinsharecompanyorinvestmentcompany，tradingofoperationrightorownrightbycontracting，jointoperation，trusteeship）

7.theborrowershallinformthelenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheborrowerwhentheborrowerguaranteeforotherpartyormortgageitsassets.theborrowerwarrantsthatwillnotdisposetheassetswhichwillmakeadverseimpactonitsabilityofpayingdebts.

8.theborrowerwillnotpaytheothersimilarloanspriortothelender；

9.theborrowerwarrantstoinformthelenderimmediatelywhenthefollowingeventsoccurred：

1）

theeventofbreachofcontractunderthiscontractorotherloanorguarantycontractsbetweentheborrowerandanybranchesofbankofchinaorotherbanks，non-

bankfinancialorganization；

2）theborrowerchangesshareholdersorrevisethearticleofassociation；

3）

theborrowersufferdifficultiesandbadresultinfinancialandoperation；

4）theborrowerinvolvesinmaterialactionsorarbitration；

11.theborrowershallkeepitsbanktransactionsregardingincomecollectio

n，

sellforeigncurrencyorbuyforeigncurrencyect.shallbeconductedatthelender

orotherbranchesofthelender.theturn-

overforthecapitalshallsatisfythedemandofthelender；

iii.theborrowersrepresentationsandwarrantshereunderthiscontractshallbeeffectiveeventhoughanymendment，supplementsorrevisedtobemadetothiscontract.

article12representationsandwarrantsofthelender

i.thelenderrepresentsandwarrantsasfollows：

1.thelenderisastate-

ownedcommercialbankorbranchdulyorganizedandvalidlyexistingunderthe

lawofp.r.candapprovedbytheindustryandcommercialadministrationandhol

dsthefinancialinstitutionslegalpersonlicensesandfinancialinstitutionsopera

tionlicensetobequalifiedtooperatefinancialbusiness.

2.thelenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractandperformanceofitsobligationsunderthiscontract.thelenderisdulyauthorizedtoextendthisloan.

ii.thelenderwarrantsasfollows：

1.thelendershallextendtheloaninaccordancewiththeprovisionssetforthinthiscontract.

2.collectinterestsinaccordancewiththeregulationsofthepeoplesbank.

article13eventsofbreachcontractandsettlement：

i.settlementoftheborrowerbreachofcontract

1.eventofbreachofcontract：

1）

theborrowerfailstousetheloaninaccordancewiththeagreedusageoftheloan；

2）theborrowerfailstorepaythedueprincipalandpaytheinterests，

expensesorotherpayableinaccordancewiththeagreedtermofthiscontract；

3）

theborrowerbreachestherepresentationandwarrantssetforthinarticle11.

4）

theborrowerbreachesotherloanagreementsorguarantyagreementsortheguarantorbreachtheguarantyagreementwhichmaymakeimpacttheborrowertoperformtheobligationsunderthiscontract.

5）

conclusiveevidencetoshowthattheborrowerlosethecapacityofcreditorduringperformanceoftheobligationunderthiscontract，thefinancialconditionsoftheguarantorareseriouslydeterioratingorotherreasonscausedtheguarantorthecapacityofcreditdecline.

6）theborrowerbreachestheotherobligationsunderthiscontract.

2.undertheabovecircumstances，thelendershallhaverightto：

1）

requesttheborrowertorectifywithintheperioddesignedbythelender；

2）ceaseinextendingtheloanorcancelthecredit；

3）

declaretheloanunderthiscontractisdueandthelendershallhaverighttodeducttheoutstandingamountfromtheaccountoftheborrower.theborrowershallnotappealagainstthelender.

4）

declaretheloanisdueunderotherloanagreementsbetweenthelenderandtheborrower，requesttheborrowertorepaytheloanprincipals，interests，andotherexpenses.

ii.thesettlementforthelenderbreachofthecontract

1.thelenderfailstoextendtheloanasagreedinthiscontractwithoutanyreasons；

2.thelenderbreachestheagreedinterestrateandcollectionaddinterestsorotherfees；

3.thelenderbreachestheprovisionssetforthinarticle12；

4.undertheabovecircumstances，theborrowershallhaverightto：

1）requestthelendertorectify；

2）

repaytheloanaheadoftimeandrefusetopayanycompensationforprepayment.

article14deduction

theborrowershallpayinfullforthepaymentwithoutanycounteractionoranycondition.

article15assignmentofthedebtandcredit

1.theborrowershallnotassignitsrightandliabilityunderthiscontracttootherthirdpartywithoutanywrittenapprovalofthelender；

2.intheeventtheborrowerassignitsrightandliabilityunderthiscontracttootherthirdpartyunderthewrittenconsentofthelender，thethirdpartyshallabidethiscontractwithoutanycondition.

article16performanceofobligationandwaiverofrights

1.theborrowerisindependentcontractorunderthiscontract，

itwillnotimpactbyanyotherrelationsbetweentheborrowerwithotherpartyexcepttheotherprovisionssetforthinthiscontract.

2.thelendergiveanyextension，toleration，

favortotheborrowerorpermittheborrowertodelayofperformanceanyobligationunderthiscontractshallnotimpairanyrightsofthelenderinaccordancewitht

hiscontractandlaws，regulation，

itshallbedeemedtohavewaiveditsrightsunderthiscontractandtheobligationshallbeperformedbytheborrowerunderthiscontract.

article17amendment，supplementandinterpretationofthecontract

1.thiscontractcouldbeamendedandsupplementeduponthewrittenagreementsconcludebytheparties.anyaamendmentandsupplementshallbeintegralpartyofthiscontract.

2.intheeventchangeoflaws，

regulationsorlegalpracticewhichwillcauseanytermscontainedinthiscontract

becomeillegal，invalidorlossofpractice，theotherpartofthiscontractshallnotbeimpairedbyit.thebothpartiesshallmakeeffortstochangetheillegal，invalidorlossofpracticepart.

3.forthemattersnotreferredinthiscontractshallbeconstruedinaccordancewiththeprovisionsofthepeoplesbankofchina.

article18disputeresolution，governinglawandwaiverofexemption

1.theconclusion，

interpretationanddisputeresolutionshallbesubjecttothelawsofthepeoplesrepublicofchin.thedisputesarisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties.incasenosettlementcanbereached，

thedisputesshallbesubmittedtothepeoplescourtofthelocationofthelenderforjudgment.

2.theborrowershallnotrejectanyobligationduringthesettlementofdisput

es.

3.theexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehavior.theborrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontract.

ifbothpartiesagreetoapplyarbitration，theabovetermshallbe：）

1.theconclusion，

interpretationanddisputeresolutionshallbesubjecttothelawsofthepeoplesrepublicofchin.thedisputearisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties.incasenosettlementcanbereache

thedisputesshallbesubmittedtochinainternationaleconomicandtradearbitrationcommissionforarbitration.

2.thearbitrationshallbeconductedinaccordancewiththearbitrationlawofpeoplesrepublicofchinaandprovisionalrulesofprocedureofchinainternationaleconomicandtradearbitrationcommission.

3.duringthearbitration，

thiscontractshallbeeffectiveandtheborrowershallnotdisclaimtheanyobligati

onsunderthiscontract.

4.theexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehavior.theborrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontract.
