(hereinafterreferredtoasCIQ),havetherighttoclaimforreplacementwithnewgoods,orforcompensationorrepairandallexpenses(suchasinspectioncharges,repairingfee,freightforreturningthegoodsandforsendingthereplacement,ortherepairedgoods,insurancepremium,storage,loadingandunloadingchargesetc.)shallbebornebytheSellers.Asregardsquality,theSellersshallguaranteethatif,theinstallationandinspectionforacceptanceofthecommoditiescontractedarerequired,damagesand/ordefectsoccurinthecourseofoperationbyreasonsofinferiorquality,badworkmanshiportheuseofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyCIQ.TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.TheSellers,inaccordancewiththeBuyers”claim,shallberesponsiblefortheimmediateeliminationofthedefect(s),completeorpartialreplacementofthecommodityorshalldevaluatethecommodityaccordingtothestateofdefect(s).WhenagreedbytheSellers,theBuyersmayeliminatethedefect(s)themselvesattheSellers”expenses.假设在货物到达目的港的天内觉察其质量、规格或数量不符合本合同之规定〔因保险公司或承运方应负责的索赔除外〕，买方有权凭中国国家进出境检验检疫局出具的检验证书要求换货，或要求补偿，而且全部的费用〔如检验费、退货的运费以及更换货物的运费、保险费、仓储费、装卸费等等〕应由卖方担当。关于质量问题，卖方担保设备验收合格之日〔如需要在华安装,调试,验收时〕起12个月在操作过程中觉察因质量低劣、工艺不好或因承受了低劣的材料而货物发生损坏或故障时，买方将马上以书面形式通知卖方并凭中国出入境检验检疫机构出具的检验证书提出索赔。开具的检验证书应作为索赔的根底而予以承受。假设在收到上述索赔要求的一个月内不予答复，则认为卖方已经承受买方的索赔要求。卖方应依据买方的要求负责马上排解故障，全部或局部更换货物。在卖方同意时,买方可自行排解故障，费用由卖方担当。FORCEMAJEURE不行抗力TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,suchaswar,seriousfire,flood,typhoonandearthquake,orothereventsagreeduponbetweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithin10daysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhavetherighttocanceltheContract.卖方对不行抗力缘由如战斗、严峻火灾，洪水、台风,地震或双方同意的其他大事所造成的迟交和未交付不负有责任.卖方在发生上述大事时应马上通知买方，并在10天内空邮买方一份由相应政府部门签署的大事发生证明。在上述状况下，卖方仍有责任实行全部措施来加快货物的交付。假设上述大事持续超过10个星期，买方有权取消上述合同。LATEDELIVERYANDPENALTY迟交罚款ShouldtheSellerfailtomakedeliveryintimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause15ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.Thepenalty,however,shallnotexceed5%ofthetotalvalueoftheContract.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocanceltheContractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.假设买方未能按合同要求按时交付，除非是由于本合同第15款规定的不行抗力缘由。在卖方同意支付罚款的条件下，买方将同意延迟交货。罚款由买方在支付的货款中扣除，此罚款应不超过合同总价的5%。罚款率为每七天0.5%.缺乏7天按7天计算。假设卖方在合同规定的交付期10周后仍未交货，则买方有权撤销合同。在此状况下，卖方仍应将上述罚金付给买方，不得延迟。ARBITRATION 仲栽AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission (Beijing) inaccordancewithitsArbitrationRules.ThearbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationCommitteeshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtorotherau
