ProgramandObjectiveoftheCollaboration

Inconsiderationofequityandmutualbenefit,thetwopartieshavereachedanagreementonaneducationalprogramlistedbelow;

TheobjectiveofthiscooperationagreementistoestablishaninternationalpartnershiptoprovidefirstclasshighereducationtoqualifiedChinesecandidatesthroughcombinedeffortsofbothparties.

EffectiveDate

ThisagreementshallbeeffectivewhensignedbybothpartiesandtherelevantgovernmenteducationauthoritieshaveapprovedthedeliveryoftheprograminN0.3MiddleSchool.

StudentsRecruitment

TheprogramwillrecruitstudentsfromChineseJuniorMiddleSchoolandwillstrictlyfollowthestudentrecruitmentplanapprovedbyHubeiProvincialEducationCommission;

SubjectandNumberofstudents

Theproposednumberofeachyear’srecruitmentisnolessthan100students.Shouldtherecruitmentbeunder100,twopartieswillhaveafurtherdiscussionanddecidetoproceedwiththisjointprogramornot.

InstructionandAdministration

AlltheinstructorsprovidingcourseinstructionintheEnglishlanguageshallbeapprovedbyXXXandNo.3MiddleSchoolfortheirqualification;

thecurriculumandteachingplan.XXXwillrecognizeallthecreditsthatstudentsobtainedinNo.3MiddleSchool;

EachsubjectwillbetaughtattheNo.3MiddleSchoolfacility.Thesubjectconsistsofobligatorycoursesandoptionalcourses.Thestudentswillbeabletocompletetheentirecoursewithinthreeyear;

StudentswhosuccessfullycompletethejointprogramwillbegrantedtheGraduateCertificatefromxxxandNo.3MiddleSchool.

Fees

TheactualtuitionlevelwillbewithintherangeapprovedbytheChinesegovernmentauthorities;

Additionaleachstudentshouldpay$xxxperyeartocovertheextracostsofthisinternationalprogram；

Alltheprogramcostsshouldbepaidfromthetuitionincomesmentionedinarticle6.2.Theremainedprofitshouldbeutilizedonthefuturedevelopmentoftheprogram,foreducationandteachingpurposesaswellasfortheimprovementoftheprogramoperationconditions;

Eachpartyisresponsibleandliablefortaxationissueswithintheirowncountry.Anytaxespayablecannotbemetfrommoniesownedandremittedundertheprogram.

ResponsibilitiesofXXX

Formulatetheprogramcurriculumandprovidesampleteachingmaterials;

Providefullsyllabusregularlyupdated;

Allcoretrainingmaterials-includingindividuallessonplan,presentationslidesandstudentlearningmaterials;

Supportingfullpackageacademic,administrativemanagement;

Instructor’straining,andguidancetoteachingandqualityassurane;

thisprogram;

Submitallnecessarydocumentsforlocaleducationauthority’sapprovalinChina;

Besidesthisprogram,bothpartiesshouldworktogethertosupportstaffexchanges,staffdevelopment,jointresearch,oranysimilaracademicactivitiesthatfurthertheobjectsofthiseducationalprogramandthesuccessfulrunningoftheteachingprogram.

XXXshouldawardtheGraduateCertificateforthequalifiedstudents.

Articles8ResponsibilitiesofNo.3MiddleSchool

Chinarelatedlegalandregulatorycoverageandapplicationfordeliveringtheprogram；

Programmarketingandconsultation.

Numberofeachyear’srecruitmentis100students;

Studentsadministration;

Provideclassrooms,teachingfacilitiesandstudentsaccommodation;

Administrationofcurrentprogram,withexistingcapability;meanwhileretainseniorlecturestoteachcoremodules;

Providenecessaryfacilitiesandresourcesincludingcomputer,library,etc;

No.3MiddleSchoolwillreceivetheinternationalteachersfromxxx,providinghelpfortheinternationalteacherstoobtainvisaandresidencepermit,alsoarrangetheaccommodationforinternationalteachers;

No.3MiddleSchoolshouldawardtheGraduateCertificateforthequalifiedstudents.

Regulation

TheStructureandsettingoftheprogramshouldbeevaluatedbyNo.3

MiddleSchoolandXXX;StudentsshouldobeyregulationssetbyNo.3

MiddleSchool.

OwnershipofIntellectualProperty

AllIntellectualPropertyownedbyorlicensedtoeitherpartypriortotheCommencementDateandwhichisusedinconnectionwiththisagreementremainsthepropertyoforlicensedtothatpartynotwithstandingtheperformanceofthatparty’sobligationsunderthisagreement;

Allcopiesofmaterialcontainingaparty’sIntellectualPropertyinthepossessionorcontroloftheotherparty,mustberetunedimmediatelytothefirstpartyifthisAgreementexpiresoristerminated.

TermsandTerminationoftheAgreement

ThisAgreementshallbevalidforfiveyearsfromthedateofapproval,unlesseitherpartywishestoreviseorterminateit;

Withinthedurationortheagreement,ifthereisaneedtochangepartofthecontentsduetothechangeofsituationofeitherpartyortwo，eithersubjectiveorobjective,twopartiescandiscussandnegotiatetosignanagreementofalteration;

Theintentiontoterminatetheagreementshallbecommunicatedtotheotherpartywithatleastsixmonths’notice.Suchintentiontoterminateshallbegivenattheendoftheacademicyearsothattheperiodofnoticewilloperatefromthebeginningofthefollowingacademicyear.Arrangementsfortheterminationmustincludeprovisionforcontinuingstudentstocompletetheirprogramofstudent.

Uponterminationofthisagreement,bothpartiesshallceasetouseanydocumentsormaterialsprovidedtoitbytheotherparty,andshallceasetoadvertiseitselfas,havinganyconnectionwiththeotherparty,inrespectofthisagreement.

Article12

Dispute

1Anydisputerelatingtothisagreementshouldberesolvedbycooperationnegotiation.Intheunlikelyeventofthisapproachfailing,thedisputeshouldberesolvedintercessionorarbitrationinaccordancewiththelawofPeople’sRepublicofChina.
