第一条合同目的

第二条药品选定及供应

第三条价格与结算

3.2甲方应在药品交付后5个工作日内将剩余付款支付给乙方。

3.3双方合作期间，如国家相关政策调整，导致药品价格发生变动，应根据变动情况重新协商药品价格并签订补充协议。

第四条质量与售后服务保证

4.1乙方承诺提供的药品具备合格的生产和销售资质，并提供必要的质量保证文件，如有效期、验收合格证明等。

4.2乙方提供的药品应符合国家相关法规和标准的要求，如国家食品药品监管局颁布的《药品质量管理规范》等。

4.3如乙方提供的药品在使用过程中出现问题，甲方有权要求乙方依法承担相应的赔偿责任。

第五条违约责任

5.1如甲方未按合同约定向乙方支付款项，乙方有权要求甲方支付合同金额的1%作为违约金。

5.2如乙方未按合同约定向甲方供应药品，或者提供的药品存在质量问题，甲方有权要求乙方支付合同金额的1%作为违约金，并追究乙方相应的赔偿责任。

第六条法律适用与争议解决

6.1本合同的签署、履行、解释和争议解决，适用中华人民共和国的相关法律。

6.2双方如有争议，应通过友好协商解决；协商不成时，应提交至双方所在地人民法院解决。

第七条合同生效与解除

7.1本合同一式三份，甲方、乙方各持一份，合同经签字盖章后生效。

7.2除非经双方协商一致，否则本合同不得解除。

第八条其他

8.1本合同未尽事宜，双方可另行协商补充，补充协议与本合同具有同等法律效力。
