InvestmentAgreementPartyA:HongkaiGuo甲方：Tel:电话：Address:地址：PartyB:RuianLiang乙方：Tel:电话：Address:地址：PartyAandPartyB(hereinafterthe“ContractingParties”),desiringtoobtainmutualbenefitsofbothpartiesandintendingtocreateaninvestmentagreementconcerningco-investmentinthenightclub“ForbiddenCity”(hereinafterthe“Club”),haveagreedasfollows:甲乙双方(以下简称“签约方”)为互惠互利，拟就共同投资ForbiddenCity夜总会(以下简称“会所”)达成如下投资协议:Article1InvestmentandPayment第一条投资及支付ThetotalinvestmentoftheClubisCAD$500,000.本会所总投额额为50万加元。PartyAcontributesCAD$250,000,amounting45%ofthetotalinvestment.甲方投资25万元，占总投资额的45%.PartyBinvestsCAD$163,000incashandanequipment(fixedasset)atthevalueofCAD$83,000.Furthermore,PartyBhas10%techstockinthenightclub.Then,PartBholds55%ofthetotalinvestment.乙方出资16万3加币，8万3加币固定资产（设备），及10%技术股，占投资额的55%。Allinvestmentshallbemadewithinsevendaysbeginningfromtheexecutionofthisagreement.所有投资应在本协议签署之日起7天内完成。Article2Management第二条管理TheClubwillbemanagedbytheContractingParties.MaterialdecisionswillbenotmadeuntilPartyAandPartyBdeliberatelydiscussontheissue.Nevertheless,PartyBhasthefinaldecisiononallissues.PartyA’sparticipationinthediscussionsdoesnotimplythatPartyAhasthefinaldecision.本会所将由缔约双方共同管理。重大问题得由甲乙双方协商他讨论决定。乙方对所有问题拥有最终决定权。甲方参与讨论并不意味着甲方拥有最终决定权。Article3Visitright第三条访问权EachContractingPartyhasvisitrighttobankaccount,fixedpropertiesandinternetplatformoftheClub.各签约方有权访问俱乐部的银行账户、固定资产和互联网平台。Article4Dividends第四条红利分配ThedividendsoftheClubarepaidtotheContractingPartiesontheyearlybasis.Withinonemonthaftertheendofthepreviousfinancialyear,theprofitsoftheclubwillbecalculatedbytheContractingPartiesanddividendsaredistributedtoeachpartyaccordingtotheirsharesintheClub.俱乐部的红利按年支付给缔约双方。上一财政年度终了后一个月内，俱乐部的利润由缔约各方计算，并按其在俱乐部的股份分配红利。Article5MeansofPayment第五条支付方式AlldividendsandotherpaymentstotheContractingPartieswillbemadeincash.ThebankingaccountofPartyA:ThebankingaccountofPartyB:所有支付给缔约双方的股息和其他款项将以现金支付。甲方账户：乙方账户：Article6Assignmentofrights第六条权利转让Eachpartyshallnottransferhisinterestsandobligationsunderthiscontracttoanythirdpartywithoutthewrittenapprovalandconsentoftheotherpartywithintheeffectivedateofthisagreement.在本协议生效日期内，未经另一方书面同意，任何一方不得将其在本合同项下的权益和义务转让给第三方。Article7ChangesandWrittenForm第七条协议版本形式Anyverbalcollateralagreementisinvalid.Anyamendmentstothiscontractmustbemadeinawrittenformsoastobelegallybinding.任何口头担保协议无效。对本合同的任何修改必须以书面形式作出，具有法律约束力。Article8BreachofContract第八条违约Anypartymayclaimdamagesagainsttheotherpartyunderthiscontractinthecaseofthebreachofthecontractbytheotherparty.Theinnocentpartyreservestherighttofilealawsuittocourtswithregardtoanybreach.任何一方如违反本合同规定，均可向另一方索赔。非违约方保留就任何违约行为向法院提起诉讼的权利。Article9Termination第九条协议终止Bothpartiesmayagreetoterminatethiscontractwithinanyperiodofthisagreement.Uponterminationoftheagreement,theprofitsandlossesoftheClubwillbedistributedtotheContractingPartiesaccordingtotheirinvestment.双方均可同意在本协议有效期内终止本合同。本协议终止后，俱乐部的损益将按双方的投资情况分配给各方。Article10Communication第十条沟通方式Requests,notices,statementsorothercommunicationrequiredunderthiscontractshallbeaddressedtothepartiesortothepersondesignatedbyoneparty,unlessotherwiseexpresslyspecifiedinthiscontract.除非本合同另有明确规定，本合同项下要求的请求、通知、声明或其他通信均应发送给双方或一方指定的人员。Article11Confidentiality第十一条保密Eachpartyisobligedtokeepthecontentsofthiscontractconfidentialtoanythirdparty.Withoutobtainingthewrittenconsentoftheotherpartyinadvance,eachpartyshallnotdiscloseanyofthecontentofthecontracttothirdparties.任何一方都有义务将本合同的内容向任何第三方保密。未经另一方事先书面同意，任何一方不得将本合同的任何内容泄露给第三方。Article12ForceMajeure第十二条不可抗力EitherPartyshallbeexcusedfromperformanceofanyobligationhereundertotheextentthatthefailuretoperformsuchobligationisduetoaNaturalForceMajeureEvent.由于不可抗力而不能履行义务的，任何一方均可免除履行本协议项下的该义务。Article13Applicablelaw第十三条准据法ThiscontractshallbesubjecttolawofOntario,Canada.本合同受加拿大安大略省法律调整。Article14Placeofjurisdiction第十四条管辖地AnydisputewithregardtoorarisingfromthiscontractshallbedecidedbythecourtwherePartyBislocated.凡因本合同引起的或与本合同有关的任何争议，应由乙方所在地法院裁决。Article15Signature第十五条签名Thiscontractwillcomeintoforceonthedateofbeingsigne
