车库销售协议合同编号：__________GarageSaleAgreementThisGarageSaleAgreement(the"Agreement")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween____________________________("Seller"),a(n)_____________________,havingaprincipaladdressat_____________________________________,and____________________________("Buyer"),a(n)_____________________,havingaprincipaladdressat_____________________________________.RECITALS:WHEREAS,Selleristheownerofagaragelocatedat_____________________________________(the"Garage"),whichGaragecontainsvariousvehiclesandotherpersonalproperty(the"Property");WHEREAS,BuyerdesirestopurchasefromSellercertainvehiclesand/orotherpersonalpropertylocatedintheGarage(the"PurchasedItems");WHEREAS,SelleriswillingtosellthePurchasedItemstoBuyer,subjecttothetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:ARTICLEI:DEFINITIONSSection1.1.Definitions.AsusedinthisAgreement,thefollowingtermsshallhavethefollowingmeanings:(a)"Closing"shallmeantheclosingofthesaleofthePurchasedItems,whichshalltakeplaceattheGarageon_____________________(the"ClosingDate").(b)"PurchasedItems"shallmeanthevehiclesand/orotherpersonalpropertylistedonExhibitAattachedhereto.(c)"Seller"shallmean____________________________,a(n)_____________________,havingaprincipaladdressat_____________________________________.(d)"Buyer"shallmean____________________________,a(n)_____________________,havingaprincipaladdressat_____________________________________.(e)"Garage"shallmeanthegaragelocatedat_____________________________________,whichGarageisownedSeller.ARTICLEII:SALEANDPURCHASEOFPURCHASEDITEMSSection2.1.SaleandPurchase.SubjecttothetermsandconditionsofthisAgreement,Selleragreestosell,andBuyeragreestopurchase,thePurchasedItems.Section2.2.Payment.AttheClosing,BuyershallpaytoSellerthetotalpurchasepriceforthePurchasedItems,assetforthonExhibitBattachedhereto(the"PurchasePrice").ThePurchasePriceshallbepaidincashorcertifiedcheck,payabletotheorderofSeller.Section2.3.TransferofTitle.AttheClosing,SellershalltransfertoBuyerallright,,andinterestinandtothePurchasedItems,freeandclearofanyliens,encumbrances,orclaimsofanythirdparties.Section2.4.InspectionandAcceptance.BuyershallhavetherighttoinspectthePurchasedItemspriortotheClosing.IfBuyerreasonablydeterminesthatanyPurchasedItemdoesnotconformtothedescriptionsetforthinExhibitA,Buyermay,atitssolediscretion,either(a)acceptthePurchasedItemandproceedwiththeClosing,or(b)rejectthePurchasedItemandterminatethisAgreement.ARTICLEIII:REPRESENTATIONSANDWARRANTIESSection3.1.Seller'sRepresentationsandWarranties.SellerrepresentsandwarrantstoBuyerthat:(a)SelleristhelegalownerofthePurchasedItemsandhastherighttosellthesame;(b)ThePurchasedItemsarefreeandclearofanyliens,encumbrances,orclaimsofanythirdparties;(c)ThePurchasedItemsareinthepossessionofSellerandarelocatedattheGarage;(d)ThedescriptionsofthePurchasedItemssetforthinExhibitAaretrueandaccurate;and(e)Therearenooutstandingjudgments,liens,orclaimsagainstSellerthatwouldaffectSeller'sabilitytoperformitsobligationsunderthisAgreement.Section3.2.Buyer'sRepresentationsandWarranties.BuyerrepresentsandwarrantstoSellerthat:(a)Buyerisa(n)_____________________(the"EntityType")dulyorganized,validlyexisting,andingoodstandingunderthelawsofthejurisdictionofitsorganization;(b)BuyerhasthelegalcapacitytoenterintothisAgreementandtoperformitsobligationshereunder;(c)BuyerhastakenallnecessaryactionstoauthorizetheexecutionanddeliveryofthisAgreementandtheperformanceofitsobligationshereunder;一、附件列表：1.附件A：列出购买的车辆和其他个人财产的详细信息。2.附件B：详细说明购买价格，包括任何额外费用或折扣。二、违约行为及认定：1.卖方违约：未能按照合同约定时间交付购买物品。交付的购买物品与合同约定的描述不符。未能转移购买物品的合法所有权或存在第三方索赔。2.买方违约：未能按照合同约定支付购买价格。未能接受不满足合同描述的购买物品。未能履行合同中规定的其他义务。三、法律名词及解释：1.卖方：指合同中指定的车辆和个人财产的合法所有者。2.买方：指合同中指定的购买车辆和个人财产的当事人。3.购买物品：指合同附件A中列出的车辆和其他个人财产。4.closing：指合同中规定的购买物品交付和支付购买价格的日期。5.交付：指卖方将购买物品的实际控制权移交给买方。四、执行中遇到的问题及解决办法：1.购买物品的描述不准确：买方应在合同规定的检验期内对购买物品进行详细检查。如发现描述不准确，买方有权根据合同条款拒绝接受购买物品或要求卖方纠正。2.卖方未能按时交付购买物品
