(APEC)meetingof12regionalforeignandeconomicministersinAustralia,itwassimplya

laudableidea.1EversincethatfatefulCanberraconferenceinNovember1989,APEChas

neverlookedback.Theoriginal12-memberforumhas18members:Australia,Brunei,Canada,

Chile,China,HongKong,Indonesia,Japan,SouthKorea,Malaysia,Mexico,NewGuinea,the

Philip-pines,Singapore,Taiwan,ThailandandtheUnitedStates.TherushtojointheAPECclubis

sogreatthatithadtoimposeathree-yearmoratoriumonnewmembershiptill1996.2

WhenAustraliafirstmootedtheproposaltoconveneaconferenceforregionalcooperation,

therewasconsiderablemisgivingandscepticismaboutit.MostASEANcountries(Associationof

SouthEastAsianNations)-Brunei,Indonesia,Malaysin,thePhilippines,SingaporeandThailand

(Vietnamwasnotamemberofthem)-werenotparticularlyenthusiastic.3Indonesia's

ForeignMinister;AhAlatas,simplywantedanyPacificorganizationtobeanextensionofASEAN.

Indonesia'shostingoftheAPECsummitlastyear,wherePresidentSoehartoplayedaleadingrole

inputtingtogetherthefreetradedeclaration,wouldsuggestthatJakarta'searliermisgivings

havedisappeared.4Inthelead-uptotheOsakasummit,thereportcardonthefreetrade

agenda(gleanedfromthemeetingsofofficialsfrommembercountries)didnotseemterribly

good.TheUnitedStates,whichseeksexpandedaccess(andataquickerpace)toregional

markets,wasunhappywiththeslownessofJapantoadvancethefreetradeagenda.Japanwas

thecountrychairingAPECfor1995.AccordingtoMSSandraKristoff,theUSStateDepartment's

CoordinatorforAPEC,Japanhad"togooutthereandcreateaconsensus[onfreetrade],leada

consensus,makethishappen...TheUnitedStatesdoubtedJapan'sfreetradecredentialsandfelt

thatitsheartwasnotintheAPECpledge.Tokyohaswantedafreetradeagendatodevelopona

voluntarybasis.5

However,becauseofAmerica'sgrowingpreoccupationinthemonthsaheadwithpresidential

elections,theClintonadministration'simpatienceandconsequentnegativerhetoricneednotbe

takenatitsfacevalue.WashingtoncannotaffordtoignoreoroptoutofAPEC,withtheUSA

havingabout$400billionannualtradewiththeregion.AThesecondsummitwasheldin1994

atBogorinIndonesia.

BItwasfeltthatapan-Pacificorganizationwoulddwarf12ASEAN,whichmightthenloseits

reasonforbeingdiscussedandevenitsexistence.

CBut,itwasanideawhosetimehadcome.

DItwould,however,benaivetosuggestthatAPECwillbeallsmoothsailing.

EThisinitselfisaproofoftheconsiderableheadwayAPEChasmadeinashortperiodofabout

sixyears.

FItneedsemphasizingthatallAPECmembersareinfavourofregionalfreetradebutalldenot

favoursettime-schedulesandtheirenforcement.

coalitionofsocalleddissidentshareholdersmaygatherenoughvotestoreplacetheexisting

boardofdirectors;thenewhoardmayfiretheexistingmanagementandbringintheirown

managementteam.

Althoughcommonstockrepresentsownershipinacompany,itdoesnotguaranteethe

ownersaspecificrateofreturn.Asowners,thestockholdersreceiveprofitsafterallexpenses,

includingdebtsandtaxes,havebeenpaid.Theyreceiveprofitsfromthebusinessintheformof

dividendpayments,whichrepresentapercent-ageofprofits.Notallafter-taxprofitsarepaidto

thestockholdersindividends.Directorsusuallyderidequarterlyhowmuch,ifany,oftheprofits

theywishtodistributetotheowners.Theprofitsareeitherdistributedtotheownersin

dividendsortheyarereinvestedbackintothecompanyintheformofretainedearnings.Ifthe

stockhasbeenissued.Theterm"preferred"appliestotwoconditions.First,preferred

stockholdersgainpreferentialtreatmentinthematterofdividends;thatis,theyreceiveafixed

rateofdividendspriortothepaymentofdividendsoncommonshares.Second,ifthecompany

goesoutofbusinessorliquidates,pregerredstockholdersareclosertothefrontofthelinethan

Dividendstopreferredstockmaybecumulativeornoncumulative.Cumulativepreferredstock
