股票分割离婚协议合同编号：__________stocksplitdivorceagreementThisstocksplitdivorceagreement(this"Agreement")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween____________________________(the"Spouse1")and____________________________(the"Spouse2").RECITALS:WHEREAS,Spouse1andSpouse2arehusbandandwife,whoaremarriedon__________(the"MarriageDate");WHEREAS,thepartiesheretoown__________sharesofstockin_____________________("Company"),eachpartyowning__________sharesoftheissuedandoutstandingcapitalstockoftheCompany(the"Shares");WHEREAS,thepartiesheretohavemutuallyagreedtodissolvetheirmarriage(the"Divorce")andwishtoenterintothisAgreementtoprovidefortheequitabledivisionoftheSharesownedtheparties;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.DivisionofShares.1.1.Asofthedatehereof,theSharesshallbedividedbetweenSpouse1andSpouse2asfollows:Spouse1shallreceive__________sharesandSpouse2shallreceive__________shares(the"Division").1.2.ThepartiesheretoshalltakeallnecessarystepstoeffecttheDivisioninaccordancewiththetermsofthisAgreementandthelawsofthejurisdictionofincorporationoftheCompany.1.3.ThepartiesheretoshallexecuteanddelivertotheCompanysuchinstrumentsasmayberequiredtoevidencetheDivisioninaccordancewiththetermsofthisAgreement.2.TransferofShares.2.1.ConcurrentwiththeexecutionofthisAgreement,Spouse1shalltransferanddelivertoSpouse2,andSpouse2shallaccept,__________sharesoftheShares,inconsiderationforwhichSpouse2shalltransferanddelivertoSpouse1,andSpouse1shallaccept,__________sharesoftheShares.2.2.ThepartiesheretoagreethatthetransferoftheSharespursuanttothisAgreementshallbeeffectedinaccordancewiththelawsofthejurisdictionofincorporationoftheCompany.2.3.ThepartiesheretoshallexecuteanddelivertotheCompanysuchinstrumentsasmayberequiredtoevidencethetransferoftheSharesinaccordancewiththetermsofthisAgreement.3.RepresentationsandWarranties.3.1.Eachofthepartiesheretorepresentsandwarrantstotheotherthat:(a)suchpartyisthelegalowneroftheSharesbeingdividedandtransferredpursuanttothisAgreement;(b)suchpartyhasgoodandmarketabletotheShares,freeandclearofanyliens,encumbrances,orclaimsofanynature;(c)suchpartyhastheright,power,andauthoritytoenterintothisAgreementandtoconsummatethetransactionscontemplatedhere;(d)thisAgreementconstitutesalegal,valid,andbindingobligationofsuchparty,enforceableagainstsuchpartyinaccordancewithitsterms;and(e)suchpartyhasnottakenanyaction,norshallsuchpartytakeanyaction,thatwouldprohibittheDivisionortransferoftheSharesinaccordancewiththetermsofthisAgreement.3.2.Eachofthepartiesheretorepresentsandwarrantstotheotherthat:(a)suchpartyhasnotenteredintoanyagreement,contract,understanding,orarrangementwithanythirdpartythatwouldprohibitorrestricttheDivisionortransferoftheSharesinaccordancewiththetermsofthisAgreement;(b)suchpartydoesnothaveanyclaims,demands,oractionsagainsttheotherpartyortheCompanyarisingoutoforrelatedtotheownership,operation,ormanagementoftheCompanyortheShares;and(c)suchpartyhasprovidedtheotherpartywithallinformationregardingtheSharesandthetransactionscontemplatedthisAgreementthatisinsuchparty'spossessionorundersuchparty'scontrol.4.Indemnification.4.1.EachofthepartiesheretoshallindemnifyandholdharmlesstheotherpartyandtheCompany,andtheirrespectiveofficers,directors,employees,agents,andrepresentatives(each,an"IndemnifiedParty"),againstanyandalllosses,claims,damages,liabilities,costs,andexpenses(includingreasonableattorneys'feesandexpenses)(collectively,"Losses")incurredanyIndemnifiedPartyarisingoutoforrelatedto:(a)anybreachofanyrepresentation,warranty,orcovenantmadesuchpartyinthisAgreement;or一、附件列表：1.股票分割离婚协议2.公司章程3.股东名册4.股票转让证明5.离婚法律文件6.税务文件7.股东会决议8.公司授权书9.法律意见书10.其他相关文件二、违约行为及认定：1.未按照约定时间完成股份分割2.未按照约定比例分配股份3.未按照约定价格进行股份转让4.未按照约定履行通知义务5.未按照约定办理股份过户手续6.未按照约定履行支付义务7.违反公司章程规定8.违反法律法规规定三、法律名词及解释：1.股票分割：指公司将每股的面值降低，同时增加发行在外的股票总数，从而降低每股的价格，增加股东的持股数量。2.离婚：指夫妻双方依法解除婚姻关系的行为。3.股东：指持有公司股份的自然人、法人或其他组织。4.股份：公司资本的构成部分，代表股东对公司所有权的一种表现形式。5.股份转让：指股东将其持有的股份依法转让给他人的行为。6.股权：指股东对公司享有的所有权和分红权等权益。四、执行中遇到的问题及解决办法：1.股份分割不符合约定：重新协商分割方案，必要时可通过法律途径解决。2.股份转让价格争议：依据双方协商的价格或者市场价格进行确定。3.未履行通知义务：要求违约方履行通知义务，必要时可通过法律途径解决。4.股份过户手续不全：协助双方完成股份过户手续，确
