1.员工违反协议规定，未达到约定的业绩指标或工作职责。

2.员工未按照约定时间行使期权或未支付相应的对价。

3.公司未按照约定时间向员工提供股票期权或未按照约定条件行使期权。

4.公司未按照约定时间向员工支付行权价或其他相关费用。

5.任何一方未履行协议中的其他约定义务。三、法律名词及解释：
