TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeureunderUCP600.Thesellershalladvisethebuyerimmediatelyoftheoccurrencementionedaboveandwithin3daysthereafterthesellershallsendanoticebycouriertothebuyeroftheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.Undersuchcircumstancestheseller,however,arestillunderobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan60daysthebuyershallhavetherighttocanceltheContract.

本一般条款是《棉花买卖合同》不可分割的一部分。

1定义

1Definitions

在本合同中,下列词语的含义如下:

ThefollowingtermsshallhavethefollowingmeaningsintheContract:

·CIQ：中国出入境检验检疫机构。

CIQ：ChinaEntry-ExitInspectionandQuarantine

·NCL：不允许超出控制界限。

NCL：Nocontrollimitisallowed.

·USDA：美国农业部。

USDA:UnitedStatesDepartmentofAgriculture

·通知：采用电报、信函、传真、电子邮件等方式告知对方。

·皮重：棉花包装材料的重量。

Tare:theweightofcotton’spackagingmaterials.

·净重：总重扣除皮重后的重量。

·非棉物质：混入棉花中对使用有严重影响的硬软杂物，如化纤丝、麻丝、破布、木屑、金属物品等。

Non-CottonSubstance:softorhardsundriesmixedinthecottonthathaveseriousimpactontheuseofthesame,includingchemicalfiber,flax,cloth,woodenchipsmetalarticles,etc.

·无纺用价值棉花：霉变棉、水渍棉、油污棉、火烧棉、棉花废料、棉短绒等。

NoSpinningValueCotton:mouldycotton,waterdamagedcotton,oilstainedcotton,burnedcotton,cottonwasteandlinters,etc.

·棉花废料:加工或使用棉花过程中产生的下脚回收废料等。

CottonWaste:leftoverand/orrecyclingwasteleftduringtheprocessingoruseofthecotton.

·欺诈棉包：单个棉包中：含有与棉花完全无关的非棉物质；里面含有污染棉花，但从棉包外部或可看出或看不出来；好棉花在外面，次棉花包在里面，以免在常规检查中被发现；有一定数量的无纺用价值棉花。

FalsePackedBale:cottoninasinglebale:containingsubstancesentirelyforeigntocotton;containingdamagedcottonintheinteriorwithorwithoutanyindicationofsuchdamageupontheexterior;composedofgoodcottonupontheexterioranddecidedlyinferiorcottonintheinterior,insuchamannerasnottobedetectedbycustomaryexamination;orcontainingacertainamountofnospinningvaluecotton.

·混杂棉包：单个棉包中含有一定数量不同品级、不同长度或不同颜色类型的棉花。

MixedPackedBale:abalecontainingacertainamountofdifferentgrades,staplesorcolorsofcotton.

·溢短装率：到岸重量超出或少于合同规定重量的部分占合同总重量的百分率。

WeightToleranceRatio:thepercentageofthepartoftheCIQlandedweightexceedingorshorterthantheweightprovidedbytheContractagainstthetotalcontractweight.

·棉包密度：采用通用棉包密度，是指根据国际标准化组织——ISO第8115-1986（E）的规定，一个货包长度在1060-1400毫米，宽度540毫米，高度700-950毫米。

2包装

2Packing

适合于海运的紧缩机出口包装，外裹棉布或其他不能产生异性纤维的包装，捆扎牢固，包装完整。如果使用容易产生异性纤维的包装材料包装棉花，则卖方须承担全部清理异性纤维的费用。棉花须以通用密度压缩货包的形式供货。

Compressedexportpackingsuitableforvoyage,outsidewrappedbycottonclothorotherpackingmaterialsthatdonotcontainforeignmatters,tightlyandcompletelypacked.Ifanypackingmaterialsthatmayeasilyproduceforeignmattersareusedtopackthecotton,theSellershallbearalltheexpensesforthecleaningofforeignmatters.Thecottonshallbesuppliedinformsofuniversaldensitycompressedpackage.

3唛头

除非另有约定，在棉包上挂有永久性棉包标识卡或在棉包的两侧用不褪色的颜料按下列项目逐包刷唛，其内容为：

4装船通知

4ShipmentNotice

如为FOB成交:卖方应在收到船公司的装运通知后48小时内，通知买方合同号、品级、长度级或小样型号、包装、净重、金额；装船日期、装船口岸、目的港和预计到港日期，并航寄、传真或电子邮件的形式将装船单据副本一式三份给买方。

如为CFR/CIF成交:卖方应在收到船公司的装运通知后48小时内，通知买方船名、船龄(老船卖方要付超龄加保费)、船旗、装船日期、装船口岸、目的港、合同号、提单号、总金额、毛重、净重。

UnderCFR/CIFterms:theSellershallnotifytheBuyeroftheshipname,shipage(foragedshiptheSellershallpaytheover-ageextrapremium),shipflag,shipmentdate,shipmentport,destinationport,contractnumber,numberofthebilloflading,totalprice,grossweightandnetweightwithin48hoursaftertheshipmentnotificationfromtheshippingline.

如卖方未按上述、款规定通知买方，以致买方未能及时购买保险，由此而产生的损失由卖方负担。

乙方的报酬为税前6500元/月，大写:陆仟伍佰元

乙方在试用期期间的报酬为税前5000元/月，大写:伍仟元

试用期过后，甲方将每月利润的2%作为分红支付给乙方,直到乙方离职。

甲方可根据生产经营的状况或乙方任务量和工作表现，适时调整乙方的报酬。

当乙方的工作任务发生变化时，甲方可按规定调整其相应的报酬。乙方接受新的工作任务后，即视作接受甲方按照该工作任务重新确定的报酬。

PartyB’slaborremunerationwillbeadjustedincasePartyAadjustsPartyB’sjobresponsibilities.Acceptingthenewpositionisregardedasacceptingtheadjustedsalary.

乙方应遵守国家及地方的税法制度，自行缴纳其个人收入的个人所得税，甲方无义务为其代缴。

若病假连续超过三天，公司支付三天基本工资的一半。超过三天的部分则按现行照法定病金支付。若病假持续，符合社会保障部法定病金的相关规定，则从病假的第一天起，公司只支付法定病金，所有的病假都应有医学证明。

合同期满双方不再续签或者双方约定的合同终止条件出现时，雇佣合同即终止。

乙方应严格遵守甲方的工作规定以及规章制度，尽职尽责，否则，甲方有权随时解除合同并追究因此而造成的经济损失，并有权对所造成的经济损失在乙方的报酬中作相应扣除。

与产品零件有关的任何资料、参数、图纸、夹具、工装等；

任何标明具有“OPPO”或者等效标识的产品，包括IC卡，LCD显示屏，包装材料如彩盒、说明书、手提袋、广告制品、外壳等；

甲方提供的模具技术、模具专利、产品专利、开发的系统流程；

在乙方正在生产的甲方的模具状况、生产机型、订单明细（包括颜色、数量、交期等）等细节；

InformationofmoldproducedbyPartyB,productmodel,detailedinformationofpurchaseorder(includingcolor,quantityanddateofdelivery)ofPartyA,etc.;

甲方未上市机型的外形、造型、配色、试模样品（包括试模的素材、涂装样品）等原始技术资料、实物；

OriginaltechnicaldataandactualproductofPartyAconcerningappearance,industrialdesign,colormatching,trialproductofmold(includingelementsoftrialmoldandsampleofcoating)ofthemodelthathavenotenteredmarketyet;

其他甲方拥有知识产权结构设计方案及带有甲方专属LOGO的资料、实物。

OtherstructuredesignschemestowhichPartyAownsintellectualpropertyrights,andinformationandactualproductwithexclusiveLOGOofPartyA;

2、对甲方上述商业秘密，乙方承担以下保密义务：

PartyBhasthefollowingobligationstokeeptheabovementionedcommercialsecretesofPartyAconfidential:

主动采取加密措施对上述所列及之商业秘密进行保护，防止任何第三者知悉及使用；

Takeactivemeasurestoprotecttheabovementionedcommercialsecretesincasetheyarelearntorusedbyathirdparty;

保证接触甲方商业秘密的员工不泄露知悉的甲方商业秘密，保证非接触甲方商业秘密的员工不得刺探或者以其他不正当手段（包括利用计算机进行检索、浏览、复制等）获取甲方的商业秘密；

EnsurethatalltheemployeesofPartyBtowhomdisclosureofcommercialsecretsofPartyAistobemadewillnothavethecommercialsecretsdisclosed,andensurethatalltheemployeesofPartyBforwhomthecommercialsecretsofPartyAareinaccessibleshallnotdetectorobtaininillegalmethod(includingbutnotlimitedtosearching,browsingandcopyingoncomputer);

不得向任何第三者披露甲方的商业秘密；

DonotdisclosethecommercialsecretesofPartyAtoathirdparty;

乙方除为履行义务且经甲方事先同意外，均不得为自己或他人之利益直接或间接使用上述机密资料及知识产权；

UnlessforperformingobligationsspecifiedintheagreementandwithpriorconsentfromPartyA,PartyBshallnotdirectlyorindirectlyusetheabovementionedconfidentialinformationandintellectualpropertyrightsforbenefitsofPartyBoranyoneelse;

不得允许（包括出借、赠予、出租、转让等行为）或协助任何第三方使用甲方的商业秘密；

Donotpermit(includinglending,presenting,releasing,transferring,etc.)orassistathirdpartyinusingthecommercialsecretsofPartyA;

乙方了解甲方设有专门的对外发言及讯息披露制度，也承诺严格遵守该发言及讯息披露制度；

PartyBacknowledgesthatPartyAhassetupspecialsystemofpublicstatementandinformationdisclosure,andpromisestostrictlyabidebythissystem;

不论因何种原因终止与甲方合作后，都不得利用甲方的商业秘密为其他与甲方有竞争关系的企业（包括自办企业）服务；

IncaseofterminationofcooperationwithPartyAduetoanyreason,PartyBshallnotusethecommercialsecretesofPartyAtoprovideservicetotheenterpriseincompetitionwithPartyA(includingself-investedenterprises);

乙方所占有、使用、监督或管理的与甲方知识产权有关的资料、机密资料均为甲方财产，应于合作结束时悉数交还甲方，未经许可不得自行复制、传真、利用网络对外传送等。

AlltherelatedinformationandalltheconfidentialinformationconcerningintellectualpropertyrightsofPartyApossessed,used,supervisedorcontrolledbyPartyB,areunderownershipofPartyA,andshallallbereturnedtoPartyAatterminationofcooperation.Alltheinformationareprohibitedtobecopied,faxedandtransmittedthroughnetworkincaseofnoauthorization;

乙方同意甲方商业秘密之界定范围，无论故意或过失、无论以任何形式泄露甲方商业秘密均属违法行为，甲方有权视违法情节和危害程度，采取向警方报案、采取强制措施、追究刑事责任等非常手段。

PartyBagreesonthescopeofcommercialsecretesspecifiedbyPartyA.DisclosureofthecommercialsecretesofPartyAinanyformpurposelyorbyfaultisillegal.PartyAhastherighttoreporttothepolice,takecompulsorymeasuresandclaimforcriminalresponsibilitybasedonillegalconditionandharmextent.

乙方如发现甲方的商业秘密被泄露或者自己过失泄露秘密，应当采取有效措施防止泄密进一步扩大，并及时向甲方报告。

WhenPartyBfindsthatthecommercialsecretesofPartyAaredisclosedordivulgedforfaultofPartyB,PartyBshalltakeeffectivemeasurestostopfurtherdisclosureandtimelyreporttoPartyA;

本协议规定的商业秘密所有权始终全部归属甲方，乙方不得利用自身对属于甲方商业秘密资料的不同程度的了解申请知识产权，在本协议签订前乙方已依法具有某些所有权者除外。

AllthecommercialsecretesspecifiedinthisagreementareundertheownershipofPartyA,andPartyBshallnotapplyforintellectualpropertyrightsbymakinguseoflearningaboutthecommercialsecretesofPartyAithaslearnttoanyextent,thoselegallyownedbyPartyBbeforesigningthisagreementexcluded.

3、甲方保密义务：Non-disclosureobligationsofPartyA:

对于乙方提供甲方的样品、DEmO板，测试检验工装/软件、图纸、规格书等，甲方亦有责任根据乙方的要求，对等地遵守保密协议。

BasedonrequirementsofPartyBonthesample,DEmOpanel,testandinspectiontool/software,drawing,specificationetc.providedbyPartyBtoPartyA,PartyAaccordinglyhastheobligationtokeepthemconfidentialasperthisnon-disclosureagreement.

4、保密期限Termofnon-disclosure

甲、乙双方确认，乙方的保密义务自本协议签订时开始，直至甲方主动公开该保密信息时止。乙方是否继续与甲方合作，不影响保密义务的履行。

5、违约责任Responsibilityforbreachofcontract

如乙方未履行本协议规定的保密义务，乙方需支付人民币伍拾万元的违约金，违约金不足以弥补甲方损失的，甲方有权要求乙方赔偿损失。
