兹就机器买卖事宜，达成如下协议：

第一条甲乙双方约定有关后记机器的买卖事宜甲方卖出，乙方买进。

第二条买卖总金额为_________元整。乙方依照下列方式支付款项予甲方。

（1）本日（订约日）先交付定金_________元整。

（2）甲方必须在________年_____月_____日前将后记的机器安装于乙方总公司所在地的工厂。乙方未支付的余款，俟交货时一次付清。

第七条若发生第六条的情形，虽经甲方修复，而机器仍然无法操纵，或其性能降低长达一个月时，乙方可依据下列方式选择其一，向甲方提出要求。

（1）换取同种类机器。其条件为乙方须就已使用该机器的时间长短支付货款，每一年乙方应支付甲方相当于第二条总金额五分之一款项。

（2）退还机器。但甲方得扣除乙方使用机器所应付如前（1）之款项，其余定金退还予乙方。有关使用机器的时间，其计算方法则无论乙方是否使用，规定从第三条甲方交付机器日始至乙方提出退还机器要求之日止，为使用时间。

第八条乙方若未能在第二条日期前支付余额以交换机器，则甲方毋需催告，本合同视同作废，甲方得将该机器搬回。

有关前述甲方的机器搬运费、安装费以及搬回时所需的一切费用，应由乙方负担。甲方除上述**外，尚可将定金没收，作为损害赔偿。

第九条甲方若未能在第二条所列日期前交付机器，乙方得向甲方催告，于十日之内交付机器。在此期限内，甲方若仍然无法交付，则本合同视同作废。乙方得请求甲方退还第二条之定金以及与定金同额的损失赔偿。

6.SHIPPINGSCHEDULE装运时间表

煤炭由卖方选择于年五月或六月装运，视乎船只供应情况。

IfaworkableletterofcreditisnotreceivedbySeller’sbankinaccordancewiththeclause8.PAYMENT,Sellershallhavetherightbutnottheobligationtodelayorsuspendperformanceofanyofitsobligationsunderthiscontractand/orterminatethiscontract.AnylossesarisingoutofBuyer’sfailuretoopenaworkableletterofcreditintimeshallbeforBuyer’saccount.

假如卖方未能按照第八条•付款所示如期收到可操作的信用证，卖方有权推延或搁置其供货责任以及/或终止本合同。

因买方未能开出可操作的信用证而招致的任何损失均由买方负责。

7.DELIVERY运送

VesselNomination船只通报

SellershallnotifytheBuyerofthefollowingdetailsinwriting:

卖方将以书面形式通知买方以下资料：

a.Thename(orIMOnumber)ofthevesselthattheSellernominatesincludingtheage,flag,class,deadweighttonnage,beam,lengthoverallanddraftofthevessel;

船只的名称(或IMO编号)包括船龄、载重吨位、船宽、整体长度以及吃水量。

b.Theestimateddateofarrivalofthevesselattheportofdischarge.

Buyershallconfirmacceptanceofvesselnominationwithin1(one)BusinessDayofSeller’snomination.

卖方将于预计船只抵达卸货港前五天、三天、两天和二十四小时以书面通知买方船只的进度。

如有偏差，卖方将于前述的预计抵达日二十四小时前通知买方。

TheSellermaysubstituteanyvesselnominatedunderthiscontractbyanothervesselbygivinganoticeofsubstitutiontotheBuyeratanytimepriortoETAoftheoriginalvessel.

卖方或于预计抵达日前任何时候发出更换通知书通知买方更换原来通报的船只。

Dischargerate卸载速度

Buyershallguaranteeaminimumdischargerateof25,000metrictonsperweatherworkingday,Sundaysandholidaysincluded(PWWDSHINC).

买家须保证每一可卸载工作天最少卸载25,000公吨，包括星期天和公众假期。

Agency,portcharges,duesandtaxes

Atthedischargeport,theSellerisonlyaccountableforportchargesassociatedwithbringingthevesselalongsidethedischargeberth.Anytaxes,duesorotherchargesleviedagainstthecargoshallbefortheBuyer’saccount.AllsuchchargesshallbepaidpromptlybytheBuyersuchthattheBuyerisinapositiontotakedeliveryofthecargowithoutdelay.

在卸货港卖方只负责牵涉引领船只停靠泊位的码头费用，买方须负责其他所有费用。

买家须及时支付该等费用以免导致延误。

Stevedores装卸工

ThestevedoresshallbeappointedbytheBuyer.ThestevedoresandanyoneemployedbythestevedoresshallbeunderthesupervisionoftheMaster.Lossand/ordamagecausedbyStevedoreactoromission,ifany,tobesettleddirectlybetweenstevedores/BuyerandMaster/owners.

买方负责委派装卸工。

装卸工与任何受雇于装卸工人仕均由船长监督。

如装卸工的行为或疏忽引致损失及/或损失，由装卸工/买方与船长/船东直接解决。

ProductdischargedbyBuyer买方卸载货物

Productistobedischargedandtakenfreefromthevessel'sholdsattheBuyer'sriskandexpense.

Afterarrivalattheportofdischarge,NoticeofReadinessmaybetenderedbythevesselduringoroutsideofofficehoursatanytimeofdayornight,Saturdays,Sundaysandholidaysincluded,whetherinportornot,whetherinberthornot,whetherinfreepratiqueornot,whethercustomsclearedornot.

船只抵达卸货港后，将随时发出准备就绪通知，无论是办公或非办公时间，日与夜，包括星期六，星期天与公众假期，无论在港口与否，在泊位与否，入港与否以及清关与否。

Laytimeshallcommenceattheearlierof:卸货时间将随下开情况开始，以先发生着为准：

a.Twelve(12)hoursafterNoticeofReadinesshasbeentendered;or

b.Theactualcommencementofdischarge.实际卸货开始时。

TimeandcostsofshiftingdirectlybetweenberthsattheBuyer’sorPortAuthority’srequestshallcountasLaytimeandallindoingsoshallbefortheBuyer’saccount.

Anytimelostduringdischargingduetothevessel'sinabilitytodischargeorduetoanyotherdefectand/ordefaultinthevessel,deficiencyand/ordefaultofthevessel'spersonnelshallnotcountasLaytime.

卸货时由于船只不能卸货或由于任何的船只缺陷及/或缺失、不足及/或由于船员的缺失导致的时间损失不算作卸货时间。

Intheeventofweatherconditionswhich,intheopinionofeitherthePortAuthorityortheMastermakedischargingperilous,andalldischargingoperationsaresuspendedthenallsuchtimelostshallnotcountasLaytime,unlessvesselisalreadyondemurrage,andtheMastermayclosehatchesincaseofheavyrain,heavysnow,orhail.Incaseofrain,allholdswhichhavenotbeenfullydischargedshouldbeclosedinordertoavoidwettingtheCoal.

天气方面，如果港口当局或船长认为会引致卸货危险而暂停卸货操作则所有时间损失将不计算入卸货时间内，除非船只已然滞期，而船长或会于大雨、大雪或下冰雹时关闭舱门。

大雨时，所有未卸载的剩余货物应该关闭以防弄湿煤炭。

Laytimepermittedatthedischargeportshallbecalculatedonbillofladingquantity.

提单上数量将会计算可允许的卸货时间。

DemurrageandDespatch滞期费与速遣费

ThedemurragerateshallbeasperthegoverningCharterParty.

滞期费依据租船合约中的规定计算。

IftotalLaytimeusedexceedstotalLaytimeallowed,BuyershallpaySellerdemurrageperdayorproratafortheexcesstime.IfthetotalLaytimeusedislessthanthetotalLaytimeallowed,theSellershallpaydespatchtotheBuyerforthetimesavedattherateequaltofiftypercent(50%)ofthedemurragerateperdayorproratapartthereof.

如果所用卸货时间超出可允许的卸货时间，买方将付与卖方按日计算的滞期费或按比例计算的超时费。

如果所用卸货时间少于可允许的卸货时间，则卖方将付与买方按节省了的时间计算的速遣费，费率是滞期费或超时费的50%。

LaytimecalculationsshallbepresentedbytheBuyerwithin30(thirty)calendardaysofthecompletionofdischarge.Demurrage/despatchshallbepaidbythepartysoowingwithin3(three)BusinessDaysofagreementofLaytimecalculationsagainstpresentationoftheowedparty’sinvoice.

卸货时间总计将于卸货完毕后三十个日历日内由买方出具。

按装货时间总计议定付款方将于收款方开出发票后三个营业日内支付滞期费/速遣费。

8.PAYMENT付款

LetterofCredit信用证

PaymentshallbemadebyBuyerinUS$withoutanydeduction,withholding,offsetorcounterclaimwhatsoeverbymeansofafullyworkableirrevocabledocumentaryletterofcredit,tobeopenedbyabankandinaformfullyacceptabletoSellercovering100%(onehundredpercent)ofthecargovaluebasedonSeller’sproformainvoicevalueofquantityof165,000mtandallowingatoleranceof+/-10%inquantity.

付款以美元结算，不得扣减，留存，抵消或反诉，付款工具使用由银行开出的按卖方备考发票货物总值的100%不可撤销、卖方接受的信用证，货物数量165,000公吨，容许正负10%数量差异。

1.Theletterofcreditmustbeopenedwithin3(three)BusinessDaysafterthiscontractsigned.

信用证必须于签署本合同后三个营业天内开出。

2.Timeisoftheessencefortheopeningoftheletterofcredit.TheopeningoftheletterofcreditshallbeaconditionprecedenttotheSeller’sobligationtodelivertheCoal.

开出信用证的时间极为重要。

开出信用证是卖方履行供煤责任的先决条件。

3.Theletterofcreditshallbeavailableandnegotiableatthecountersofanybankandshallprovidethat:

信用证可于任何银行议付而且：

a)Thirdpartydocumentsareacceptable;第三方文件可接受;

b)Underdrawingsandmultipledrawingsareallowed;可以不足额兑付及多次兑付。

c)Documentstobepresentedwithin42daysofthebillofladingdate;

文件可以于提单日期后42天内提交。

d)Thevalueoftheletterofcreditmayescalate/de-escalateinaccordancewiththepriceformulawithoutanyfurtheramendment;

信用证的金额可以按计价方程式上浮/下浮，无需改证。

e)Spellingmistakesandothertypographicalerrorsnotaffectingunitprice,quantityand/oramountareacceptable;and

不影响单价、数量及/或总额的拼写错误可以接受。

g)Thequalityspecificationsstatedaretypicalvalues.Ifsuchvaluesdifferfromtheactualvaluesshownonthecertificateofanalysisissuedattheportofloading,theycannotbedeemedasadiscrepancyundertheletterofcreditexceptforqualityspecificationsthatexceedorarebelowanystatedrejectionlimit.

质量规格只是典型数值。

如果该数值不符装货港的检验报告，于议付信用证时不能被视为误差，除非数值超过或低于拒收标准。

4.Ifthecertificateofsamplingandanalysisreflectsspecificationswhichareoutsideofthetypicalspecificationsbutwithintherejectionlimitsasstatedinclause4.QUALITY,thebeneficiaryoftheletterofcreditmaynegotiatewithoutdiscrepancy.

如果取样与检验报告的结果不符典型规格但仍然在拒收标准内(第四条。

品质)，则信用证不存在误差，受益人可以进行议付。

5.TheletterofcreditshallbegovernedbyUCP600(ICCUniformCustomsandPracticeforDocumentaryCredits).

信用证受UCP600管辖。

6.Theletterofcreditshallnotbearanysanctionclauses.

信用证不得存在任何制裁条款。

7.AllchargesrelatingtotheopeningoftheletterofcreditshallbefortheBuyer’saccount.Anychargesfromtheadvising/negotiatingbankshallbefortheSeller’saccount.

开证费用由买方负责，议付费用由卖方负责。

Payment付款

9.TITLEANDRISK货物权与风险

TitleshallpassfromSellertoBuyerwhentheletterofcreditissuingbankhasacceptedthedocumentarypresentationbySeller’sbankundertheletterofcreditand,inthecaseofsightpayment,paymenthasbeenreceivedbytheSeller,orinthecaseofdeferredpayment,theissuingbankhasacceptedthedeferredpaymentobligationtotheSeller.

当发证银行接受了卖方银行提交的议付文件，货物权即由卖方移至买方，如果是即期付款，即卖方以收取货款，如果是延期付款，那么发证银行已对卖方承担延期付款的责任。

当煤炭在装货港装船后，风险即由卖方移至买方。

10.WEIGHING,SAMPLINGANDANALYSIS称重、取样及分析

Weighing称重

Theweightshallbedeterminedattheportofloadingbydraftsurveyperformedbyaninternationallyrecognizedlicensedmarineinspector.TheSellershallappointtheinspectorandshallbearthecostoftheseoperations.TheinspectorshallissueaweightcertificatefortheCoalasdeterminedbythedraftsurveyandthisweightshallbeshownonthebilloflading.Theweightthusdeterminedshallbefinalandbindingforsettlementpurposes,saveforfraudormanifesterror.

重量将由国际认可的持牌海事稽查于装货港执行的吃水调查决定。

卖方负责委派稽查并承担有关费用。

稽查调查吃水后将发出煤炭重量证明并显示于提单上。

该重量经决定后是最终的并作为议付依据，除非有作弊或明显错误。

SamplingandAnalysis取样和分析

Samplingshallbeconductedattheportofloadingbyaninternationallyrecognisedlicensedmarineinspector.TheSellershallappointtheinspectorandshallbearthecostoftheseoperations.Samplingshallbeconductedusingamechanicalormanualsamplerwhereavailable.Acompositesampleshallbesplitinto3(three)sub-samples,oneforanalysisbytheinspector,oneforBuyer,andonetoberetainedbytheinspectorforumpirepurposes.TheBuyershallhavetherighttoberepresentedduringsamplingoperationsattheportofloadingatitsownexpense.

取样将由国际认可的持牌海事稽查于装货港执行。

卖方负责委派稽查并承担有关费用。

取样将采用机械或人工采样。

一份综合样本将会分成三个子样本，一个由稽查化验，一个给买方，第三份则由稽查保留作仲裁之用。

买方有权自费派遣代表到装货港观看取样过程。

Ifthedifferencebetweenthecalorificvalue(onaNARbasis)determinedattheportofloadingbyaninternationallyrecognisedlicensedmarineinspectorandtheportofdischargebyCIQisgreaterthan200(twohundred)kcal/kg,thenwithin3(three)BusinessDaysafterthecalorificvaluehasbeendeterminedattheportofdischargebyCIQ,eitherpartyshallhavetherighttocallfortheloadportumpiresampletobeanalysed.TheanalysisofsuchumpiresampleshallbeperformedbySGSNewcastle.Thecalorificvaluedeterminedbytheumpireshallbefinalandbindingonbothparties,saveforfraudormanifesterror.

如果热值差异(收到时净值)-于装货港由国际认可的持牌海事稽查检验的以及于卸货港由CIQ检验的结果-大于200大卡/公斤，那么当得到卸货港的CIQ的检验结果后三个营业日内，双方皆有权要求化验存于装货港的仲裁用样本。

该样本将由纽卡斯的SGS执行化验。

仲裁用样本的化验结果将是最终的，对双方均有约束力，除非出现作弊或明显错误。

TheSellershallhavetherighttoberepresentedduringsamplingoperationsattheportofdischargeatitsownexpenses.

卖方有权自费派遣代表到卸货港观看取样过程。

Sellershallhavetherighttoappointanindependentinspectortoconductsamplingand/oranalysisoperationsattheportofdischarge(the“Seller’sInspector”).Seller’sInspectorshallbepermittedtowitnessoperationsperformedbyCIQattheportofdischargeandtosealsamples.SamplesealsshallonlybebrokeninthepresenceoftheSeller’sInspector.UponcompletionofsamplepreparationtheSeller’sInspectorshallbeprovidedwithanaturalstatesampleforeachsub-lot.ThecostsofSeller’sInspectorshallbeforSeller’saccount.

卖方有权指派独立的稽查在卸货港进行取样和/或化验(卖方稽查)。

卖方稽查可于卸货港见证CIQ的工作以及封存样本。

样本必须于卖方稽查在场时才可解封。

取样完成后卖方稽查可以获给货物每一部分的自然状态样本。

派遣卖方稽查的费用由卖方负责。

AcompositesampletakenattheportofdischargesplitandsealedbyCIQshallbereservedasSeller’ssample.Seller’ssampleshallbedeliveredtotheSeller’sofficeinChina.

一份在卸货港由CIQ分组和封存的综合样本将会保留给卖方。

该卖方样本将送至卖方设于中国的办事处。

Ifanumpireanalysisisperformedandasaresultapaymentadjustmentistobemade,suchpaymentshallbemadebythepartysoowingbytelegraphictransferwithin3(three)BusinessDaysofthedatetheumpire’scertificateisissuedagainstpresentationofacopyoftheumpirecertificateandtheowedparty’sinvoiceforthesumclaimed.

如果仲裁化验的结果显示货款需要调整，那么当仲裁证明发出后的三个营业日内，付款方当依据收款方发出的发票随同仲裁证明以T/T支付调整金额。

11.FORCEMAJEURE

Ifeitherpartyisprevented,hinderedordelayedfromperforminginwholeorinpartanyobligationorconditionofthiscontractbyreasonofforcemajeure(the“AffectedParty”),theAffectedPartyshallgivewrittennoticetotheotherpartypromptlyandinanyeventwithin3(three)BusinessDaysafterreceivingnoticeoftheoccurrenceofaforcemajeureeventgiving,totheextentreasonablypracticable,thedetailsandexpecteddurationoftheforcemajeureeventandthequantityofCoalaffected(the“ForceMajeureNotice”).

任何一方如果遭遇不可抗力(遭遇方)的妨碍、阻碍或延迟而未能全部或部分履行本合同中任何责任或条件，那么无论什么情况下，遭遇方须于收到不可抗力事故报告后三个营业日内以书面通报对方并尽可能实际说明事故详情，估计事故持续时间和受影响的煤炭数量(不可抗力报告)。

ProvidedthataForceMajeureNoticehasbeengiven,forsolongastheeventofforcemajeureexistsandtotheextentthatperformanceisprevented,hinderedordelayedbytheeventofforcemajeure,neitherpartyshallbeliabletotheotherandtheAffectedPartymaysuspendperformanceofitsobligationsunderthiscontract(a“ForceMajeureSuspension”).DuringtheperiodofaForceMajeureSuspension,theotherpartymaysuspendtheperformanceofallorapartofitsobligationstotheextentthatsuchsuspensioniscommerciallyreasonable.

发出不可抗力报告后，在不可抗力事故持续期间，受不可抗力妨碍、阻碍或延迟的工作，双方均无需向对方负责，遭遇方基于本合同规定可以暂停执行工作(不可抗力暂停)。

在不可抗力暂停期间，另一方可以基于合理商业考量暂缓执行其全部或部分工作。

TheAffectedPartyshallusecommerciallyreasonableeffortstoavoidorremovetheeventofforcemajeureandshallpromptlynotifytheotherpartywhentheeventofforcemajeureisterminated.

遭遇方应合理的使用商业手段防止或清除不可抗力事故，当不可抗力事故终止时马上通知对方。

IfaForceMajeureSuspensionoccurs,thetimeforperformanceoftheaffectedobligationsand,ifapplicable,thetermofthiscontractshallbeextendedforaperiodequaltotheperiodofsuspension.

如发生不可抗力暂停，受影响的责任完成时限甚或本合同的有效期将延展至与暂停期同等时间。

IftheperiodoftheForceMajeureSuspensionisequaltoorexceeds3monthsfromthedateoftheForceMajeureNotice,andsolongastheforcemajeureeventiscontinuing,eitherpartymay,initssolediscretionandbywrittennotice,terminatethiscontractor,inthecaseofmultipledeliveriesunderthiscontract,terminatetheaffecteddeliveries.Uponterminationinaccordancewiththisclause,neitherpartyshallhaveanyfurtherliabilitytotheotherinrespectofthiscontractor,asthecasemaybe,theterminateddeliveriesexceptforanyrightsandremediespreviouslyaccruedundertheContract,includinganypaymentobligations.

如果不可抗力暂停自不可抗力通知日期起计达到或超过三个月而不可抗力事故仍然持续，则双方皆有权决定以书面通知对方终止本合同或，终止受影响的货物运送航次。

合同根据本条款终止时，除了较早前据本合同累计的权利和补救措施外，双方就终止的航次对于对方皆无后续责任包括付款责任。

“ForceMajeure”meansanycauseoreventreasonablybeyondthecontrolofaparty,including,butnotlimitedtofires,earthquakes,lightning,floods,explosions,storms,adverseweather,landslidesandotheractsofnaturalcalamityoractsofgod;navigationalaccidentsormaritimeperil;vesseldamageorloss;strikes,grievances,actionsbyoramongworkersorlock-outs(whetherornotsuchlabourdifficultycouldbesettledbyaccedingtoanydemandsofanysuchlabourgroupofindividuals);accidentsat,closingof,orrestrictionsupontheuseofmooringfacilities,docks,ports,harbours,railroadsorothernavigationalortransportationmechanisms;disruptionorbreakdownof,storageplants,terminals,machineryorotherfacilities;actsofwar,hostilities(whetherdeclaredorundeclared),civilcommotion,arrestand/ordetentionoftheCoaland/orvessel,embargoes,blockades,terrorism,sabotageoractsofthepublicenemy;anyactoromissionofanygovernmentalauthority;goodfaithcompliancewithanyorder,requestordirectiveofanygovernmentalauthority;curtailment,interference,failureorcessationofsuppliesreasonablybeyondthecontrolofaparty;oranyothercausereasonablybeyondthecontrolofaparty,whethersimilarordissimilartothoseaboveandwhetherforeseeableorunforeseeable,which,bytheexerciseofduediligence,suchpartycouldnothavebeenabletoavoidorovercome.Aparty’sinabilityeconomicallytoperformitsobligationsundertheContractshallnotconstituteaneventofforcemajeure.

不可抗力意思是不受一方控制的任何事故或事件，包括但不仅限于火灾、地震、闪电、水灾、爆炸、雷暴、恶劣天气、山泥坍塌及其他自然灾害或天灾;航行事故或海上灾害;船只损坏或损失;示威、怨气、罢工或锁闭(不管这些劳工问题能否以向诉求让步解决);于停泊设施、码头、港口、铁路或其他航行或运输机制的意外、关闭或限制;仓储、机器或其他设施中断、毁坏;战争、敌对(公告或未公告)，动乱、逮扑及/或扣留煤炭及/或船只，禁运、封锁、恐袭、破坏或乱民行为、政府机关任何举措或疏漏;遵守政府机关的命令、要求或指令;遇事方不能控制的供应削减、干扰、事故或断绝，或任何一方不能控制的，不管与上述的事件相似或不相似，能预见或不能预见，是遇事方尽职亦不能避免或解决的事故。

Thisclauseshallnotapplytoanyobligationstopay,indemnifyorprovidesecurityortoanyCoalforwhichvesselspacehasbeenbooked,pricinghasbeenestablishedorpaymenthasbeenmadeunlesstheSellerhasexpresslyconsentedinwriting.

对于已经定好舱位、价格已经确立或货款已经支付的煤炭，此条款不能豁免其付款、赔偿或提供保护措施的责任，除非卖方以书面同意。

12.DISPUTERESOLUTION解决争端

Anydisputearisingoutoforinconnectionwiththiscontract,includinganyquestionregardingitsexistence,validityortermination,shallbereferredtoandfinallyresolvedbyarbitrationundertheRulesoftheHongKongInternationalArbitrationCentre(HKIAC),whichRulesaredeemedtobeincorporatedbyreferenceintothisclause.Thetribunalshallconsistofthreearbitrators,onetobenominatedbyBuyer,onebySellerandthethirdtobemutuallyagreedbyBuyerandSeller,failingsuchagreement,theappointingauthorityofHKIACshallappointthethirdarbitrator.However,itisunderstoodthatbothpartiesshallbeentitledtotakeanyreasonablemeasuresfortheprotectionofrightsaccruedtothembythiscontractwithoutprejudicetotheprovisionsofthisclause.ThelanguageofthearbitrationshallbeEnglish.ThearbitrationshallbeheldinHongKongSpecialAdministrativeRegion.TheArbitrationTribunalshallstateinitsawardindetailthefactsofthecaseandreasonsforitsdecision.Theawardshallbefinalandbinding.

任何与本合同有关的争议，包括任何关于本合同的存在、合法性或终止的问题都受香港国际仲裁中心(HKIAC)的法律管束并最终仲裁，是本条款认可作为参照的法律。

法庭将由三名仲裁人组成，买方提名一名，卖方提名一名，第三名是买卖双方都同意的人，如不能一致同意人选，则由HKIAC指派第三名仲裁人。

双方都明白各自有责任采取合理措施保护其于本合同中的权益但会不偏不倚地遵守本条款的规定。

仲裁使用的语言是英文。

仲裁将于香港特别行政区进行。

仲裁庭在其判令中将会说明详细事实和判令的理据。

该判令将是最终而且具有约束力的。

13.CHOICEOFLAW适用法律

TheContractshallbegovernedbyandconstruedinaccordancewiththelawsofHongKong,withoutregardtoprinciplesofchoiceoflaw.

本合同服膺并按香港法律解释，不考虑选择适用法律的原则。

TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(1980)shallnotapplytothiscontract.

联合国国际货物销售合同公约(1980)并不适用于本合同。

14.TAXESANDTARIFFS税项与关税

Anytaxes,tariffsanddutieswhetherexistingornewontheCoaloroncommercialdocumentsrelatingtheretooronthecargoitself,imposedinthecountryoforiginshallbebornebytheSeller.

所有在原产国收取的卖炭税项与关税，无论是原来存在的或新实行的，或者与货运有关的商业文件征税，都由卖方负责。

Anytaxes,tariffsanddutieswhetherexistingornewontheCoaloroncommercialdocumentsrelatingtheretooronthecargoitself,imposedinthecountryofdischargeand/ortheimportingcountryshallbebornebyBuyer.
