英文版卫星采购协议合同编号：__________parties1.partya(hereinafterreferredtoas"seller")address:_______________________contactperson:_______________________telephonenumber:_______________________2.partyb(hereinafterreferredtoas"buyer")address:_______________________contactperson:_______________________telephonenumber:_______________________objectofthecontract1.thesellershallsellanddelivertothebuyerthesatellite(hereinafterreferredtoas"goods")specifiedintheschedulehereto.2.thebuyershallpurchasethegoodsfromthesellerandpaythepurchasepricethereforasprovidedinthisagreement.termsofdelivery1.thegoodsshallbedeliveredthesellertothebuyerattheplaceofdeliveryspecifiedintheschedulehereto.2.thedeliverydateshallbethedatespecifiedintheschedulehereto.purchaseprice1.thepurchasepriceforthegoodsshallbethepricespecifiedintheschedulehereto.2.thebuyershallpaythepurchasepricetothesellerinthemannerandwithinthetimeprovidedinthisagreement.paymentterms1.thebuyershallmakethepaymentforthegoodswithinthetimeprovidedintheschedulehereto.2.thepaymentshallbemadethebuyertothesellerinthemannerprovidedinthisagreement.warranty1.thesellerwarrantsthatthegoodsconformtothespecificationsandstandardsagreedupontheparties.2.thesellerwarrantsthatthegoodsarefreefromdefectsinmaterialsandworkmanship.3.theseller'swarrantyshallexpirewithintheperiodspecifiedintheschedulehereto.4.theseller'swarrantyshallnotapplytoanygoodswhichhavebeensubjecttomisuse,accident,oralteration.5.intheeventthatthegoodsdonotconformtothewarrantiessetforthinthisagreement,thebuyershallhavetherighttoreturnthegoodstothesellerandobtainarefundofthepurchasepriceorreplacementofthenonconforminggoods,atthebuyer'soption.6.theseller'swarrantyshallbetheexclusivewarrantywithrespecttothegoods,andthesellershallhavenoliabilityunderanyotherwarranty,expressorimplied.limitsofliability1.theseller'stotalliabilitytothebuyerunderthisagreementshallnotexceedthepurchasepriceofthegoods.2.thesellershallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththesale,delivery,oruseofthegoods,whetherornotthesellerhasbeenadvisedofthepossibilityofsuchdamages.3.thesellershallnotbeliableforanydamagesarisingoutoforinconnectionwithanybreachofthisagreementtheselleriftheseller'sbreachisduetocausesbeyondtheseller'sreasonablecontrol.4.theseller'sliabilityunderthisagreementshallbelimitedtothegreaterofthepurchasepriceofthegoodsortheamountactuallypaidthebuyertothesellerinrespectofthegoods.termination1.eitherpartymayterminatethisagreementatanytimewrittennoticetotheotherparty.2.upontheterminationofthisagreement,thebuyer'sobligationtopaythepurchasepriceforthegoodsshallterminate,buttheseller'sobligationsunderthisagreementwithrespecttothegoodsdeliveredpriortotheterminationshallcontinueinfullforceandeffect.3.theterminationofthisagreementshallnotaffectanyrightsorobligationsofeitherpartywhichhaveaccruedpriortothedateoftermination.generalprovisions1.thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.2.thisagreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.5.thisagreementshallbegovernedandconstruedinaccordancewiththelawsofthestate一、附件列表：1.卫星技术规格书2.卫星交付时间表3.付款凭证4.卫星交付接收确认书5.卫星性能测试报告6.卫星维护和操作手册7.卫星保修条款8.卫星交付运输文件9.卫星发射和运营许可文件10.其他双方协商确定的附件二、违约行为及认定：1.卖方未能按照约定的交付时间交付卫星2.卖方交付的卫星不符合技术规格书的要求3.卖方未能履行保修义务4.买方未能按照约定的时间支付购买价格5.买方未能履行接收卫星的义务6.买方未按照操作手册使用卫星导致损坏7.任何一方未能履行合同中的其他义务三、法律名词及解释：1.卖方：指承担销售和交付卫星义务的合同方2.买方：指承担购买卫星义务的合同方3.卫星：指合同中约定的商品4.交付：指卖方将卫星运输至买方指定的地点并交付给买方5.购买价格：指买方按照合同约定支付给卖方的卫星价格6.保修：指卖方对卫星提供的质量保证和维修服务7.违约：指任何一方未能履行合同中的义务四、执行中遇到的问题及解决办法：1.交付延迟：卖方应与买方协商延期交付，并尽可能提供替代方案，如使用备用卫星。2.卫星不符合规格：卖方应按照约定进行修复或更换，并承担因此产生的费用。3.买方支付延迟：买方应尽快支付购买价格，否则卖方有权拒绝交付卫星或采取法律手段追讨欠款。4.操作手册未遵守：买
