炒肝馆特许经营合同编号：__________partiesthisagreement(hereinafterreferredtoasthe"contract")isenteredintoasof__________(the"effectivedate")andbetween:hereinafter,thefranchisorandthefranchiseeshallbecollectivelyreferredtoasthe"parties".objectofthecontractthepartiesagreeasfollows:1.thefranchisoristheownerofthe"_______"trademark(hereinafterreferredtoasthe"trademark")andhastherighttograntfranchisesfortheoperationofrestaurantsunderthetrademark(hereinafterreferredtoasthe"franchisedbusiness").2.thefranchiseedesirestoobtainafranchisefromthefranchisorfortheoperationofafranchisedbusinessatthelocationspecifiedinclause5below(hereinafterreferredtoasthe"franchisedrestaurant").inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesagreetoenterintothiscontract.grantoffranchise2.territory.thefranchiseeshallhavetherighttooperatethefranchisedbusinessatthelocationspecifiedinclause5below(hereinafterreferredtoasthe"territory").3.useoftrademark.duringthefranchiseterm,thefranchiseeshallhavetherighttousethetrademarkinconnectionwiththeoperationofthefranchisedbusiness,subjecttothetermsandconditionsofthiscontract.obligationsofthefranchisor1.training.thefranchisorshallprovidethefranchiseewithtraininginrespectoftheoperationofthefranchisedbusiness,includingtraininginrespectoftheuseofthetrademark,products,servicesandsystemsusedthefranchisorinconnectionwiththefranchisedbusiness.obligationsofthefranchisee1.paymentoffees.thefranchiseeshallpaytothefranchisorthefollowingfees:(a)aninitialfranchisefeeintheamountof__________(the"initialfranchisefee");(b)anannualroyaltyfeeintheamountof__________ofthegrosssalesofthefranchisedrestaurant(the"royaltyfee");and(c)amarketingfeeintheamountof__________ofthegrosssalesofthefranchisedrestaurant(the"marketingfee").2.operationoffranchisedbusiness.thefranchiseeshalloperatethefranchisedbusinessinaccordancewiththestandardsandspecificationsestablishedthefranchisor,andshallusethetrademarkinconnectionwiththeoperationofthefranchisedbusinessinaccordancewiththetermsandconditionsofthiscontract.termination1.terminationeitherparty.eitherpartymayterminatethiscontractuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthiscontractandfailstocuresuchbreachwithinareasonableperiodoftime,asdeterminedtheterminatingparty.2.terminationfranchisor.thefranchisormayalsoterminatethiscontractuponwrittennoticetothefranchiseeifthefranchisee:(a)failstopayanyfeedueunderthiscontract;(b)failstooperatethefranchisedbusinessinaccordancewiththestandardsandspecificationsestablishedthefranchisor;or一、附件列表：1.特许经营权证明2.商标注册证明3.培训资料4.运营手册5.市场推广材料6.财务报表7.地理位置和租赁合同8.装修设计方案9.产品供应协议10.任何其他双方同意的附件二、违约行为及认定：1.未按约定支付费用2.未达到运营标准3.未使用商标或使用不当4.未履行非竞争条款5.泄露商业秘密6.未经许可的商标使用或仿冒7.违反法律法规8.其他任何违反合同条款的行为三、法律名词及解释：1.特许经营：指特许人将其商誉、商标、产品、技术或服务的经营权授权给受许人，允许受许人使用并按照特许人的经营模式开展业务。2.商标：指特许经营中使用的特定标志，用以区分特许人与其他经营者的商品或服务。3.违约：指未履行合同约定的义务。4.违约行为：指违反合同条款的具体行为。5.有效日期：指合同开始生效的日期。6.终止：指合同的解除，双方的权利和义务关系终止。四、执行中遇到的问题及解决办法：1.运营困难：及时与特许人沟通，寻求支持和指导。2.人员培训：定期参与特许人的培训，提高员工技能。3.质量控制：遵守特许人的质量标准，定期
