苗木销售协议书2024年ThisNurseryStockSaleAgreement("Agreement")isenteredintoasofthe______dayof______,2024,byandbetween______("Seller"),anurserybusinessoperatingat______,and______("Buyer"),alandscapingorconstructioncompany,individual,orentityoperatingat______.1.AgreementtoSellandBuySelleragreestosell,andBuyeragreestobuy,thenurserystock("Plants")asdescribedintheattachedPlantList(ExhibitA),underthetermsandconditionssetforthinthisAgreement.2.PlantDescriptionandPlantListThePlantsshallbeasdescribedinExhibitA,attachedheretoandmadeapartofthisAgreement.ExhibitAincludes,butisnotlimitedto,thespecies,quantity,size,andgradeofthePlants.3.PriceThepurchasepriceforthePlants("PurchasePrice")shallbe$_______.ThePurchasePriceisbasedonthequantityandspecificationsofthePlantsaslistedinExhibitA.4.PaymentTermsTheBuyershallpaythePurchasePriceinaccordancewiththefollowingterms:Adepositof______%ofthePurchasePriceshallbepaidatthetimeofsigningthisAgreement.ThebalanceofthePurchasePriceshallbedueupon______(insertdeliveryorpickupterms).5.DeliveryandPickupThePlantsshallbedelivered/pickedupbytheBuyeratthefollowingaddress:______.Theexpecteddateofdelivery/pickupis______,buttheSellerreservestherighttoadjustthedatebasedonavailabilityandweatherconditions.6.PlantQualityandConditionSellerwarrantsthatthePlantswillbeingoodconditionandhealthyatthetimeofdelivery/pickup.TheSellerwillnotberesponsibleforthePlants'conditionafterdelivery/pickup.7.CareandMaintenanceTheBuyeracknowledgesthatitisresponsibleforthecareandmaintenanceofthePlantsafterdelivery/pickupandagreestofollowtheSeller'srecommendationsforsuchcareandmaintenance.8.RiskofLossTheriskoflossforthePlantsshallpasstotheBuyerupondelivery/pickup.9.ReturnandRefusalTheBuyermayreturnthePlantswithin______daysofdelivery/pickupifthePlantsarenotasdescribedinExhibitAorarenotingoodcondition.TheSellerwillnotacceptreturnsforanyotherreason.10.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatparty,includingbutnotlimitedto,actsofGod,fires,floods,strikes,orshortagesoftransportationfacilities,fuel,energy,labor,ormaterials.11.LimitationofLiabilityTheSeller'sliabilityforanybreachofthisAgreementshallbelimitedtothePurchasePricepaidbytheBuyerforthePlants.12.IndemnificationTheBuyershallindemnify,defend,andholdtheSellerharmlessfromanyandallclaims,damages,losses,andexpensesarisingoutoforinconnectionwiththeBuyer'shandling,transportation,planting,oruseofthePlants.13.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthestateof______.14.DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation.15.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.16.AmendmentsThisAgreementmaynotbeamendedormodifiedexceptinwritingsignedbybothparties.17.NoticesAllnotices,requests,demands,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemeddulygivenwhendeliveredpersonallyorbyovernightcourierservice,orthreedaysafterbeingsentbycertifiedmail,postageprepaid,totherespectiveaddresseslistedbeloworatsuchotheraddressaseitherpartymaydesignateinwriting.18.AssignmentTheBuyershallnotassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheSeller.19.ExecutionThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.SELLER:_______________________BUYER:_______________________By:/s/______(Name)By:/s/______(Name)Title:______Title:______ExhibitA:PlantList[Listofplantsincludingspeci
