1.AppointmentandAuthorization

ThePrincipalherebyappointstheAgentasitslawfulrepresentativetoactonitsbehalfinconnectionwiththefollowingmatters("AuthorizedMatters"):

2.ScopeofAuthority

b)MaintainconfidentialityofanysensitiveorproprietaryinformationofthePrincipal;and

c)Complywithallapplicablelaws,regulations,andethicalstandards.

4.CompensationandExpenses

TheAgentshallbeentitledtoreceivecompensationforitsservicesasagreeduponbetweentheparties.ThePrincipalshallreimbursetheAgentforallreasonableanddocumentedexpensesincurredinconnectionwiththeperformanceofitsdutiesunderthisAgreement.

5.TermandTermination

ThisAgreementshallcommenceonthedatehereofandshallcontinueuntil[Specifytheterminationdateorevent].EitherpartymayterminatethisAgreementatanytimeuponwrittennoticetotheotherparty.Upontermination,theAgentshallpromptlyreturnalldocumentsandpropertyofthePrincipal.

6.Indemnification

ThePrincipalagreestoindemnifyandholdtheAgentharmlessagainstanyliabilities,damages,andcosts(includingattorney'sfees)incurredbytheAgentinconnectionwiththeperformanceofitsdutiesunderthisAgreement,exceptforthosearisingfromtheAgent'sgrossnegligenceorwillfulmisconduct.

7.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[Specifythepreferredmethodofdisputeresolution,suchasarbitrationorlitigation].

8.EntireAgreement
