1.PurposeoftheContract

2.ScopeofAgreement

3.TermandTermination

3.2Renewal:ThisAgreementmayberenewedforadditionaltermsuponmutualwrittenagreementofbothparties.

4.ObligationsandResponsibilities

5.PricingandPaymentTerms

5.1Pricing:ThepricingforgoodsorserviceswillbeassetforthinindividualPurchaseOrdersorasnegotiatedandagreeduponinwritingbothparties.

5.2PaymentTerms:Paymentwillbemadewithin____________________________daysfromthedateofinvoice.InvoicesshouldbesubmittedaspertheagreedtermsinthePurchaseOrders.

9.2EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreementsandunderstandingsrelatedtothesubjectmatterhereof.

11.Miscellaneous

11.3Assignment:NeitherpartymayassignortransferitsrightsorobligationsunderthisAgreementwithoutpriorwrittenconsentfromtheotherparty.
