ContractAgreementforMaskPurchase

BACKGROUND:

Sellerisengagedinthebusinessofmanufacturingandsupplyingmasks.BuyerdesirestopurchasemasksfromSellerforthepurposeof[insertpurpose,e.g.,personaluse,businessoperations,etc.].

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.ProductandQuantity

5.LimitationofLiability

Neitherpartyshallbeliabletotheotherforanyindirect,consequential,exemplary,punitive,orincidentaldamagesarisingoutoforinconnectionwiththisAgreement,regardlessofwhethersuchdamageswerereasonablyforeseeableorwhethersuchpartyhadbeenadvisedofthepossibilityofsuchdamages.

6.Termination

ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[insertnumberofdays]daysafterreceiptofwrittennoticethereof.

7.GoverningLawandJurisdiction

8.EntireAgreement
