1.Recitals

WHEREAS,PartyAisthelegalholderofthePatent(definedbelow)andwishestotransferownershipofthePatenttoPartyB;

WHEREAS,PartyBdesirestoacquiretheownershipofthePatentfromPartyA;

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thePartiesagreeasfollows:

2.Definition

2.1"Patent"shallmean[patentnumber],issuedby[patentgrantingauthority],titled[patenttitle],andallrelatedcontinuations,divisions,reissues,reexaminations,andextensionsthereof.

3.PatentTransfer

3.1PartyAherebytransfersandassignstoPartyBallofitsright,title,andinterestinandtothePatent,effectiveasoftheEffectiveDate.

3.2PartyArepresentsandwarrantsthatitisthesoleandlegalownerofthePatent,andhasthefullrightandauthoritytotransferthePatenttoPartyB.

3.3PartyBacceptsthetransferofthePatentandacknowledgesthatithasreceivedallnecessarydocumentationandinformationrelatedtothePatent.

4.Consideration

InconsiderationforthetransferofthePatent,PartyBshallpaytoPartyAthesumof[USDollaramount](the"PurchasePrice"),whichshallbepaidasfollows:

5.RepresentationsandWarranties

5.1PartyArepresentsandwarrantsthat:

a.ThePatentisvalidandenforceable;

b.PartyAhasnotgrantedanylicensesorsublicensesunderthePatenttoanythirdparty;

c.Therearenopendingorthreatenedclaims,litigations,ordisputesconcerningthePatent;

d.PartyAwillprovideallnecessaryassistancetoPartyBintheregistrationofthePatenttransferwiththeappropriatepatentgrantingauthority.

5.2PartyBrepresentsandwarrantsthatithasthefinancialresourcesandcapabilitiestofulfillitsobligationsunderthisAgreement.

6.Indemnification

PartyAshallindemnifyandholdPartyBharmlessfromanyandallclaims,losses,damages,andexpenses(includingreasonableattorney'sfees)arisingoutoforrelatedtoanybreachofPartyA'srepresentationsandwarrantiesunderthisAgreement.

7.Confidentiality

ThePartiesagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformationexchangedduringthenegotiationandexecutionofthisAgreement,unlesssuchinformationisalreadyinthepublicdomainorisrequiredtobedisclosedbylaw.

8.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationin[arbitrationlocation],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

9.EntireAgreement

ThisAgreementconstitutestheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

10.Amendments

ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.
