英文版民间贷款合同合同编号：__________CONTRACTNUMBER:__________BETWEEN:[Loaner’sName]Hereinafterreferredtoasthe"Loaner",whichexpressionshall,unlessthecontextotherwiserequires,includehis/her/itssuccessorsandassigns;AND[Borrower’sName]Hereinafterreferredtoasthe"Borrower",whichexpressionshall,unlessthecontextotherwiserequires,includehis/her/itssuccessorsandassigns;WITNESSETH:WHEREAS,theLoaneriswillingtolendcertainsumsofmoneytotheBorroweronthetermsandconditionssetforthherein;ANDWHEREAS,theBorrowerdesirestoborrowthesaidsumsofmoneyfromtheLoanerandiswillingtoacceptthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.LOANAMOUNTANDTERM1.1TheLoaneragreestolendtotheBorrowertheprincipalamountof__________(the"PrincipalAmount").1.2TheloanshallbeevidencedthisAgreementandshallbedueandpayableonthe__________(the"MaturityDate").2.REPAYMENT2.1TheBorroweragreestorepaythePrincipalAmount,togetherwithinterestthereon,inaccordancewiththefollowingschedule:[ScheduleofRepayments]2.2Theinterestrateapplicabletotheloanshallbe[SpecifyInterestRate],whichshallbecalculatedona[SpecifyBasis]basis.2.3TheBorroweragreestomakeallpaymentsduehereunder[SpecifyPaymentMethod],inaccordancewiththetermsandconditionssetforthherein.3.USEOFFUNDSTheBorroweragreestousetheproceedsoftheloansolelyforthepurposeof[SpecifyPurpose].4.GUARANTEE4.1TheBorrowerhereguaranteesthefullandpromptpaymentofthePrincipalAmountandallinterestthereon,ifany,whendue,whetheratmaturity,accelerationorotherwise,andtheperformanceofallotherobligationsoftheBorrowerunderthisAgreement.4.2TheBorroweragreestoexecuteanddeliversuchfurtherdocumentsandinstrumentsasmaybenecessaryorappropriate,intheopinionoftheLoaner,toevidence,secureorperfecttheLoaner’sLiensandsecurityinterestsinandtotheCollateral.5.COLLATERAL5.1AssecurityforthepaymentofthePrincipalAmountandallinterestthereon,ifany,whendue,whetheratmaturity,accelerationorotherwise,theBorrowerherepledgesandhypothecatestotheLoaneralloftheBorrower’sright,andinterestinandtotheCollateral.5.2TheBorroweragreestomaintainandkeeptheCollateralingoodcondition,freefromanyliensandencumbrancesotherthanthoseLiensandencumbrancesgrantedinfavoroftheLoaner.6.CONDITIONS6.1TheobligationsoftheLoanertomaketheloanhereunderaresubjecttothesatisfactionofthefollowingconditions:[ListofConditions]6.2TheLoanermay,atitssolediscretion,requiretheBorrowertoobtainandmaintaininforceandeffectanyandallnecessaryapprovals,authorizations,consents,franchises,licensesandpermitsinconnectionwiththeexecution,deliveryandperformanceofthisAgreementandtheconsummationofthetransactionscontemplatedhere.7.DEFAULTANDREMEDIES7.1IftheBorrowerfailstomakeanypaymentwhendueunderthisAgreement,oriftheBorrowerbreachesanyotherobligationunderthisAgreement,theLoanermaydeclaretheentirePrincipalAmount,togetherwithallaccruedandunpaidinterestthereon,tobeimmediatelydueandpayable.7.2IntheeventofdefaulttheBorrowerunderthisAgreement,theLoanershallhaveallrightsandremediesavailabletoitunderapplicablelaw,including,withoutlimitation,therighttoenforceitsLiensandsecurityinterestsintheCollateral.8.INDEMNIFICATIONTheBorroweragreestoindemnifyandholdharmlesstheLoanerfromandagainstanyandalllosses,damages,claims,actions,suits,proceedings,judgments,fines,penalties,interest,reasonableattorneys’feesandothercostsandexpenses(including,withoutlimitation,anycostsandexpenses一、附件列表：1.[贷款申请表]2.[借款人身份证明文件]3.[贷款用途证明文件]4.[还款计划表]5.[担保物清单]6.[贷款批准函]7.[贷款合同副本]8.[其他相关法律文件]二、违约行为及认定：1.未能按约定的还款计划及时还款。2.借款人使用贷款用于非法用途或未按约定用途使用。3.借款人未能维持担保物的价值或出现担保物价值减损的情况。4.借款人未能履行或违反合同中的任何其他条款。三、法律名词及解释：1.贷款人（Loaner）：指提供贷款的一方。2.借款人（Borrower）：指接受贷款的一方。3.贷款金额（PrincipalAmount）：指合同约定的借款本金。4.还款期限（MaturityDate）：指合同约定的贷款到期日。5.利息（Interest）：指借款人因使用贷款而需支付给贷款人的费用。6.担保物（Collate
