PurchaseandSaleAgreement

WHEREAS,theBuyerdesirestopurchasecertaingoodsfromtheSeller,andtheSelleragreestosellthosegoodstotheBuyeronthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandconditionscontainedherein,thepartiesagreeasfollows:

Article1:SubjectMatteroftheAgreement

1.Goods:TheSelleragreestosell,andtheBuyeragreestopurchasethefollowinggoods(the"Goods"):

Article2:PurchasePrice

Article3:DeliveryandRiskofLoss

Article4:QualityandInspection

1.QualityStandards:TheSellerwarrantsthattheGoodsshallmeetthefollowingqualitystandards:

2.InspectionRights:TheBuyershallhavetherighttoinspecttheGoodsupondeliveryandshallnotifytheSellerwithin[X]daysiftheGoodsdonotconformtothequalitystandardssetforthinthisAgreement.

Article5:RepresentationsandWarranties

1.Seller’sWarranties:TheSellerrepresentsandwarrantsthat:

a.TheSellerhasthelegalauthoritytoenterintothisAgreement.

b.TheGoodsarefreefromanyencumbranceorlegalclaims.

2.Buyer’sWarranties:TheBuyerrepresentsandwarrantsthat:

a.TheBuyerhasthelegalauthoritytoenterintothisAgreement.

Article6:DefaultandRemedies

1.Default:IfeitherpartyfailstoperformanyofitsobligationsunderthisAgreement,thenon-defaultingpartymayprovidewrittennoticeofthedefault.

2.Remedies:Intheeventofadefault,thenon-defaultingpartymay:

a.TerminatethisAgreement.

b.Seekdamagesforanylossesincurredduetothedefault.

Article7:Indemnification

1.IndemnificationbySeller:TheSelleragreestoindemnifyandholdharmlesstheBuyerfromanyclaims,damages,orliabilitiesarisingoutoftheSeller'sbreachofthisAgreement.

2.IndemnificationbyBuyer:TheBuyeragreestoindemnifyandholdharmlesstheSellerfromanyclaims,damages,orliabilitiesarisingoutoftheBuyer’sbreachofthisAgreement.

Article8:Confidentiality

1.ConfidentialInformation:BothpartiesagreethatanyinformationdisclosedduringthecourseofthisAgreementshallbedeemedconfidentialandshallnotbedisclosedtoanythirdpartywithoutpriorwrittenconsentfromthedisclosingparty.

2.SurvivalofObligation:ThisconfidentialityobligationshallsurvivetheterminationofthisAgreement.

Article9:GoverningLawandDisputeResolution

1.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

2.DisputeResolution:IntheeventofanydisputearisingoutoforrelatingtothisAgreement,thepartiesagreetoresolvethedisputethroughgoodfaithnegotiations.Ifthedisputecannotberesolvedthroughnegotiations,eitherpartymaysubmitthedisputeto[Arbitration/Mediation]inaccordancewiththerulesof[Arbitration/MediationInstitution].

Article10:MiscellaneousProvisions

1.EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreementsorunderstandings,whetherwrittenororal.

2.Amendments:ThisAgreementmayonlybeamendedinwritingsignedbybothparties.

3.Severability:IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainingprovisionsshallcontinueinfullforceandeffect.

4.Notices:AnynoticesrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorsentbycertifiedmailtotheaddressessetforthabove.

Article11:Execution
