英文版购销合同讲解合同编号：__________EffectiveDate:[InsertEffectiveDate]CONFIDENTIALITYAGREEMENTThisConfidentialityAgreement("Agreement")ismadeandenteredintoasof[InsertEffectiveDate],andbetween[InsertCompanyAName]("CompanyA"),a[InsertCompanyAIncorporationJurisdiction]corporation,havingaprincipaladdressat[InsertCompanyAAddress],and[InsertCompanyBName]("CompanyB"),a[InsertCompanyBIncorporationJurisdiction]corporation,havingaprincipaladdressat[InsertCompanyBAddress].RECITALS:WHEREAS,CompanyAhascertainproprietaryandconfidentialinformation("ConfidentialInformation")thatitdesirestodisclosetoCompanyB;WHEREAS,CompanyBdesirestoreceivesuchConfidentialInformationfromCompanyAforthepurposeofdiscussingandevaluatingapotentialbusinesstransaction;andWHEREAS,bothpartiesdesiretoprotecttheconfidentialityoftheConfidentialInformation.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:1.CONFIDENTIALITY.CompanyBagreesthatitwillmaintaininstrictconfidenceandnotdisclosetoanythirdpartyanyandallConfidentialInformationdisclosedtoitCompanyAoranyofitsrepresentatives,agents,oremployees(the"DisclosingParty").2.USEOFCONFIDENTIALINFORMATION.CompanyBagreesthatitwillusetheConfidentialInformationsolelyforthepurposeofevaluatingapotentialbusinesstransactionbetweenthepartiesandwillnotusetheConfidentialInformationforanyotherpurposeordisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.3.EXPIRATION.TheobligationsofCompanyBunderthisAgreementshallexpirefive(5)yearsfromtheEffectiveDate,provided,however,thatCompanyB'sobligationswithrespecttoanyConfidentialInformationthatismarkedas"Proprietary"or"Confidential"andthatisstillconsideredsecretandvaluabletradesecretinformationatthetimeofexpirationshallcontinueindefinitely.5.ENTIREAGREEMENT.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.6.AMENDMENTS.ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.7.GOVERNINGLAW.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheStateof[InsertState],withoutregardtoitsconflictoflawsprinciples.8.ARBITRATION.AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedbindingarbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation,andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.IftoCompanyA:[InsertCompanyAName][InsertCompanyAAddress][InsertCompanyAContactInformation]IftoCompanyB:[InsertCompanyBName][InsertCompanyBAddress][InsertCompanyBContactInformation]INWITNESSWHEREOF,thepartieshaveexecutedthisConfidentialityAgreementasoftheEffectiveDatefirstabovewritten.[SignaturePageFollows]COMPANYA:By:___________________________Name:Title:Date:COMPANYB:By:一、附件列表：1.ConfidentialityAgreement二、违约行为及认定：1.违反保密义务：未经许可，披露、使用或者允许他人使用对方的保密信息。2.违反使用义务：未按照约定方式使用对方的保密信息，或者将保密信息用于其他目的。3.违反期限义务：未在约定时间内履行保密义务。三、法律名词及解释：1.保密信息：包括技术资料、商业秘密、经营策略等不为公众所知悉的信息。2.违约行为：违反合同约定的行为。3.强制执行：通过法律手段强制违约方履行合同义务。四、执行中遇到的问题及解决办法：1.保密信息泄露：发现保密信息泄露时，立即采取措施限制信息传播，并评估损失。2.违反使用义务：停止使用违规信息，及时与对方沟通寻求解决方案。
