5.IntellectualProperty

5.1ThePrincipalPartyretainsallownershiprights,title,andinterestintheProduct,includingallintellectualpropertyrightsassociatedtherewith.

5.2TheAgentPartyshallnotmodify,reproduce,distribute,orselltheProductwithoutthepriorwrittenconsentofthePrincipalParty.

6.GoverningLawandDisputeResolution

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.2AnydisputesarisingfromorinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifsuchnegotiationsfail,thedisputesshallbesubmittedto[DisputeResolutionMechanism]forresolution.

7.EntireAgreement
