b.Participatingintradefairsandexhibitions;

e.Othertasksasagreeduponbybothparties.

Article2:TermandPlaceofWork

2.1ThetermofthisContractshallbe[Duration],commencingon[StartDate]andendingon[EndDate].

2.2TheplaceofworkforthelaborservicesprovidedbyPartyBshallbe[Location],subjecttotherequirementsofPartyA.

Article3:CompensationandBenefits

3.1PartyAagreestopayPartyBamonthlycompensationof[MonthlyCompensation]forthedurationofthisContract.

3.2Thecompensationshallbepaidin[Currency]onamonthlybasis,onthe[Date]ofeachmonth,subjecttothecompletionoftheWorkandthesubmissionofallnecessarydocumentation.

3.3PartyBshallbeentitledtootherbenefitsasagreeduponbybothparties,suchasmedicalinsurance,paidleave,andotherallowances.

Article4:ConfidentialityandNon-Competition

4.1BothpartiesagreetomaintaintheconfidentialityofallinformationanddocumentsobtainedduringthecourseofthisContract,includingbutnotlimitedtotradesecrets,clientinformation,andbusinessstrategies.

4.2PartyBagreesnottoengageinanycompetingactivitiesorworkforanyotherentityduringthetermofthisContractandforaperiodof[Non-CompetitionPeriod]thereafter.

Article5:TerminationofContract

5.1ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgiven[NoticePeriod]dayspriortotheterminationdate.

5.2Intheeventoftermination,PartyAshallpayPartyBthecompensationfortheWorkperformeduptotheterminationdate.

Article6:GoverningLawandDisputeResolution

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.2AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicableresolution,thedisputesshallbesubmittedto[ArbitrationBody]forarbitrationinaccordancewithitsrules.

c.ReceiveregularprogressreportsandupdatesontheWork;

d.TerminatethisContractintheeventofabreachbyPartyBorThirdParty.

4.2PartyAisobligatedto:

a.ProvideclearandconciseinstructionstoPartyBandThirdParty;

b.EnsurethatthecompensationandbenefitsagreeduponarepaidtoPartyB;

c.MaintainconfidentialityandprotecttheinformationanddocumentsobtainedduringthecourseofthisContract;

Article5:RightsandObligationsofPartyB

5.1PartyBhastherightto:

a.RequestadditionalresourcesorsupportfromThirdPartyasnecessary;

b.RequestareviewoftheWorkscopeandtasksfromPartyA;

c.Receivetimelypaymentsofcompensationandbenefits.

5.2PartyBisobligatedto:

a.PerformtheWorkinaccordancewiththeinstructionsanddirectionofPartyA;

c.ProvideregularprogressreportsandupdatesontheWork.

Article6:RightsandObligationsofThirdParty

6.1ThirdPartyhastherightto:

6.2ThirdPartyisobligatedto:

Article7:TerminationofContract

c.ReviewandprovidefeedbackontheServicesprovidedbyPartyB.

Article5:RightsandObligationsofPartyA

b.EnsurethatthecompensationandbenefitsarepaidtoPartyBinatimelymanner;

c.MonitorthequalityandprogressoftheServices.

5.2PartyAisobligatedto:

a.ComplywithallapplicablelawsandregulationsregardingtheprovisionoftheServices;

b.MaintainconfidentialityofanyinformationobtainedduringthecourseofthisContract;

c.ProvidenecessaryfeedbacktoPartyBtoensurethequalityoftheServices.
