1.SubjectMatteroftheContract

PartyAshallsellanddelivertoPartyB[Quantity]tonsofcrudeoilwithaspecificgravityof[SpecificGravity]APIdegrees,whichistobespecifiedintheattachedProductSpecificationSheet(hereinafterreferredtoas“theProductSpecificationSheet”).

2.DeliveryandShipment

2.1DeliveryTime:Thedeliverytimeshallbe[DeliveryTime]aftertheexecutionofthisContract.

3.PriceandPayment

5.InspectionandClaims

5.2Claims:Ifanyqualityorquantityissuesarefounduponinspection,PartyBmayfileaclaimagainstPartyAwithin[Days]fromthedateoftheinspectionreport.TheclaimshallbesettledinaccordancewiththetermsandconditionsstipulatedinthisContract.

6.ForceMajeure

6.1IfeitherpartyisunabletofulfillitsobligationsunderthisContractduetoforcemajeureeventssuchasnaturaldisasters,war,governmentregulations,orotherunforeseeableandirresistiblecircumstances,thepartyshallpromptlynotifytheotherpartyinwritingandprovideevidenceoftheforcemajeureevent.

7.GoverningLawandDisputeResolution

7.PartyA'sRightsandInterests

7.1PartyAshallhavetherighttoinspectthecrudeoilattheloadingportandduringtransportationtoensurecompliancewiththeProductSpecificationSheet.

7.2PartyAshallhavetherighttoterminatethisContractintheeventofabreachbyPartyBorPartyCthatsignificantlyimpactsPartyA'soperations.

7.3PartyAshallhavetherighttonegotiatewithPartyBandPartyCforadjustmentstotheContracttermsifitbecomesnecessaryduetochangesinmarketconditions.

8.PartyB'sandPartyC'sObligations

8.1PartyBshallensurethatthecrudeoilisdeliveredtoPartyC'sstoragefacilitiesinaccordancewiththeagreedschedule.

Astheprincipalbuyer,PartyA'sinterestsareparamountinthisContract.Byhavingastrongpositioninthenegotiations,PartyAensuresthatitsrightsandinterestsareprotected,includingqualitycontrol,timelydelivery,andtheabilitytoterminatetheContractincaseofmaterialbreaches.ThisapproachallowsPartyAtomaintainastablesupplyofcrudeoil,whichiscrucialforitsbusinessoperations.
