第六条违约责任：

IntheeventofabreachofthisIntentContractbyeitherParty,thenon-breachingPartyshallbeentitledtothefollowingremedies:

-ThebreachingPartyshallbeliabletopayapenalty,asliquidateddamages,equalto[penaltypercentage]ofthetotalvalueoftheaffectedtransaction.

-Thenon-breachingPartyshallhavetherighttoseekspecificperformanceorinjunctivereliefinadditiontoorinsteadofthepenalty.

-IfthebreachisnotcapableofbeingremediedorifthebreachingPartyflstorectifythebreachwithinareasonableperiod,thenon-breachingPartymayterminatethisIntentContractandseekcompensationforanydirectlossessufferedasaresultofthebreach.

-ThePartiesagreethatthepenaltyandcompensationamountsarefrandreasonableestimatesofthedamagesthatwouldbesustnedintheeventofabreachandarenotintendedaspenalties.

-ThebreachingPartyshallalsoberesponsibleforanyreasonablelegalfeesandcostsincurredbythenon-breachingPartyinenforcingitsrightsunderthiscontract.

-ThePartiesacknowledgethattheaforementionedremediesarewithoutprejudicetoanyotherrightsorremediesavlabletothemunderapplicablelaw.

第七条不可抗力：

"ForceMajeure"referstoanyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod,naturaldisasters,fires,explosions,floods,war,riots,strikes,lockouts,boycotts,actsofgovernment,oranyothersimilareventsthatareunforeseeableandirresistible.TheoccurrenceofaForceMajeureeventshallexempttheaffectedPartyfromliabilityforanydelaysorfluresintheperformanceofitsobligationsunderthisIntentContract,totheextentandforthedurationthatsuchperformanceispreventedbytheForceMajeureevent.

-ThePartyaffectedbyaForceMajeureeventshallpromptlynotifytheotherPartyoftheoccurrenceandnatureofsuchevent,andshallusereasonableeffortstomitigatetheeffectsoftheevent.

-ThePartyclmingtheexemptionshallprovideevidenceoftheForceMajeureeventtotheotherPartywithin[number]daysoftheoccurrence.

-TheobligationsoftheaffectedPartythatarepreventedbytheForceMajeureeventshallbesuspendedduringtheperiodoftheevent,andtheaffectedPartyshallnotbeliableforanynon-performanceordelayduringthatperiod.
