5.PaymentTerms

PartyBshallpayPartyAthetotalcontractpriceinaccordancewiththeattachedPaymentSchedule(hereinafterreferredtoasthe"PaymentSchedule").ThepaymentshallbemadeinUSdollars.

6.WarrantiesandLiability

PartyAwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanship,andshallconformtothespecificationssetforthintheattachedSpecifications.PartyAshallbeliableforanydefectsintheGoodsthatoccurwithinaperiodofoneyearfromthedateofdelivery.

7.ForceMajeure

NeitherpartyshallbeliableforanydelayorfailuretoperformitsobligationsunderthisContractduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,fire,flood,orlabordisputes.

8.GoverningLawandJurisdiction

6.Confidentiality

BothPartyAandPartyCagreetomaintaintheconfidentialityofalltechnicalandbusinessinformationsharedduringtheexecutionofthisContract.

7.LiabilityandIndemnification

PartyCshallindemnifyandholdharmlessPartyAagainstanyclaims,liabilities,ordamagesarisingoutoforinconnectionwiththemanufacturingprocessesperformedunderthisContract,exceptforthosecausedbythenegligenceofPartyA.

8.Termination

9.LimitationofLiability
