1.ScopeofServices

TheConsultantshallprovideinternationalconsultingservicestotheClient,includingbutnotlimitedtothefollowing:

a.Marketresearchandanalysis;

b.Businessstrategydevelopment;

c.Projectmanagement;

d.Technicalsupportandtraining;

e.Anyotherservicesmutuallyagreeduponbytheparties.

2.TermofContract

ThisContractshallcommenceon[DateofCommencement]andterminateon[DateofTermination],unlessotherwiseextendedorterminatedbymutualagreementoftheparties.

3.FeesandPayment

TheConsultantshallbeentitledtoreceivefeesfortheservicesprovidedunderthisContract,asfollows:

a.TheConsultantshallsubmitaninvoicetotheClientwithin[NumberofDays]daysafterthecompletionofeachservice;

b.TheClientshallpaytheConsultantthefeesasspecifiedintheinvoicewithin[NumberofDays]daysfromthedateofreceiptoftheinvoice;

4.Confidentiality

Thepartiesagreetokeepconfidentialanyandallinformationdisclosedbytheotherparty,bothduringandafterthetermofthisContract,exceptforinformationthatispubliclyavailableorthatisalreadyknowntothereceivingpartypriortothedisclosure.

5.IntellectualProperty

AllintellectualpropertyrightsinandtotheservicesprovidedunderthisContractshallbeownedbytheConsultant,exceptforanyintellectualpropertyrightsownedbytheClientpriortotheexecutionofthisContract.

6.LimitationofLiability

TheConsultantshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceornon-performanceofthisContract.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallbesettledthroughfriendlynegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothecompetentcourtof[Jurisdiction]forarbitration.

6.TerminationandDefault
