NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesagreeasfollows:

2.Quantity:ThequantityoftheProduct/ServicetobesuppliedbytheSellertotheBuyershallbeasspecifiedinExhibitB-QuantitySchedule.

3.UnitPrice:TheunitpricefortheProduct/ServiceshallbeasindicatedinExhibitC-UnitPriceSchedule.

4.TotalPrice:ThetotalpricefortheProduct/ServiceshallbecalculatedbymultiplyingtheunitpricebythequantityspecifiedinExhibitB-QuantitySchedule.

5.PaymentTerms:TheBuyershallpaytheSellerthetotalpriceinaccordancewiththepaymenttermssetforthinExhibitD-PaymentTerms.

6.DeliveryTerms:TheSellershalldelivertheProduct/ServicetotheBuyerinaccordancewiththedeliverytermssetforthinExhibitE-DeliveryTerms.

7.Acceptance:TheBuyershallinspecttheProduct/ServiceupondeliveryandshallacceptthesameifitconformstothespecificationssetforthinExhibitA-Product/ServiceDescription.

8.Warranties:TheSellerwarrantsthattheProduct/Serviceshallbefreefromdefectsinmaterialandworkmanship,andshallconformtothespecificationssetforthinExhibitA-Product/ServiceDescription,foraperiodof[WarrantyPeriod]fromthedateofdelivery.

9.IntellectualPropertyRights:TheSellergrantstheBuyeranon-exclusive,non-transferable,andlimitedlicensetousetheintellectualpropertyrightsassociatedwiththeProduct/ServiceforthedurationofthisContract.

10.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

3.FeesandPaymentTerms:ThefeesfortheContractor'sservicesshallbeasspecifiedinExhibitD-FeeSchedule.TheThirdParty'sfeesshallbeasagreeduponinExhibitE-ThirdPartyFeeSchedule.PaymenttermsforbothpartiesshallbeasdetailedinExhibitF-PaymentTerms.

4.RightsandObligationsofthePrincipal:

a.ThePrincipalhastherighttorequestmodificationstothescopeofworkasnecessary.

b.ThePrincipalshallprovidethenecessaryresourcesandinformationtoenabletheContractorandtheThirdPartytoperformtheirobligations.

c.ThePrincipalshallmakepaymentstotheContractorandtheThirdPartyinaccordancewiththeagreed-uponpaymentterms.

5.RightsandObligationsoftheContractor:

a.TheContractorshallperformtheserviceswithduediligenceandinaccordancewiththebestindustrypractices.

b.TheContractorshallprovideregularprogressreportstothePrincipal.

c.TheContractorshallcomplywithallapplicablelawsandregulations.

6.RightsandObligationsoftheThirdParty:

a.TheThirdPartyshallprovidetheancillaryservicesasagreeduponinatimelyandprofessionalmanner.

b.TheThirdPartyshallmaintainconfidentialityofallinformationprovidedbythePrincipal.

c.TheThirdPartyshallcooperatewiththePrincipalandtheContractortoensurethesuccessfulcompletionoftheproject.

7.Termination:EitherpartymayterminatethisContractupon[NoticePeriod]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisContractbytheotherparty.

8.Default:IntheeventofadefaultbythePrincipal,theContractorandtheThirdPartyshallhavetherighttosuspendorterminatetheirobligationsunderthisContract.

9.Indemnification:ThePrincipalshallindemnifyandholdtheContractorandtheThirdPartyharmlessagainstanyclaims,losses,damages,orliabilitiesarisingoutoforinconnectionwiththeperformanceoftheirobligationsunderthisContract.

10.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
