NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.INTENTTOENTERINTOPRINCIPALAGREEMENT

PartyAandPartyBherebyconfirmtheirintentiontoenterintothePrincipalAgreementforthesaleandpurchaseoftheSubjectMatter,subjecttothetermsandconditionssetforthherein.

2.INTENTIONALPAYMENT

Infurtheranceoftheparties'intentiontoenterintothePrincipalAgreement,PartyAshallpaytoPartyBanintentionpayment(the"IntentionPayment")intheamountof[Amount](the"PaymentAmount"),whichshallbeheldinescrowbyaneutralthird-party(the"EscrowAgent")untilsuchtimeasthepartiesenterintothePrincipalAgreement.

3.ESCROWAGREEMENT

Thepartiesagreetoenterintoanescrowagreement(the"EscrowAgreement")betweenthemandtheEscrowAgent,whichshallgovernthehandlingandreleaseoftheIntentionPayment.TheEscrowAgreementshallbeexecutedconcurrentlywiththisAgreementandshallbeattachedheretoasExhibitA.

4.RELEASEOFINTENTIONPAYMENT

UpontheexecutionofthePrincipalAgreement,theEscrowAgentshallreleasetheIntentionPaymenttoPartyB,providedthatallconditionsprecedentsetforthintheEscrowAgreementhavebeensatisfied.

5.NON-CIRCUMVENTION

DuringthetermofthisAgreementanduntilthepartiesenterintothePrincipalAgreement,neitherPartyAnorPartyBshall,directlyorindirectly,enterintoanyagreementorarrangementwithanythirdpartythatwouldprejudicetheinterestsoftheotherpartyinrelationtotheSubjectMatter.

6.CONFIDENTIALITY

ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothembytheotherpartyinconnectionwiththisAgreement,exceptasrequiredbylaworasotherwiseagreedinwritingbytheparties.

7.TERM

ThisAgreementshallremainineffectforaperiodof[Duration],unlessterminatedearlierinaccordancewithitsterms.

8.TERMINATION

ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartyfailstoperformanymaterialobligationunderthisAgreementwithin[Number]daysofreceiptofsuchnotice.

9.GoverningLawandJurisdiction

4.PARTYA'SRIGHTSANDOBLIGATIONS

7.PARTYC'SLIABILITY
