ThisAgreement(“Agreement”)isenteredintoasof[Date],byandbetween[NameofPrincipal],a[Principal'sLegalEntity],withitsprincipalplaceofbusinessat[Principal'sAddress](“Principal”)and[NameofConsultant],a[Consultant'sLegalEntity],withitsprincipalplaceofbusinessat[Consultant'sAddress](“Consultant”)(collectively,the“Parties”).

REPRESENTATIONSANDWARRANTIES:

1.ThePrincipalrepresentsandwarrantsthatithasthelegalcapacitytoenterintothisAgreementandthatitisnotunderanylegalorregulatoryrestrictionsthatwouldpreventitfromperformingitsobligationsunderthisAgreement.

2.TheConsultantrepresentsandwarrantsthatithasthelegalcapacitytoenterintothisAgreementandthatitisnotunderanylegalorregulatoryrestrictionsthatwouldpreventitfromperformingitsobligationsunderthisAgreement.

3.ThePrincipalrepresentsandwarrantsthatthescopeofworktobeperformedbytheConsultantisaccurateandcomplete,andthatthePrincipalwillprovidetheConsultantwithallnecessaryinformationandresourcestoperformthework.

4.TheConsultantrepresentsandwarrantsthatithasthenecessaryqualifications,expertise,andresourcestoperformtheworkunderthisAgreement.

OBLIGATIONSOFTHEPARTIES:

1.TheConsultantshallprovide[specificservicesorexpertise]tothePrincipal,asdescribedinScheduleAattachedhereto,inaccordancewiththetermsandconditionssetforthinthisAgreement.

2.TheConsultantshalluseitsbesteffortstoperformtheworkunderthisAgreementinaprofessional,timely,andefficientmanner.

3.ThePrincipalshallprovidetheConsultantwithallnecessaryinformation,resources,andassistancerequiredtoperformtheworkunderthisAgreement.

4.ThePrincipalshallnotusetheConsultant’sservicesforanypurposeotherthanthepurposeforwhichtheywereprovided.

5.TheConsultantshallnotdiscloseanyconfidentialinformationofthePrincipaltoanythirdpartywithoutthepriorwrittenconsentofthePrincipal.

TERMANDTERMINATION:

1.ThisAgreementshallcommenceon[StartDate]andshallcontinueforatermof[Term]months,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.EitherPartymayterminatethisAgreementuponwrittennoticetotheotherParty,providedthatsuchnoticeisgivenatleast[NoticePeriod]dayspriortotheeffectivedateoftermination.

3.Intheeventoftermination,theConsultantshallpromptlydeliverallworkinprogresstothePrincipal,andthePrincipalshallpaytheConsultantforanyworkcompletedpriortotheeffectivedateoftermination.

CONFIDENTIALITY:

1.ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherPartyduringthetermofthisAgreementandforaperiodof[ConfidentialityPeriod]yearsfollowingtheexpirationorterminationofthisAgreement.

2.Confidentialinformationshallinclude,butnotbelimitedto,tradesecrets,technicalinformation,businessplans,financialinformation,andcustomerlists.

3.ThePartiesagreenottouseordiscloseanyconfidentialinformationoftheotherPartyforanypurposeotherthanthepurposeforwhichitwasdisclosed.

INDEMNIFICATION:

1.TheConsultantshallindemnify,defend,andholdharmlessthePrincipalfromandagainstanyandallclaims,actions,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeConsultant’sbreachofthisAgreementortheConsultant’sperformanceoftheworkunderthisAgreement.

2.ThePrincipalshallindemnify,defend,andholdharmlesstheConsultantfromandagainstanyandallclaims,actions,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththePrincipal’sbreachofthisAgreementorthePrincipal’suseoftheConsultant’sservices.

LIMITATIONOFLIABILITY:

1.InnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement,evenifthePartyhasbeenadvisedofthepossibilityofsuchdamages.

2.TheaggregateliabilityofeitherPartytotheotherPartyunderthisAgreementshallnotexceedthetotalamountpaidbythePrincipaltotheConsultantunderthisAgreement.

ATTACHMENTS:

1.ScheduleA-DescriptionofServices

ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.ThisAgreementmaybeamendedonlybyawritteninstrumentexecutedbybothParties.

OBLIGATIONSOFTHEPARTIES:

1.TheConsultantshallprovide[specificservicesorexpertise]tothePrincipal,asdescribedinScheduleAattachedhereto,inaccordancewiththetermsandconditionssetforthinthisAgreement.

2.TheConsultantshalluseitsbesteffortstoperformtheworkunderthisAgreementinaprofessional,timely,andefficientmanner.

3.ThePrincipalshallprovidetheConsultantwithallnecessaryinformation,resources,andassistancerequiredtoperformtheworkunderthisAgreement.

4.TheThirdPartyshallcooperatewiththePrincipalandtheConsultantintheperformanceoftheworkunderthisAgreementandshallprovideanyadditionalsupportasmaybereasonablyrequestedbythePrincipalortheConsultant.

5.ThePrincipalshallnotusetheConsultant’sservicesforanypurposeotherthanthepurposeforwhichtheywereprovided,andshallensurethattheThirdPartycomplieswithallapplicablelawsandregulationsintheperformanceofitsobligations.

RIGHTSOFTHEPRINCIPAL:

1.ThePrincipalhastherighttoterminatethisAgreementatanytimeuponwrittennoticetotheConsultantandtheThirdParty,foranyreason,includingbutnotlimitedtoabreachoftheAgreementbytheConsultantortheThirdParty.

2.ThePrincipalhastherighttorequiretheConsultanttoprovideadetailedprogressreportontheworkperformedunderthisAgreementatanytime.

3.ThePrincipalhastherighttoapproveanychangestothescopeofworkunderthisAgreement,andanysuchchangesshallbesubjecttotheconsentoftheThirdParty.

4.ThePrincipalhastherighttoaccessandreviewallworkproductproducedbytheConsultantandtomakeanynecessarymodificationsordeletions.

5.ThePrincipalhastherighttoreceiveallintellectualpropertyrightsarisingfromtheworkperformedunderthisAgreement.

TERMINATIONANDBREACH:

1.IntheeventofabreachofthisAgreementbytheConsultantortheThirdParty,thePrincipalshallhavetherighttoterminatethisAgreementimmediatelyuponwrittennotice.

2.TheConsultantandtheThirdPartyshallbejointlyandseverallyliableforanybreachofthisAgreement,andthePrincipalshallhavetherighttoseekdamagesfromeitherorbothPartiesforanysuchbreach.

3.TheConsultantandtheThirdPartyshallindemnify,defend,andholdharmlessthePrincipalfromandagainstanyandallclaims,actions,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththebreachofthisAgreementbyeitherParty.

LIMITATIONSONTHECONSULTANTANDTHETHIRDPARTY:

1.TheConsultantandtheThirdPartyshallnotdiscloseanyconfidentialinformationofthePrincipaltoanythirdpartywithoutthepriorwrittenconsentofthePrincipal.

2.TheConsultantandtheThirdPartyshallnotengageinanyactivitiesthatcouldreasonablybeexpectedtoconflictwiththePrincipal’sinterestsortheperformanceofitsobligationsunderthisAgreement.
